ONE-DAY INDEPENDENT CONTRACTOR AGREEMENT

Contractor (Worker)

1. Date and Time of Service
The Contractor agrees to provide services on May 7, 2025, from 5:00 PM to 9:00 PM at the Women’s Small Business event at 44 S Broadway, White Plains, NY 10601.

2. Scope of Work
The Contractor will staff the Noveris Signature table, assist with setup and takedown, engage with event attendees, distribute materials, and perform other reasonable tasks as directed by the Company representative.

3. Compensation
Rate: $25.00 per hour
Total Expected Payment: $100.00 (based on 4 hours of work)
Payment will be made via Check, Zelle, ACH or Venmo at the conclusion of the event or within 2 business days.

4. Independent Contractor Relationship
The Contractor is an independent contractor and not an employee of Noveris Signature. The Contractor is solely responsible for all taxes, withholdings, insurance, and other statutory or contractual obligations of any sort. Nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, or joint venture.

5. Confidentiality
The Contractor agrees to maintain the confidentiality of any proprietary or sensitive information learned during the event and will not disclose such information to any third party.

6. Liability and Indemnification
The Contractor agrees to perform all services in a safe, lawful, and professional manner. The Contractor shall indemnify and hold harmless Noveris Signature from any claims, losses, or liabilities arising from the Contractor’s actions or negligence during the event.

7. Termination
Either party may terminate this Agreement prior to the event date by providing at least 24 hours’ notice. In the event of termination without notice, no payment shall be owed.

8. Entire Agreement
This Agreement contains the entire understanding between the parties and supersedes any prior agreements, written or oral.

9. Professional Attire
The Contractor agrees to dress in professional, neat, and event-appropriate attire, reflecting the standards and image of Noveris Signature.

10. No Solicitation of Other Businesses
The Contractor agrees not to promote, market, or solicit business for themselves or any other company, product, or service during the event, except as required by their duties for Noveris Signature.
