Confidential Information: Both parties may disclose confidential, proprietary, or sensitive business, technical, or strategic information (“Confidential Information”) during exploratory or working discussions. Such information shall not be disclosed to any third party without prior written consent.

Purpose: All Confidential Information exchanged is for the sole purpose of assessing potential partnership or subcontracting opportunities related to government contracts.

Non-Disclosure Obligation: Each party agrees not to disclose, duplicate, or use Confidential Information for any purpose outside the scope of discussions and opportunities with RV Sinkler LLC (or affiliate organization) without prior written authorization.
Exceptions: This NDA does not apply to information that:

Was publicly available at the time of disclosure
Was independently developed without breach of this agreement
Is required to be disclosed by law or court order (with prior written notice)
Term: This confidentiality obligation shall remain in effect for three (3) years from the date of submission.
