O’Ryan’s Enterprise Storefront Affiliate Agreement:
This Enterprise Storefront Affiliate Agreement ("Agreement") is effective as of the date of submission ("Effective Date") between O’Ryan’s ("Company," "we," "us") and the Enterprise Partner ("you," "Partner"). By submitting the Enterprise Affiliate Enrollment Form, you agree to the following:
1. Enrollment and Approval
Upon submitting the Enterprise Affiliate Enrollment Form, your participation is subject to approval by O’Ryan’s. Approval grants you access to the Enterprise Affiliate Program.
2. Partner Benefits
Upon approval, you receive:
50/50 Profit Split: Automatically paid monthly via electronic transfer to your designated account.
Dedicated Monthly Reports: Store-level performance metrics.
Co-branded Marketing Rights: Leverage joint branding opportunities.
Priority Access: First-in-line for limited merchandise drops. O’Ryan’s digression is based on performance.
Geo-Exclusivity: Optional exclusivity based on store performance.
Veteran Support Promotion: Rights to publicly market your support for U.S. veterans.
3. O’Ryan’s Operational Responsibilities
O’Ryan’s agrees to handle:
All product inventory, shipping, returns, and related costs.
All customer service inquiries and interactions.
Installation, management, and periodic updating of up to 10+ QR-based in-store displays per location (checkouts, entryways, floor stickers, banners, pumps, bathrooms, etc.).
Management of custom affiliate storefront links and QR codes for accurate sales attribution.
4. Enterprise Partner Obligations
You agree to: Cover between 1 and unlimited store locations under this Agreement.
Allow O’Ryan’s provided promotional materials (QR codes, signage) to be placed prominently in agreed-upon locations.
At Partners ' discretion, we can conduct team training to proactively market O’Ryan’s products, increasing our profits together. (Example: At checkout, can prompt customers with, “Check out our partner’s patriotic merchandise. 10% supports veterans.”)
5. Compensation Structure
Gross Profit Calculation:
Gross Profit = Retail Price – Production Cost.
Enterprise Partner receives 50% of the Gross Profit.
Payments are made via direct ePayment monthly (first Friday).
6. Content & Marketing Rights
You agree that content created featuring O’Ryan’s merchandise also belongs to O’Ryan’s, granting unlimited rights to its use, modification, and distribution.
7. Transparency
Production cost details can be provided upon request for transparency. These details remain confidential and may not be publicly disclosed.
8. Independent Contractor Status
Enterprise Partner operates independently. You bear full responsibility for your taxes and compliance with all relevant laws.
9. Restrictions
No unethical, misleading, or fraudulent promotional activities.
No altering or misrepresentation of O’Ryan’s branding or materials.
Affiliate codes or links cannot be used for personal purchases. A separate request is required.
10. Termination
Either party can terminate at any time, for any reason, by written notice. Upon termination, affiliate codes, links, and displays will be deactivated. Payments due within 30 days of termination will be fulfilled according to standard payout schedules.
11. Liability and Indemnification
Enterprise Partner agrees to indemnify and hold harmless O’Ryan’s from liabilities, claims, or damages arising from the Partner’s activities, promotions, or breaches of this Agreement.
12. Modification
O’Ryan’s reserves the right to modify this Agreement at any time, providing written notification via email.
13. Governing Law
This Agreement is governed by the laws of the state of Oregon, without regard to its conflict-of-laws principles.
14. Entire Agreement
This document represents the complete agreement between O’Ryan’s and the Enterprise Partner, superseding any prior agreements or understandings.
By submitting the Enterprise Affiliate Enrollment Form, you acknowledge understanding and agreement to all terms outlined herein.
