  • CONFIDENTIALITY OF COMPANY INFORMATION

  • In the course of employment and/or independent contractor, I understand I am likely to become familiar with confidential information of Avida Personal Care, LLC and its customers, such as, but not limited to names of customers, customer’s medical conditions, price lists and other information of a confidential nature. This confidential information is required to be maintained as such for the continued success of the corporation and its business as well as to preserve the confidentiality of medical information under applicable law.

    Accordingly, I agree:

    1. Not to divulge to anyone, either during or after the termination of my employment and/or contract, any such information acquired during that employment and/or independent contract.

    2. Only to disclose information to a current Avida Personal Care, LLC employee and/or independent contractor who has the need to know that information. I understand that the unauthorized release of such information may result in my becoming a party to litigation and will result in termination of my employment and/or contract.

  • CONFLICT OF INTEREST

  • Employees and/or independent contractors have an obligation to conduct business within guidelines that prohibit actual or potential conflicts of interest. This policy establishes only the framework within which the employer or billing agency wishes the business to operate. The purpose of these guidelines are to provide general direction so that the employees and/or independent contractors can seek further clarification on issues related to the subject of acceptable standards of operation.

    Transactions with outside firms must be conducted within a framework established and controlled by the executive level of Avida Personal Care, LLC Business dealings with outside firms should not result in unusual gains for those firms. Unusual gain refers to bribes, product bonuses, special fringe benefits, unusual price breaks and other windfalls designed ultimately to benefit the company, the employee and/or independent contractor or both. Promotional plans that could be interrupted to involve unusual gain require specific executive-level approval.

    An actual or potential conflict of interest occurs when an employee and/or independent contractor is in a position to influence a decision that may result in a personal gain for that employee o and/or independent contractor for a relative because of Avida Personal Care, LLC business dealings. For the purpose of this policy, a relative is any person who is related by blood or marriage.

    No presumption of guilt is created by the mere existence of a relationship with outside firms. However, if an employee and/or independent contractor has any influence on transactions involving purchases, contracts or leases, it is imperative that he or she disclose to an officer of Avida Personal Care, LLC as soon as possible the existence of any actual or potential conflict of interest - so that safeguards can be established to protect all parties.

    Personal gain may result not only in cases where an employee and/or independent contractor or relative has a significant ownership in a firm with which Avida Personal Care, LLC does business but only when an employee and/or independent contractor or relative receives any kickback, bribe, substantial gift or special consideration as a result of any transaction or business dealings involving

  • Avida Personal Care, LLC An employee and/or independent contractor may not otherwise be employed or retained in some other capacity by or affiliated with any vendor, purchaser, similar business or competitor. An employee and/or independent contractor may not receive compensation in cash or property from persons other than Avida Personal Care, LLC for services of time that he or she was being paid by Avida Personal Care, LLC except in cases specifically approved by the Board of Directors of Avida Personal Care, LLC

    The materials, products, designs, plans, ideas and data of Avida Personal Care, LLC are the property of the company and should never be given to an outside firm or individual except through normal channels and with appropriate authorization. Any improper transfer of material or disclosure of information, even though it is not apparent that an employee and/or independent contractor has personally gained by such action, constitutes unacceptable conduct. Any employee who participates in such practice will be subject to disciplinary action, up to and including possible termination of employment and/or independent contractor.

    I have read, understand and agree to the policies described above. I am also aware that I must also report any breach of confidentiality or potential conflict of interest immediately to the Administrator and/or the Agency Supervisor.
