NTXAR Officers and Board Members
President: The President is the Chief Executive Officer (CEO) of the association and has general direction and control of business. The President presides over general membership meetings. The President shall also have the responsibility of developing a proposed Annual Goals/Objectives Plan and an Annual Budget to the Board for approval. The President does not have to be a real estate broker.
1st Vice-President: The 1st Vice-President shall act in the absence or disability of the President. When acting as the President, shall have all the powers of, and also be subject to the restrictions of the President. The 1st Vice- President shall also have other duties and powers as prescribed by the President, or the Board of Directors, that does not conflict with the bylaws.
2nd Vice President: The 2nd Vice President shall act in the absence of the 1st Vice President and the President. The 2nd Vice President shall also have other duties and powers as prescribed by the President or Board of Directors that do not conflict with the by-laws. The 2nd Vice President shall be responsible for overseeing several committee Chairs.
Secretary: The Secretary shall keep a book or e-book of minutes of all the meetings of the board, membership, or any other special meetings where a quorum of board members is present. The minutes shall include, as a minimum, the time and place of the meeting, the type of meeting, and how the meeting was authorized. Minutes must also include how the notice of the meeting was posted, names of those present, agenda of planned action item discussion, and a summary of final action(s) of proceedings.
Assistant Secretary: Shall keep a book or e-book of minutes of all the meetings of the board and committees in the absense of the Secretary.
Treasurer: The Treasurer shall have custody of the association's funds and securities and keep full and accurate accounting records of the financial activities of the association. All financial disbursements of the association's funds must be approved by the Board. The Treasurer is also responsible for keeping all financial records in compliance with applicable local, state, and federal requirements and regulations governing the non-profit association. The Treasurer will work closely with the President in preparing the Annual Budget for Board approval.
Assistant Treasurer: The Assistant Treasurer shall have custody of the association's funds and securities and keep full and accurate accounting records of the financial activities of the association in the absence of the Treasurer.
Parliamentarian: The rules contained in Robert's Rules of Order Newly Revised shall govern the association in all cases to which they are applicable and in which they are consistent with the bylaws.
