Non-Disclosure and Contact Restriction Agreement
This Non-Disclosure and Contact Restriction Agreement ("Agreement") is entered into as of date mentioned below, by and between Club Forty ("Club Forty"), with its principal place of business at schaumburg, and the undersigned Investor and Project Owner ("Recipient").
1. Purpose
The Recipient acknowledges that Club Forty will disclose certain confidential and proprietary information and facilitate introductions to investors for project funding. This Agreement aims to protect the interests of all parties by preventing unauthorized disclosures and contact with investors.
2. Definition of Confidential Information
For purposes of this Agreement, "Confidential Information" includes all non-public, confidential, or proprietary information disclosed by Club Forty, whether oral, written, or digital, including but not limited to investor identities, contact details, project proposals, negotiations, and strategies.
3. Non-Disclosure Obligations
The Recipient agrees:
- To keep all Confidential Information received from Club Forty strictly confidential.
- Not to disclose any Confidential Information to third parties without prior written consent from Club Forty.
- To use Confidential Information solely for the purpose of evaluating or working on the project related to Club Forty.
4. No Contact with Investors Without Prior Consent
The Recipient shall not, directly or indirectly:
- Contact, communicate, or solicit any investor introduced or associated with Club Forty outside of the formal approval and process established by Club Forty.
- Bypass, bypass, or otherwise circumvent Club Forty to establish direct communication with any investor introduced or managed by Club Forty.
5. No Bypassing or Competing
The Recipient agrees not to bypass Club Forty and seek to independently attract, engage, or perform dealings with the investors or contacts introduced through Club Forty for their personal or third-party benefit.
6. Term of Agreement
This Agreement shall remain in effect during the term of any relationship between the parties and for a period of Three years following termination or conclusion of the relationship.
7. Remedies
The Recipient acknowledges that breach of this Agreement may cause irreparable harm to Club Forty, and agrees that Club Forty shall be entitled to seek injunctive relief, damages, or any other remedies available at law or in equity.
8. Miscellaneous
- This Agreement constitutes the entire understanding between the parties concerning the subject matter.
- Any amendments or modifications must be in writing and signed by both parties.
- If any provision of this Agreement is found invalid, the remaining provisions shall remain in full force and effect.
