The parties identified above have between them, just and right that this contract shall be governed by the following terms and conditions described below.

 

 

1.Terms of contract

By signing this contract the ARTIST / REMIXER and the LABEL is granting the exclusive right

to publish and release the tracks listed on the first page by the following: reproduce, distribute, publicly display, broadcast and put them for sale in selected stores of digital music such as beatport.com, junodownload.com, etc. thus allowing LABEL to technically adapt the work to adjust it to world standards.

2.Terms

2.1. This Agreement shall enter into force from the effective date mentioned above on page 1 and is valid for four (4) years, automatically renewable for plus four (4) years if neither party manifests. This contract may be canceled at any time by both parties provided that it is sent to the other party an email requesting cancellation. G-MAFIA RECORDS  will then request for the distributor to remove all content, not allowing her to respond if the distributor or the store doesn't remove content;

2.2. Both parties may request the removal of songs or complete albums via registered mail, so the LABEL has the period of two (2) months to meet the request, and immediately in case

the song or album has problems of copyright or others cited in this Agreement;

2.3. The shops approve all content, so it is not the label's responsibility if the stores decide for themselves whether or not to approve/remove the contents. ARTIST / REMIXER need to

obey these decisions;

2.4. This contract will automatically cancel old contracts if they are of the same songs listed on the first page. If the old contract is the generic model (valid for any and all music of the

artist) fits the LABEL to decide the validity of the old contract, so the LABEL may cancel it

at any time by notifying the ARTIST / REMIXER via email;

2.5. G-MAFIA RECORDS has signed a contract with the distributor (20% of sales). If the distributor or shop chooses not to renew or terminate such agreement this contract will also be automatically canceled without notice to the ARTIST / REMIXER. If this occurs the payments and report sales will be sent only when the LABEL receives from the distributor.

2.6. In case of artist decided cancel this contract  before 4 years he must pay  a fee of 200 Euros for G-MAFIA RECORDS via PayPal/Stripe

3. Obligation of the ARTIST / REMIXER

3.1. The ARTIST / REMIXER has no employment with the LABEL;

3.2. Songs and albums are released by LABEL exclusively, the ARTIST / REMIXER cannot

launch on other record labels;

3.3. The ARTIST / REMIXER can launch other tracks at any time and work with other

recorders;

3.4. The ARTIST / REMIXER grant the LABEL the right to announce and publish the songs and

albums released, as well as rights to use image and biography of the ARTIST / REMIXER;

3.5. The ARTIST / REMIXER is not required to use the name of LABEL in festivals and events;

3.6. All loop, samples, and vocal parts of music is the responsibility of the ARTIST / REMIXER

with him the responsibility to resolve issues of copyright and other events happening;

3.7. THE ARTIST / remixer must complete the infos correctly and send the music

files in the following standards: 44100Hz 16bit Stereo WAV because the LABEL will not

change any content in the stores after upload.

4. Obligation of the LABEL

4.1. The LABEL grants ARTIST / REMIXER the right to use his picture and biography on

festivals, events and where more needs to be promoted;

4.2. The LABEL may launch the products only after permission of the ARTIST / REMIXER via

email;

4.3. The LABEL is not responsible for any materials that the ARTIST / REMIXER has

launched, published and distributed by other labels and other companies;

4.4. The LABEL may launch in cd or vinyl format the songs that are under their label after

negotiation with ARTIST / REMIXER;

4.5. It is the duty of the LABEL to generate and administer the UPC and ISRC codes.

4.6 The LABEL holds the exclusive rights to the master recordings of the tracks listed in this agreement. These rights include, but are not limited to, reproduction, distribution, synchronization, and licensing of the master recordings.

5. Payment

5.1. The LABEL will pay the ARTIST / REMIXER values regarding net sales, so the payments

will be divided as follows:

Releases without remix:

Artist: 50%

Label: 50%

Releases with remix:

Artist: 33.33%

Remixer: 33.33%

Label: 33.34%

5.2. The payments only will be send via PAYPAL;

5.3. The submission of reports sales and payments will be made as follows:

- The sales report is available 01 months after the end of each quarter;

- It will only be paid if the total receivables for more than 50 Euro;

- Reports will be sent only requested.

6. Licensing for other labels

Following the release date the LABEL may authorize the release of his music on compilations made by other labels (partners). If this occurs you will receive an email notice and sales related to such entries will be displayed in our sales statements, where any contact should be done only and exclusively with us (G-MAFIA RECORDS).

7. Confidentiality

7.1. The ARTIST / REMIXER and the LABEL agree to maintain total secrecy on the business as passwords, documents, strategies, future business, etc..;

7.2. The ARTIST / REMIXER and the LABEL must follow the same ethical standards of

professionals with no ties, thus depriving any comments and information to third parties;

7.3. Is not allowed to ARTIST / REMIXER and the LABEL and publish without permission

parts of songs like: sample, loops, vocals, etc;

8. Marketing

The marketing of any product launch is the responsibility of both parties, thus accepting any and all manner of disclosure that is exposed.

09. The Forum

To resolve any disputes from both sides, they choose the venue of the district of Mogi Guaçu-SP, Brazil, as that privilege is.
