  • Home Improvement Contract

  • BETWEEN SUSTENTA HOMES LLC AND CUSTOMER

  • This Home Improvement Contract (“Agreement”) is entered into as of the date signed below by andbetween: Sustenta Homes LLC, a Texas limited liability company (“Contractor”), and {nombre}, (“Customer”), collectively “the Parties.

  • 1. SCOPE OF WORK

  • Contractor agrees to furnish all labor, materials, tools, and equipment necessary to perform thefollowing services ("Work"):

    - Removal and installation of new residential windows as selected by Customer

    - Caulking, sealing, weatherproofing, trim as applicable

    -Disposal of old windows (unless otherwise noted)

    - Cleanup of work area

    - Additional services as listed in Exhibit A – Scope of Work & Material Selection

    All window products, models, colors, sizes, styles, grid patterns, and hardware selections shall bedetailed and confirmed in writing in Exhibit A.

    Customers acknowledge that approximate measurements may be used during sales consultations, andfinal manufacturing measurements may vary based on technician verification.

  • 2. PROJECT PRICE

  • The total project price for labor and materials is:

  • This includes:

    • Materials
    • Delivery
    • Labor
    • Disposal fees
    • Any applicable taxes

    (Unless otherwise noted in writing)

  • 3. PAYMENT TERMS

  • Customer agrees to the following payment schedule:

    • 40% Deposit at Contract Signing

     This payment is required for order placement.

     • 60% Final Payment After Installation Completion

    Final payment is due immediately upon completion of installation and before Contractor leaves the property.

    Payments may be made via:

    • CheckDebit/Credit card (fees may apply)
    • ACH
    • Approved financing partners (must be pre-approved before contract signing)

    Failure to pay on time may result in:

    • Late fees
    • Stop work orders
    • Collection actions
    • Lien placement under Texas Property Code §53

  • 4. DEPOSIT & CANCELLATION POLICY

    4.1 Deposit Becomes Non-Refundable When Materials Are Ordered
  • Once Contractor orders materials, the 40% deposit becomes non-refundable under all circumstances,including:

    • Customer cancellation
    • Changes of mind
    • Financing denial
    • Property sale
    • Schedule conflicts

    Custom windows are specially manufactured and cannot be returned.

  • 4.2.3 Day Cancellation Fee
  • If Customer cancels 3 or more days after signing the contract, Customer agrees to pay a $1,250 cancellation fee, regardless of whether materials have been ordered.

    If materials have been ordered, both the cancellation fee AND the non-refundable deposit apply.

  • 5. CHANGE ORDERS

  • Any modification requested by Customer after contract signing must be documented in writing andsigned by both Parties as a Change Order.

    Change Orders may result in additional cost and extended timelines

  • 6. INSTALLATION TIMELINE

  • Typical lead times range from 3–7 weeks, depending on manufacturer production schedules, supplychain conditions, and weather.

    This is an estimate — Contractor is not responsible for delays outside its control

  • 7. CUSTOMER RESPONSIBILITIES

  • Customer agrees to:


    •Provide safe access to work areas
    •Remove interior blinds, curtains, shutters, and personal items
    •Move furniture at least 3 feet away from windows
    •Keep children and pets away during installation
    •Ensure property is structurally sound
    •Notify Contractor of HOA rules or neighborhood restrictions

    If Contractor must move furniture or window treatments, a $75–$150 service fee may apply.

  • 8. Warranty

    8.1 Workmanship Warranty (Contractor)
  • Contractor provides a 2-year workmanship warranty covering installation defects only.

    Warranty includes:

    •Improper sealing or caulking
    •Misalignment
    •Installation workmanship issues

    Warranty does NOT include:

    •Damage caused by customer misuse, neglect, pets, or other contractors
    •Damage caused by structural shifts or foundation movement
    •Glass breakage
    •Environmental damage (hail, storm, wind, humidity)
    •Lack of maintenance

  • 8.2 Window Product Warranty (Manufacturer Only)
  • All window products are covered exclusively by the manufacturer’s warranty.

    •Review functionality
    •Confirm style and color match
    •Verify appropriate cleanup

    Final payment is due immediately after this inspection.

  • 13. GOVERNING LAW

  • This contract is governed by the laws of the State of Texas.

  • 14. DISPUTE RESOLUTION (MEDIATION - ARBITRATION)

  • Any dispute arising from this Agreement shall follow this process:

    1. Mediation (Mandatory First Step)

    The Parties agree to attempt resolution through mediation with a neutral mediator located in HarrisCounty, Fort Bend County, or online mediation.

    2. Binding Arbitration (If Mediation Fails)

    If mediation does not resolve the dispute, the Parties agree to binding arbitration conducted under therules of the American Arbitration Association (AAA) or similar provider.The arbitrator’s decision will be final and enforceable

  • 15. SEVERABILITY

  • If any provision is found unenforceable, the remaining provisions remain in full force.

  • 16. ENTIRE AGREEMENT

  • This Agreement constitutes the full and complete understanding between the Parties. No verbal statements or prior agreements shall modify this written contracT.
