Waiver of Liability
Applicant hereby promises to appear, defend and hold Pflugerville Pride, their committee members, Pflugerville Pride Venues, The City of Pflugerville, their officials, employees and agents harmless against any and all claims for personal injury, bodily injury, including death or property damage which may arise directly or indirectly from their participation in the event. Pflugerville Pride, held on Saturday, November 1st, 2025, including any and all costs for personal injury, bodily injury, or property damage for which a claim or demand is asserted, whether such claim is frivolous or made in good faith. Such indemnification shall include any and all costs and expenses including but not limited to court costs and fees, attorney fees, witness fees, expert fees, damages and interest which may be incurred by or assessed against Pflugerville Pride, their committee members and affiliates,Pflugerville Pride Venues, The City of Pflugerville, their officials, employees and agents.
Vendor/Exhibitor Terms and Conditions:
- Booth locations will be assigned by September 20th. Application and full payment must be received. You may request a location (i.e. shaded area), however we cannot guarantee any requested location.
- Spaces are granted by order of application receipt.
- Official exhibit hours are: Saturday, November 1st, 2025, 5:00p - 10:00p. Exhibitors may begin setting up at 3pm but must be completed by 4:30pm and breakdown no earlier than 10pm. Vendors will receive specific load in times according to location.
- Pride After Dark: Official exhibit hours are: Saturday, November 1st, 2025, 10:00pm-1:00 am. Load in details will come at a later time.
- The Pflugerville Pride Pfestival Committee reserves the right to refuse exhibitor space at its own discretion.
- All business or other activity must be conducted in designated areas only. No distribution or solicitation of any kind may be done by strolling through the event without written agreement from Pflugerville Pride Pfestival Committee.
- Each vendor space is approximately 10’ x 10’. Vendor is responsible to provide Tent/Canopy, tables & chairs. If providing a tent/canopy, Vendor must secure with Sandbags or weights. No stakes are permitted.
- Vendors/Exhibitors are responsible for the safety and security of their designated vendor spaces.
- All supplies for your booth must fit within the space that has been reserved and assigned.
- Your booth area needs some type of lighting available provided by the applicant.
- NO water available. You must provide all needed power cords, portable water, cord protection, etc. that your operation requires. If you will be using your own generator, please submit the generator type for approval. If requesting an outlet, please provide a list of devices you will be powering. Max of (1) 20amp outlet.
- There is NO GUARANTEE that you are the only vendor of your type.
- If you are selling goods, all prices must be visible and legible to event attendees.
- All Vendors/Exhibitors must dispose of trash in approved containers. Leaving trash at your space will result in a $50 fine.
- The Pflugerville Pride Pfestival Committee reserves right to prohibit the sale or display of any item(s) that may be illegal, obscene or pornographic as deemed by local, state and federal laws.
- Music in the Vendor/Exhibitor area must not interfere with event activities and entertainment.
- Vendors/Exhibitors are responsible for any damages caused by themselves and/or employees/volunteers to other Vendors/Exhibitors and/or to the event.
- Pflugerville Pride is not responsible for any lost or stolen items or for any equipment owned, rented, or otherwise possessed by Vendors/Exhibitors.
- Pflugerville Pride cannot guarantee Vendor/Exhibitor sales or profits.
No individual profit gaining raffles or donations allowed at vendor booths.
- Vendors shall not sublet their space to anyone without prior approval from Pflugerville Pride.
- It is the responsibility of all Vendors/Exhibitors to pay the appropriate fees and taxes to government entities. If a Vendor/Exhibitor is forced to close because of lack of necessary permits and/or licenses, Pflugerville Pride will not be held liable and will not refund fees or deposits.
- The applicant acknowledges that, should the location change for the event, all rules and fees remain in effect at the new location.
- All Vendors/Exhibitors must comply with copyright laws and licensing regulations.
- Vendors are responsible for obtaining and providing any licenses/permits necessary.
- For food vendors who do not have an Austin Public Health Mobile Food Vendor Permit with the word "Pflugerville" on it, will need to get a Temporary Food permit. You will need to fill out a Vendor Booth Set up form and the fee is $114 payable to Pflugerville Pride. We will reach out to you with the forms.
- Vendors are solely responsible for paying any applicable sales tax to the appropriate jurisdiction stemming from sales of merchandise.
- Sales Tax Permits can be acquired through the Texas Comptroller of Public Accounts office at the following website https://comptroller.texas.gov/taxes/permit.
- No refunds. No exceptions. Fees paid may be applied to future events.
- Cancellations: In the event that the 2025 Pflugerville Pride Festival is canceled, any and all funds will be credited to the next festival date, so long as the festival is held within one (1) calendar year from November 1st, 2025 to November 1st, 2026. Should no event be held by Pflugerville Pride, a refund will be issued beginning November 1st, 2026, in the full amount paid, unless the vendor has opted, in writing, to waive their refund as a charitable donation to the Pflugerville Pride organization.
- Restrictions: Vendors shall not sell or distribute any item with the Pflugerville Pride logo or any combination of the words “Pflugerville Pride, PridePfest, or Pf Pride” without the written permission of the Pflugerville Pride Pfestival Committee.
- LICENSE; TERMINATION. Applicant understands that the Agreement merely confers a non-exclusive, limited license to participate in the Event for so long as Applicant, including its guests, sublicensees, employees, agents, directors, shareholders, members, managers, partners, vendors, joint venturers, and others participating with or on behalf of Applicant (collectively, “Applicant Participants”), abides by all terms of this Agreement. In the event any one or more of the Applicant Participants are (i) in violation of any term of this Agreement, (ii) engaging in conduct to the reasonably likely detriment of Pflugerville Pride, the Event, other participants at the Event, and/or the LGBT community at large, (iii) in violation of any applicable law, ordinance, or regulation, Pflugerville Pride may terminate and revoke such license within Pflugerville Pride’s sole discretion, with or without opportunity to cure, and require all Applicant Participants to leave the Event grounds in any timeframe Pflugerville Pride deems appropriate or necessary under the circumstances.
- All Vendor fees are considered donations to Pflugerville Pride.
- This agreement is the final writing and supersedes any prior negotiations.
