
Rho Sigma Alpha Sorority Inc Confidentiality Agreement

- Rho Sigma Alpha Sorority, Incorporated (RSA): A Delaware nonprofit corporation
This Confidentiality Agreement (the "Agreement") is entered into on this day of __{date33}_____ between _____{name}_____, hereinafter referred to as "Individual," and Rho Sigma Alpha Sorority, Incorporated, a Delaware nonprofit corporation, hereinafter referred to as "RSA."
WITNESSETH THAT:
The parties agree to the terms and conditions of this Agreement as follows:
WHEREAS
RSA is offering training and providing access to its unique and proprietary methods and systems, along with other confidential information pertaining to the operation of a social sorority. This information is not generally known and was not previously accessible to the Individual before their affiliation with RSA. In consideration for providing this valuable information, RSA requires the Individual to agree to certain confidentiality, non-disclosure, and non-compete obligations.
NOW, THEREFORE
In consideration of the mutual benefits derived from this Agreement, RSA and the Individual agree to the following terms:
1. Confidential Information
"Confidential Information" refers to any proprietary or confidential data belonging to RSA, encompassing information not widely known in relation to the operation of a social sorority, that provides RSA with a competitive edge or enhances its reputation. This includes, but is not limited to, business strategies, marketing plans, technical data, trade secrets, designs, member information,trademarks, media, designs, trade names, contracts, financials and other sensitive material. Confidential Information may be documented or not, patentable or otherwise, and includes any data created by RSA or provided to the Individual by RSA.
2. Confidentiality
The Individual agrees not to disclose or use, directly or indirectly, any Confidential Information obtained from RSA. This includes refraining from disclosing this information to any third party or using it for their benefit. Exceptions to this are disclosures mandated by law or court order, and information that becomes publicly known through no fault of the Individual. The Individual also agrees not to make negative or derogatory remarks about RSA or its members and will maintain the confidentiality of the terms and conditions of this Agreement.
3. Ownership of Work
All work produced by the Individual in connection with their duties at RSA, including notes, reports, and other deliverables, are the property of RSA. The Individual agrees to assign all rights to such work to RSA and will deliver all related materials to RSA upon request.
4. Non-Compete Clause
The Individual agrees that upon leaving RSA, they will not form or participate in the formation of another sorority or similar organization for a period of two (2) years. This prohibition applies to any direct or indirect involvement in the creation of a competing entity. If the Individual violates this non-compete clause, they agree to pay a fine of one thousand dollars ($1,000) to RSA.
5. Breach and Enforcement
If the Individual breaches this Agreement, RSA is entitled to seek injunctive or other equitable relief, as monetary damages may not be sufficient to address the harm caused by the breach. The prevailing party in any action to enforce this Agreement is entitled to recover reasonable attorneys' fees and costs.
6. Conflict of Interest
RSA members should avoid conflicts of interest and must disclose any situation that might create a conflict, even if one may not exist. Disclosure should be made in writing to the National President, who will determine whether a conflict exists and take appropriate action.
7. Notices
Notices required under this Agreement must be in writing and can be delivered personally, by courier, or by certified mail to the address specified by each party in this Agreement.
8. Modifications and Waivers
Modifications to this Agreement must be in writing and signed by both parties. Waivers of any terms do not imply a continuing waiver or the waiver of other terms unless stated in writing.
9. Severability
If any part of this Agreement is deemed unenforceable or invalid, the rest of the Agreement remains in effect. Any unreasonable or unenforceable clauses may be modified to ensure the Agreement remains valid to the fullest extent legally permissible.
10. Governing Law and Jurisdiction
This Agreement is governed by the laws of Delaware. Legal actions related to this Agreement must be filed in courts located in New Castle County, Delaware, or the U.S. District Court for Delaware. The parties agree to the jurisdiction and venue of these courts.
11. Binding Nature
This Agreement is binding upon and benefits the parties and their respective successors, heirs, personal representatives, executors, and assigns.
12. Reasonableness of Terms
The parties agree that the terms of this Agreement are reasonable in all respects. The Individual acknowledges the value and confidentiality of the information provided by RSA.
