  • INDEPENDENT CONTRACTOR AGREEMENT

  • This Independent Contractor Agreement (the “Agreement”) is entered into by and between Abie Mae Beauty LLC (the “Company”), a Nevada limited liability company, and the undersigned Contractor (the “Artist”), collectively referred to as “the Parties.”

    WHEREAS, Abie Mae Beauty engages experienced beauty professionals to provide hair, makeup, and related cosmetic services to clients at various on-location events;

    WHEREAS, the Artist desires to perform such services on behalf of Abie Mae Beauty as an independent contractor and not as an employee;

    WHEREAS, both parties wish to clearly define their responsibilities, expectations, and obligations under this Agreement;

    NOW, THEREFORE, in consideration of the mutual promises and commitments set forth herein, the Parties agree as follows:

  • Artist Duties & Expectations

  • 1.0 Services Provided
    Beginning on the effective date of this Agreement, and for the duration of this engagement, the Artist agrees to:

    Perform beauty services (such as hairstyling, makeup application, or other services as assigned) to the highest professional standard.
    Provide their own tools, kits, makeup, and beauty supplies.
    Submit a clear, final photograph of the completed work on each client for Abie Mae Beauty’s internal documentation and marketing purposes.
    Maintain a polished, punctual, and professional appearance on all job sites.
    Respect client confidentiality and uphold the reputation of Abie Mae Beauty at all times.

    2.0 Artist Acknowledgments & Responsibilities
    2.1 The Artist affirms they are at least 18 years old and legally eligible to work in the United States.

    2.2 The Artist confirms they are operating as an independent contractor and will be responsible for their own expenses, including but not limited to: travel, makeup supplies, and tools of the trade.

    2.3 The Artist understands that reliable personal transportation is required. Because services are delivered on-location, punctual arrival is essential.

    2.4 The Artist will notify Abie Mae Beauty of any unavailability or schedule changes at least 7 days in advance, or as soon as reasonably possible in the case of an emergency.

    2.5 The Artist agrees not to subcontract any services or send a replacement without prior written approval.

    2.6 If the Artist is unable to complete an assignment after accepting it, they must notify the Company immediately and assist in coordinating an approved backup artist if applicable.

  • Compensation + Independent Contractor Status


  • 3.0 Company Commitments
    3.1 Abie Mae Beauty agrees to communicate booking details clearly, including location, timing, rate, and any specific service requirements.

    3.2 The Company shall pay the Artist at the agreed-upon rate per job, as outlined in Appendix A.

    3.3 The Company shall treat all artists with respect, professionalism, and transparency, and foster a collaborative team environment.


    4.0 Compensation & Payments
    Compensation will be detailed in Appendix A and may vary depending on the service, client type, location, or day of the week.
    Payments are typically processed within 5-10 business days of service completion unless otherwise stated.
    The Artist is responsible for all taxes and will receive a W-9 form as part of this agreement. A 1099-NEC may be issued at year’s end if earnings exceed IRS thresholds.

     

    5.0 Independent Contractor Status
    5.1 The Artist acknowledges and agrees that they are operating as an independent contractor and not as an employee of Abie Mae Beauty. Nothing in this Agreement shall be interpreted to establish an employer-employee relationship, partnership, joint venture, or agency relationship.

    5.2 As an independent contractor, the Artist:

    Is free to accept or decline any assignment offered by Abie Mae Beauty.
    Is not guaranteed any specific number of assignments, hours, or minimum income.
    Is responsible for paying their own taxes, including federal, state, and self-employment tax.
    5.3 The Artist shall have no authority to represent, speak on behalf of, or legally bind Abie Mae Beauty in any capacity without prior written approval.

    5.4 The Artist shall not be entitled to participate in any employee benefits offered by the Company, including but not limited to health insurance, retirement plans, or paid time off.

    5.5 The Artist is responsible for maintaining any applicable licenses or permits required by their state or locality to legally provide professional beauty services.

  • Confidentiality, Brand Rules & Content Rights

  • 6.0 Confidentiality & Brand Integrity
    6.1 During and after the term of this Agreement, the Artist agrees not to disclose or share any confidential information related to Abie Mae Beauty, its clients, vendors, pricing structures, or internal operations.

    6.2 The Artist also agrees not to solicit or directly market services to Abie Mae Beauty clients outside of assigned jobs. All repeat business from existing clients must be coordinated through the Company unless otherwise agreed in writing.

    6.3 All client photos or behind-the-scenes content must be approved by the Company before posting on social media. Any materials featuring clients or branded events must reflect the standards and professionalism of Abie Mae Beauty.

     

    7.0 Photo Release & Intellectual Property
    7.1 The Artist agrees to take and submit at least one clear photo of the final look completed on each client, as requested by Abie Mae Beauty. These images are used for documentation, quality control, and marketing purposes.

    7.2 The Artist grants Abie Mae Beauty a non-exclusive, royalty-free, worldwide license to use any images or content submitted (including photos of completed looks or behind-the-scenes media), for marketing, promotional, and educational purposes, including but not limited to:

    Website and portfolio galleries
    Social media posts
    Print or digital advertisements
    Training and internal materials

    7.3 If any images feature clients, the Artist must ensure client comfort and consent before taking photos. Any content involving minors must be approved in advance and must follow legal guidelines.

    7.4 The Artist may use photos of their own work for personal portfolios or social media, provided that:

    Abie Mae Beauty is tagged or credited where appropriate
    The image is respectful and aligned with Abie Mae Beauty’s brand
    The client has not requested privacy or non-disclosure
    7.5 Abie Mae Beauty retains the right to edit, modify, or decline the use of any images that do not meet company quality standards or brand presentation.

  • 8.0 Cancellations, Tardiness, and No-Shows
    8.1 Cancellations by the Artist
    If the Artist must cancel a confirmed booking, they must notify Abie Mae Beauty immediately, and with as much notice as possible. Last-minute cancellations (within 24 hours of the event) are only acceptable in emergency situations and may result in removal from future booking priority or termination from the team at the Company’s discretion.

    8.2 If the Artist cancels more than once without a valid emergency or fails to show up for a confirmed booking, Abie Mae Beauty reserves the right to terminate this Agreement immediately.

    8.3 Running Late
    If the Artist anticipates being late to an event, they must contact the assigned coordinator or Company representative as soon as possible. Excessive or habitual tardiness will be documented and may result in removal from future bookings.

    8.4 Client Cancellations
    If a client cancels an event after the Artist has already been confirmed, Abie Mae Beauty will make every effort to find a replacement job or provide partial compensation when possible—but this is not guaranteed.

    8.5 No-Show Policy
    A “no-show” is defined as the Artist missing an event entirely without any prior communication. This is grounds for immediate termination and may result in being blacklisted from future work with the Company and its affiliates.

    8.6 Weather, Travel, and Force Majeure
    The Artist is expected to monitor weather and traffic and plan accordingly to arrive on time. Exceptions may be made in cases of extreme emergencies, but proof (e.g., road closures, emergencies) may be required.

  • Termination & Ending the Agreement

  • 9.0 Term & Termination
    9.1 This Agreement shall begin on the Effective Date and shall remain in effect until terminated by either party.

    9.2 Either the Artist or Abie Mae Beauty may terminate this Agreement at any time, for any reason, by providing written notice. However, any confirmed future bookings must still be honored unless otherwise agreed.

    9.3 Abie Mae Beauty reserves the right to terminate this Agreement immediately if the Artist:

    Violates client trust or professional boundaries
    Fails to communicate, repeatedly cancels, or no-shows
    Acts in a way that is harmful to the Company’s brand, team, or clients
    Engages in illegal or unethical conduct
    9.4 Upon termination, the Artist must return any property or branded materials belonging to the Company and will be compensated for any outstanding completed work.

     

  • W-9 Submission & Tax Obligations

  • 10.0 W-9 Information & Tax Acknowledgment
    10.1 The Artist agrees to complete and submit a digital IRS Form W-9 as part of this onboarding process. This will include full legal name, mailing address, and Social Security Number or EIN.

    10.2 The information submitted will be stored securely and used solely for tax reporting purposes. If total annual payments exceed $600, the Artist will receive a 1099-NEC form for tax filing by January 31 of the following year.

    10.3 The Artist acknowledges they are responsible for all personal income taxes, and Abie Mae Beauty will not withhold any federal, state, or local tax obligations.

    Note: Your W-9 info is encrypted and handled with strict privacy. We don’t mess around when it comes to your personal data.

    By signing below, the Artist acknowledges they have read, understood, and agreed to the terms outlined in this Independent Contractor Agreement. They affirm they are entering this relationship as an independent contractor and not an employee, and that all information provided is true and complete.
