CLIENT AGREEMENT
Welcome! I look forward to working with you. Please read this information carefully. The purpose of this Agreement is to set forth the details about working together so that we both are clear as to what each of our respective roles are and how our communication will take place so that our time will be positive, productive, and comfortable.
This Agreement is being made between Louise Mansergh, hereafter referred to as “Strategist”, and (hereafter referred to as “Client”). We both legally agree to the following:
PROGRAMME DETAILS
● 1 x 30 minute strategy session at the start
● 5 x 60 minute sessions (to be used within 3 months)
● Email and Messenger/Slack support between sessions
● Done with you marketing
Start date: w/c 7th July 2025
End date: 28th August (I have a couple of holidays booked)
EXPECTATIONS
During the Programme, you can expect that I will:
● Come prepared.
● Devote my full attention to you during our time together.
● Serve as your accountability partner and supporter.
● Offer support, encouragement, feedback and guidance.
● Provide done with you services
Please can you:
● Come prepared for our time together.
● Use your best efforts to complete all action steps.
● Promptly provide payment for the Programme.
● Be open to new ideas and willing to stretch and grow.
● Ask any questions you have as they arise.
SESSION GUIDELINES
Scheduling: Should you need to communicate between sessions, please reach out via Slack or Messenger between 9am-5pm on Monday-Friday. I will do my best to respond to you within 24 hours on weekdays. On weekends and holidays, I will do my best to reply to you by the next business day if not before.
Rescheduling: If you need to reschedule a session, just let me know and we can rearrange.
Cancellation: Our time together is important. If you need to cancel your session, please let me know at least 24 hours in advance of your scheduled time by sending an e-mail to me.
INVESTMENT & PAYMENT
Investment:
The Client agrees to the following investment and payment terms:
● The investment total is £500 and must be paid in full upon enrolment of the Programme.
Payment Authorisation: If paying by PayPal, debit card, credit card, or other electronic payment service, the Client gives the Strategist permission to automatically charge the Client’s credit card or debit card as payment for the Programme without any additional authorisation. An electronic receipt will be sent as proof of payment. If the Strategist provides a PayPal invoice instead, the Client is required to manually pay it by the date due on the invoice or the Programme will be put on hold until payment is made.
Missed Payment: If payment is not received by the date due or there is a problem with the payment transaction or method, the Client will be notified by e-mail and will have a 14 day grace period to make the payment following the due date, otherwise the Programme will be put on hold. If no payment is made within the 14 day grace period, the Programme will automatically terminate.
Refund Policy: It is my intention for you to be happy with your Programme. However, because I have invested considerable time and effort in the Programme, if you decide to withdraw at any time for any reason, you are still fully responsible for making all Programme payments, and no refunds will be provided.
TERMS & CONDITIONS
Intellectual Property Rights.
I retain all ownership and intellectual property rights to the Programme content and materials provided to you through the Programme, including all copyrights and any trademarks belonging to me. The Programme content and materials are being provided to you for your individual use only and with a single-user license which means that you are not allowed or authorised to share, copy, sell, post, distribute, reproduce, duplicate, trade, resell, exploit, or otherwise disseminate any portion of the Programme or Programme materials, electronically or otherwise, for business or commercial use, or in any other way that earns you money, without my prior written permission.
Personal Responsibility & Assumption of Risk: You acknowledge that you take full responsibility for yourself and all decisions made before, during and after your Programme. You accept full responsibility for your choices, actions and results before, during and after this Programme, and you knowingly assume all of the risks of the Programme related to your use, misuse, or non-use of the Programme or any of the Programme materials. You understand and agree that you are solely responsible for your results.
Termination: If either the Strategist or Client wishes to terminate the Agreement at any time, both agree to notify the other at least 14 days in advance by e-mail. Even after termination by either parties, all of the terms of this Agreement, including all of the Investment, Refund Policy, and Intellectual Property terms, will still apply to both parties now and in the future.
Notice: All correspondence or notice required regarding the Programme shall be made to the Strategist by e-mail at hello@louisemansergh.com and to the Client at the e-mail address you provided during your enrolment in the Programme. Should your e-mail address, billing information, or contact information change at any time throughout the Programme, please provide your updated information to me within 14 days of any change.
Dispute Resolution: Should we ever have any differences, it is hoped that we could work them out amiably through e-mail or Slack correspondence, or on our calls. However, if we are unable to seek resolution in 28 days, we agree now that that the only method of legal dispute resolution that will be used is binding arbitration before a single arbitrator, jointly selected by both of us, unless we both agree otherwise in writing. You understand and agree now that the only remedy that can be awarded to you through arbitration is the full refund of Payment made to date. No other actions or financial awards of consequential damages, or any other type of damages, may be granted to you. We both agree now that the decision of the arbitrator is final and binding, and may be entered as a judgment into any court having the appropriate jurisdiction. You also agree that should arbitration take place, it will be held in the in the UK, where my principal place of business is located, and the prevailing party shall be entitled to all reasonable solicitors’ fees and all costs necessary to enforce the decision of the arbitrator.
Confidentiality: The Strategist promises the client that all information provided to the Strategist will be kept strictly confidential. The Strategist will not disclose any information shared during the Programme to anyone else unless: (1) they have a legitimate reason to know such information as a member of my team or staff, (2) when required by law, or (3) the Client has given prior written permission.
DECLARATION
I, , understand and agree that I am fully responsible for my work during my time working with the Strategist, including my choices and decisions. I understand that the information I receive from the Strategist is only for the purpose to teach about marketing.
By signing this Agreement, we both acknowledge that we have read, understand, agree to and accept all of the terms in this Agreement. Electronic signatures of this Agreement are permitted and enforceable. You agree that you have had the opportunity to ask me any questions prior to signing, and your signature indicates that you are in agreement with all of the terms of this Agreement.
