Mutual Non-Disclosure Agreement(Pre-Launch Partnership Version)

PETEXPRESS: Your Pet Care Solutions LLC

Effective Date: 10/14/2025

1. Parties

This Mutual Non-Disclosure Agreement (“Agreement”) is made between PETEXPRESS: Your Pet Care Solutions LLC (“Company”), having its principal contact at admin@mypetexpresscard.com, and the undersigned Potential Partner (“Recipient”). Company and Recipient may each be referred to as a “Party” or collectively as the “Parties.”

2. Purpose

The Parties wish to explore a potential partnership or collaboration related to PETEXPRESS, a pet-care rewards and financing platform (the “Purpose”). In connection with this, each Party may disclose certain confidential or proprietary information (“Confidential Information”).

3. Definition of Confidential Information

Confidential Information includes, but is not limited to:
● business plans, financial data, projections, and strategies;
● partner lists, client data, and pricing models;
● product concepts, marketing plans, and technical designs;
● any information marked or reasonably understood as confidential.

4. Obligations of the Parties

Each Party agrees to:
a. Use Confidential Information only for the Purpose stated above;
b. Not disclose it to any third party without prior written consent;
c. Take reasonable steps to protect it from unauthorized use or disclosure;
d. Return or destroy all Confidential Information upon written request.

5. Exclusions

Confidential Information does not include information that:
● was already known to the receiving Party before disclosure;
● becomes publicly available through no fault of the receiving Party;
● is lawfully obtained from a third party without restriction;
● is independently developed without reference to the Confidential Information.

6. Term

This Agreement and the duty to protect Confidential Information shall remain in effect for two (2) years from the Effective Date.

7. No Obligation or Partnership

This Agreement does not obligate either Party to enter into any further agreement or business relationship. All discussions are exploratory and non-binding.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of
Georgia.

9. Entire Agreement

This document constitutes the entire understanding between the Parties regarding
confidentiality for the Purpose described herein.
