This Terms of Service Agreement (“Agreement”) is entered into by and between the Participant (“Participant” or “You”) and Steve Roehm, Roehm, LLC, and Conversational Alchemy™, and any associated entities or individuals (collectively referred to herein as “Company,” “We,” or “Us”) in connection with the Participant’s enrollment in and participation in the Conversational Alchemy™ Live Training (“Event”), to be held September 9-October 28, 2026 via PXch video conferencing.
By enrolling in the Event, you acknowledge that you have read, understood, and agreed to be bound by the terms of this Agreement in full.
1. Eligibility and Attendance Requirements
1.1. Open Enrollment: No prior experience is necessary to attend the Event.
1.3. Assessment Format: Certification requirements may include written, practical, and/or live/recorded performance evaluations, as determined solely by the Company. Participation in testing does not guarantee certification.
2. Fees, Refunds, and Cancellation Policy
2.1. Non-Refundable Deposit: Due to the significant costs involved in hosting this live event, all registrations include a $500 non-refundable deposit. This amount is retained under all circumstances and is not eligible for refund or transfer.
2.2. Refund Window: Tuition payments (excluding the $500 deposit) are refundable only if cancellation is received more than thirty (30) calendar days prior to the Event’s scheduled start date. All such refunds are subject to a 10% administrative fee.
2.3. Final Refund Deadline: Absolutely no refunds will be issued for cancellations made on or after August 9, 2026.
2.4. Cancellation Within 30 Days: If a Participant cancels within thirty (30) calendar days of the Event, no refunds will be given. However, at the Company’s sole discretion, the Participant may be eligible to apply their payment (excluding the $500 deposit) as a one-time credit toward a future training of equal or lesser value, which may be delivered online.
2.5 Multi-Pay Financing and Payment Responsibility
Students may be offered the option to pay for this course through a multi-pay arrangement made available through Stripe and/or its third-party payment processor/lender.
By selecting a multi-pay option, the student understands and agrees that the payment arrangement is a separate financial obligation between the student and the applicable third-party payment or financing provider. The student remains responsible for fulfilling all payment obligations under the terms agreed to at checkout.
The student understands that failure to make required payments, late payments, returned payments, chargebacks, or defaults may result in collection activity, additional fees, account restrictions, reporting to credit agencies, or other consequences as determined by the third-party payment or financing provider. These consequences may negatively affect the student’s credit report or credit score.
The student agrees that choosing a multi-pay option does not create a right to cancel future payments after the course has begun, after course access has been granted, or after the refund period, if any, has expired. Course access, attendance, non-attendance, lack of participation, personal schedule conflicts, or failure to complete the course do not release the student from their payment obligations.
Steve Roehm, Nashville Hypnosis, and/or the course provider are not responsible for payment disputes, financing decisions, credit reporting, collection actions, late fees, declined payments, or other actions taken by ThriveCart, Tipalti, or any related third-party payment or financing provider. Any questions, disputes, or issues regarding the multi-pay arrangement must be addressed directly with the applicable third-party provider.
Late payments may result in the student losing access to recordings and any future with Steve Roehm or any of his associates.
By selecting a multi-pay option, the student acknowledges that they have reviewed and agreed to all payment terms presented at checkout and that they are financially responsible for the full amount of the selected payment plan.
3. Code of Conduct and Ethics
3.1. Professional Conduct: Participants are expected to uphold the highest standard of integrity, ethics, and professionalism throughout the Event. This includes, but is not limited to:
- Respecting the boundaries, safety, and consent of all attendees and staff;
Refraining from disruptive, aggressive, abusive, harassing, or unethical behavior of any kind;
- Using the techniques taught only within their ethical intent and never to manipulate, deceive, exploit, or cause harm.
3.2. Violations and Consequences: Any breach of conduct may result in:
- Immediate removal from the Event without refund;
- Permanent revocation of certification, if issued;
- Lifetime ban from all future events, trainings, and affiliated communities under Conversational Alchemy™, Subtle Communication™, and any other Steve Roehm ventures.
3.3. Post-Event Ethics Review: Ethical violations discovered after the Event may result in retroactive revocation of certification and exclusion from all current and future offerings, communities, and trainings.
4. Attendance and Participation
4.1. This course is delivered online. Attendance at live classes is encouraged but not required. Participants are responsible for reviewing any available recordings, materials, assignments, or follow-up resources provided as part of the course.
4.2. Because attendance is optional, missed live sessions do not qualify for a refund, credit, make-up session, or extension unless otherwise stated in writing by Steve Roehm or Nashville Hypnosis.
4.3. Participants understand that the value of the course depends in part on their own participation, practice, review of materials, and application of the concepts presented.
4.4. Participants will have access to video recordings of all classes for 12 months after final class is posted, unless participant purchases lifetime access with certification.
5. Certification
5.1. Requirements for Certification: Certification is not guaranteed and is awarded solely at the discretion of the Company, based on:
- Demonstrated skill, competency, and ethical understanding of the material;
- Completion of all required written or performance-based assessments.
- All evaluation material(written, video demonstration, etc.) MUST be submitted no later than November 28, 2026.
5.2. Scope of Certification: Certification does not imply or authorize practice in therapy, psychology, counseling, or any other licensed or regulated field. It should not be presented or construed as such.
6. Confidentiality and Intellectual Property
6.1. Ownership: All materials, techniques, recordings, exercises, and content presented during the Event are the exclusive intellectual property of the Company and/or Steve Roehm.
6.2. Usage Restrictions: Participants agree not to:
- Reproduce, distribute, share, teach, or license any of the Event material without written permission;
- Use the techniques outside of their taught ethical context or intent;
- Record, publish, or publicly share any portion of the Event without explicit authorization.
6.3. Binding Agreement: By attending the Event, the Participant agrees to the terms of the Confidentiality and Non-Disclosure Agreement, which is hereby incorporated into this Agreement by reference.
7. Media Release
7.1. Permission to Record: Participant grants the Company irrevocable permission to record, photograph, livestream, or otherwise capture their image, voice, and likeness during the Event.
7.2. Media Use: Participant grants the Company and its affiliates the right to use this media in any format and for any lawful purpose, including:
- Advertising and promotional use;
- Educational or training materials;
- Online content or paid programs.
- No compensation will be provided for such use.
8. Force Majeure and Event Modification
8.1. Event Changes: In the event of unforeseen circumstances beyond the Company’s control (e.g., natural disaster, public health emergency, venue cancellation, etc.), the Company reserves the right to reschedule, relocate, or convert the Event to a virtual format.
8.2. Refunds Not Issued: No refunds shall be given in the event of such changes, including a change of format or location.
9. Assumption of Risk and Limitation of Liability
9.1. Educational Purpose: This Event is intended for educational and personal development only and is not a substitute for medical, psychological, or psychiatric care.
9.2. Responsibility: Participant assumes full responsibility for their own mental, emotional, and physical well-being before, during, and after the Event.
9.3. Limitation of Liability: To the fullest extent permitted by law, the Company disclaims all liability for any injury, loss, or damages—whether direct or indirect—arising from participation in the Event or the use of its content.
10. Governing Law and Dispute Resolution
10.1. Jurisdiction: This Agreement is governed by the laws of the State of Tennessee, United States.
10.2. Arbitration: Any dispute arising from this Agreement shall be resolved through confidential arbitration in Nashville, Tennessee, in accordance with the rules of the American Arbitration Association. Judgment on the award may be entered in any court of competent jurisdiction.
11. Entire Agreement and Amendments
11.1. Complete Understanding: This Agreement represents the entire agreement between the Participant and the Company and supersedes any prior discussions, emails, or verbal understandings.
11.2. Right to Modify: The Company reserves the right to amend these Terms at any time. Updates will become binding upon publication on the official Event website or direct communication to enrolled Participants.
Acknowledgment
By submitting payment and/or applying to participate in Conversational Alchemy™ Live, Participant affirms they have read, understood, and agreed to all terms and conditions outlined in this Agreement.
