    ALL ATTENDEES are required to sign and check-in with their QR Code before gaining entry to the Expo Venue.
  • PART I: LIABILITY RELEASE AND WAIVER

    I hereby understand that my participation in the ASDRP Symposium held on Saturday, September 13, 2025 at Mission College, incurs the risk of personal injury or death. To the maximum extent allowed by law, I agree to hold harmless the Aspiring Scholars Directed Research Program (ASDRP) and its employees, directors, and designees (hereafter “ASDRP”) for expenses relating to injuries (up to and including death), accidents, diseases, property damage, and/or property loss which may occur as a result of my participation in the ASDRP Symposium held on Saturday, September 13, 2025 at Mission College. I understand that it will be my responsibility to provide for payment of such expenses beyond the secondary limited accident insurance, should they occur.  I am aware of the hazards associated with the transportation to and from, as well as participation in, this activity. I also understand that I have the ability to refuse to sign this Form. In addition, that if I refuse to sign, I will not be permitted to participate in the activity. I also understand that this activity may expose myself or my child to some risks and I assume any such risk that may arise there from. I accept full responsibility for all medical expenses for any injuries that might occur to me by reason of my participation. By signing this form, however, I hereby release ASDRP and its parent nonprofit, Olive Children Foundation, a California 501(c)(3) nonprofit organization, its Board, its Board members, administrators, directors, officers, contractors, employees, agents, assigns, and volunteers (“released parties”) from and against any and all claims, demands, actions, complaints, suits or other forms of liability that any of them may sustain. I also agree to indemnify and hold harmless the released parties from the released claims, including any and all related costs, attorney fees, liabilities, settlements, and/or judgments. I confirm that I have carefully read this CONSENT AND RELEASE and agree to its terms knowingly and voluntarily. I also confirm that I am 18 years or older.
  • PART II: VIDEO AND PHOTOGRAPH RIGHTS RELEASE

    By attending the ASDRP Symposium held on Saturday, September 13, 2025 at Mission College, I understand that I may be photographed or video-recorded by event staff for legitimate purposes. I hereby grant ASDRP, its agents, employees, and board members (the “Institute”) the irrevocable right and permission to use photographs and/or video recordings of me taken during the event on the ASDRP website and other websites and in publications, promotional flyers, educational materials, derivative works, or for any other similar purpose without compensation to me. I understand and agree that such photographs and/or video recordings of me may be placed on the Internet.  I also understand and agree that I may be identified by name and/or title in printed, Internet or broadcast information that might accompany the photographs and/or video recordings of me.  I waive the right to approve the final product.  I agree that all such portraits, pictures, photographs, video and audio recordings, and any reproductions thereof, and all plates, negatives, recording tape and digital files are and shall remain the property of ASDRP. I hereby release, acquit and forever discharge the Institute, its current and former trustees, agents, officers and employees of the above-named entities from any and all claims, demands, rights, promises, damages and liabilities arising out of or in connection with the use or distribution of said photographs and/or video recordings, including but not limited to any claims for invasion of privacy, appropriation of likeness or defamation. I hereby warrant that I am eighteen (18) years old or more and competent to contract in my own name or, if I am less than eighteen years old, that my parent or guardian has signed this release form below.  This release is binding on me and my heirs, assigns and personal representatives.
  • PART III. CONFIDENTIALITY AND INTELLECTUAL PROPERTY AGREEMENT

     

    This CONFIDENTIALY AND INTELLECTUAL PROPERTY AGREEMENT  (this “Agreement”) made as of the date signed, is by and between:

    All  attendee of the ASDRP Symposium held on Saturday, September 13, 2025 at Mission College, referred to as (“ATTENDEE”); and Aspiring Scholars Directed Research Program (ASDRP), a California nonprofit public institution of education located at  46307 Warm Springs Boulevard, Fremont, CA 94539, its students, directors, employees, contractors, collaborators, and agents, referred to as (the “DISCLOSING PARTY”).                                                 
    AGREEMENT

    WHEREAS, the ATTENDEE to this Agreement, in registering to attend the ASDRP Fall-Winter Symposium (“VENUE”), understands that certain information presented at such a venue is legally classified as ‘CONFIDENTIAL INFORMATION’, and that all information presented, either in verbal or written form, constitutes ‘INTELLECTUAL PROPERTY’ of the DISCLOSING PARTY. Therefore, all such disclosures are subject to the terms and conditions set forth in this Agreement.

    NOW, THEREFORE, in consideration of, and as a condition to, the DISCLOSING PARY’s ASDRP Symposium held on Saturday, September 13, 2025 at Mission College attendance, the ATTENDEE  hereby agrees as follows:

    1. DEFINITIONS OF CONFIDENTIAL INFORMATION
      1. Confidential Information means all information disclosed (whether in oral, written, or other tangible or intangible form) by DISCLOSING PARTY to ATTENDEE. Confidential Information includes without limitation: know-how, research, product or service ideas or plans, inventions, clinical data and analysis, reagents, cell lines, biological materials, chemical formulas, technical data, trade secrets and other business information disclosed by DISCLOSING PARTY.
      2. Unless otherwise stated or explicitly defined in writing, all information presented, either oral or written or in depiction, at the ASDRP poster session shall be treated as Intellectual Property of the DISCLOSING PARTY.
      3. Information specifically marked as “CONFIDENTIAL” shall not be photographed, noted, recorded, reproduced, or reshared under any circumstances without the written approval of the DISCLOSING  PARTY. Failure to comply with information confidentiality shall be  prosecuted to the fullest extent of  the Governing Law. 
    2. GOVERNING  LAW
      1. This Agreement shall be governed by the laws of the State of California except for any conflicts of law rules thereof which might direct the application of the substantive laws of another state.
      2. Each party agrees that all actions and proceedings arising from or related to this Agreement or its subject matter may be litigated in state or federal courts located in Santa Clara County, California.
    3. TERMS AND LIMITATIONS ON USE OF CONFIDENTIAL INFORMATION
      1. At all times, the ATTENDEE shall keep Confidential Information confidential, except as the DISCLOSING PARTY may otherwise consent in writing. The Confidential Information shall not include information that is, or becomes, part of the public domain, not as a result of any inaction or action of the ATTENDEE.
      2. The ATTENDEE shall not deliver, reproduce, or in any way allow any such Confidential Information to be delivered to or used by any third parties for any purpose (including, without limitation, any purpose harmful to or competitive with the interests of the DISCLOSING PARTY) without the specific direction or consent of a duly authorized representative of the DISCLOSING PARTY. 
      3. The ATTENDEE agrees that any Confidential Information disclosed under this Agreement: (a) as it relates to Confidential Information disclosed by ASDRP and its students, agents, or collaborators, derives independent economic value, actual or potential, from not being generally known to, and not being readily ascertainable through proper means by other persons who can obtain economic value from its disclosure or use, and (b) as it relates to Confidential Information disclosed by disclosing party, derives independent economic value, actual or potential, from not being generally known to the public or to other persons who can obtain economic value from its disclosure or use.
      4. All rights, title, and interest in Confidential Information disclosed pursuant to this Agreement are reserved by the DISCLOSING PARTY, and the ATTENDEE will not use such Confidential Information disclosed to it by the DISCLOSING  PARTY to benefit itself or others, except for the limited purposes for which the Confidential Information is disclosed within the context of this Agreement. 
    4. TERMINATION
      1. This Agreement shall take effect as of the date signed by ATTENDEE and shall remain in effect at all times under the terms and conditions of this Agreement.
