Vary Natural Publishing Administration Agreement

This Administration Agreement (“Agreement”) is entered into between Vary Natural Publishing LLC, a Missouri limited liability company (“Vary Natural,” “we,” or “us”), and the undersigned artist, songwriter, producer, label, or authorized representative thereof (“you” or “the Artist”).

1. Services We Provide

Under this Agreement, Vary Natural will provide music publishing administration services including:

• Registering your works with Performing Rights Organizations (PROs)
• Securing mechanical licensing registrations
• Collecting royalties for public performances, mechanical uses, and sync licenses
• Creating tailored playlists and pitching your music for sync placements
• Offering optional copyright registration services
• Tracking and managing incoming royalties
• Providing royalty statements
  
  We pitch our entire catalog regularly, may feature songs in playlists, and may pitch individual songs as appropriate. However, we do not guarantee individual pitches or placements.

2. Your Rights Are Yours

You retain 100% ownership of all your songs and masters. We do not claim any copyright ownership over your music. This is a publishing administration agreement only.

You are granting us administrative rights solely for the purposes of registering, licensing, collecting, and distributing royalties related to your music.

3. Term

This Agreement will last for one (1) year starting on the Effective Date. This ensures you receive at least one royalty statement and the full value of our services.

After the first year, it will automatically renew for free unless you notify us in writing that you'd like to terminate at least 30 days before renewal.

4. Fees & Compensation

We keep things simple and transparent:

Upfront Fee: A one-time, non-refundable payment you make when selecting your service.
Admin Fee: We retain 10% of all royalties we successfully collect on your behalf.
That’s it. No hidden charges. No exclusivity traps. Just clear terms.

5. Copyright Registration (Optional)

We offer to help you register your works with the U.S. Copyright Office upon request. This is entirely optional and only done at your direction. A one-time payment will cover the cost of registering plus a minimal admin fee.

6. No Guarantees

While we do actively pitch our catalog and work hard to create opportunities, we cannot promise any sync placements, licensing deals, or royalty amounts.

We do guarantee effort, transparency, and regular communication.

7. Termination

If you wish to cancel after the first year or stop auto-renewal, just send us an email at varynaturalpublishing@gmail.com at least 30 days before your term renews.

Upon termination:

We will stop pitching and administering your music.
We’ll ensure any remaining royalties due to you are disbursed with your final royalty statement.

8. Legal Stuff

This Agreement is governed by the laws of the State of Missouri. Any disputes will be handled in accordance with Missouri law.

9. Artist Responsibilities

To help us maximize the royalties you’re owed, you agree to:

Notify Vary Natural of any recent or upcoming live performances, including but not limited to concerts, showcases, radio sessions, or televised appearances.
Provide accurate and timely metadata, including song titles, collaborators, ISRC codes, and release dates.
Communicate any updates to contact information or payment details.
We rely on this information to make sure every possible royalty stream is tracked and paid to you correctly.

10. Works Covered

This Agreement applies to all musical works (compositions and/or sound recordings) submitted by the Artist to Vary Natural during the term of this Agreement, whether individually or as part of a larger collection (e.g., album, EP, or catalog upload).

This includes:

Any works uploaded through our website or portal
Any works emailed, transferred, or otherwise delivered to us
Any new works added during the term or renewal periods
The Artist warrants that they have the authority to submit these works for administration, and such works will automatically fall under the same terms of this Agreement upon delivery.

11. Confidentiality and PII

Vary Natural agrees to protect the confidentiality and security of any Personally Identifiable Information (PII) disclosed by the Artist in connection with this Agreement.

We will not share, sell, or disclose your personal information — including names, contact details, payment data, or catalog information — to any third party without your explicit consent, except as required by law or necessary to perform the services outlined in this Agreement.

All such data will be handled in accordance with applicable privacy and data protection laws.

12. Amendments

This Agreement may only be modified or amended by a written document signed by both parties. No oral modifications shall be valid.

Any updated terms or policies (including pricing, scope of services, or renewal terms) will be communicated in writing and require written acceptance to go into effect.
