Agreement and Enforcement
Should the Vendor breach any term of this Agreement, NHWCM, at its sole discretion, reserves the right to:
(1) Immediately terminate this Agreement;
(2) Require the Vendor to cease operations and vacate the premises upon notice of violation; and
(3) Retain all vendor fees paid without refund; and
(4) Forfeit all right to future NHWCM or Nourish New England events in the future, including other events already planned and/or paid for, without refund.
This Agreement constitutes the full and final agreement between the parties. No amendments or modifications shall be valid unless made in writing and signed by authorized representatives of both parties.
Terms and Conditions
1. Payment Terms
Vendor fees are due in full within 10 calendar days of approval. Vendor space is not secured until full payment and a completed registration form are received. Failure to pay within the deadline may result in cancellation of participation.
2. Insurance and Indemnification
Vendor shall defend, indemnify, and hold harmless NHWCM, Nourish New England, the Town of Merrimack, and all property owners/managers of the event venue, from any and all claims, losses, damages, liabilities, or expenses (including legal fees) arising out of or related to the Vendor’s participation in the NHWCM event, including but not limited to property damage, personal injury, or death, whether caused in whole or in part by the negligence of the aforementioned parties, Vendor, or any third party.
Vendors selling food or beverages must provide a certificate of liability insurance at a minimum of $1 million naming NHWCM and the Town of Merrimack as additional insureds.
3. Permitting
Vendors are responsible for obtaining and maintaining all necessary permits required by the State of New Hampshire and the Town of Merrimack to legally operate their business at the event.
4. Vendor Selection and Placement
NHWCM retains exclusive and final authority over the selection, approval, and placement of all vendors participating in the New Hampshire World Christmas Market. Submission of an application does not guarantee acceptance. Vendor placement and booth assignments are determined solely by NHWCM. While reasonable efforts will be made to accommodate placement requests, no specific location is guaranteed. Assigned booth locations may be changed at any time due to weather conditions, logistical adjustments, accessibility needs, or event flow optimization. NHWCM will make every effort to communicate changes in a timely manner, but reserves the right to make last-minute adjustments as deemed necessary for the overall success of the event.
Purchasing a vendor space reserves the position for the event duration. Vendor space may not be sold, transferred, or shared with any other individual, business, or organization without prior written approval from NHWCM.
Participation in previous events, while valued, does not guarantee approval for future events. NHWCM reserves the right to reassess vendors annually.

By participating in NHWCM, the Vendor agrees to conduct themselves—and ensure their staff or representatives conduct themselves—in a manner that reflects these values and contributes positively to the overall atmosphere of the event.
5. Vendor Space Requirements
Tent vendors are allocated a 10’x10’ space; food truck vendors must submit their required footprint. Additional space, tent sharing, or auxiliary structures are not permitted without prior written approval. Vendors must provide their own white flame-retardant tents, sidewalls, weights (minimum 40 lbs per leg), lighting, décor, tables, chairs, and heating (propane only).
6. Electricity
Vendors must declare electrical needs during the application process and electricity will be awarded based on application approval date. Additional electrical needs will be awarded on a first-come, first-served basis. Approved vendors must bring their own grounded outdoor-rated extension cords (minimum 14-gauge; 16-gauge cords will not be accepted). Power strips and space heaters connected via extension cords are prohibited unless approval is expressly granted in writing by a Board Member of Nourish New England (NNE). Generators may be used if approved in advance and must operate at <60 dB.
7. Internet Connectivity
Cellular service is generally reliable at the venue; however, large crowds may limit connectivity. Limited Wi-Fi may be available but is not guaranteed. Vendors requiring internet access should plan accordingly.
8. Parking
Vendors must park only in designated areas. A parking map will be provided prior to the event. NHWCM is not responsible for parking violations, towing, or fines.
9. Merchandise Approval
All items for sale must be approved by NHWCM. Product exclusivity is not guaranteed. The sale or display of illegal, unlicensed, or counterfeit merchandise is strictly prohibited. Vendors must comply with all applicable international, federal, state, and local laws.
10. Refund Policy
Written refund requests received by December 1, 2025 may be eligible for a full refund. No refunds will be issued after this date or for noncompliance with safety or health regulations or any other reason as listed herein in this document.
11. Returned Payments
A $35 service fee will be charged for any returned checks or failed electronic payments.
12. Security
Security personnel will be on-site throughout the event. Overnight equipment storage is at the Vendor’s own risk. Contact NHWCM in advance to coordinate.
13. Attendance Disclaimer
NHWCM makes no guarantees regarding visitor turnout or sales performance.
14. Force Majeure
NHWCM is not liable for cancellation, interruption, or delay of the event due to weather, acts of God, terrorism, governmental restrictions or regulations, labor strikes, or any other emergency or unforeseen circumstance that renders it unsafe, impractical, or impossible to hold the event as scheduled.
In the event that NHWCM, in its sole discretion, determines that cancellation, postponement, or relocation of the event is necessary due to a Force Majeure event, NHWCM shall make reasonable efforts to reschedule the event to the offered alternative date, if possible. However, no refunds shall be issued for fees already paid by the Vendor, and NHWCM shall have no further liability for losses or damages incurred as a result of such cancellation or rescheduling.
Vendors are encouraged to prepare for all seasonal weather conditions typical of an outdoor winter event in New England. Participation in the event acknowledges the assumption of this inherent risk
15. Operating Hours
All vendors are expected to remain open during event hours, rain, snow or shine. Early breakdowns without written approval may result in exclusion from future events. Vendors must arrive by 8:00 AM on opening day; late arrivals may not be permitted entry.
16. Sound & Noise
Family-friendly music may be played within vendor spaces provided it is festive and does not interfere with stage performances, ambient sound systems provided by NHWCM or the event or adjacent vendors. Generators must not exceed 60 dB. For the safety and comfort of all participants, the use of fireworks, firecrackers, pyrotechnics, or excessive lighting displays (including strobe lights or flashing effects) by vendors is strictly prohibited without prior written approval from NHWCM.
17. Cleanliness
Vendors are responsible for removing all trash, materials, and equipment from their assigned space at the conclusion of the event. Any vendor space left in an unacceptable condition, as determined at the sole discretion of NHWCM, will incur a $250 cleaning fee. If additional removal or disposal services are required, the Vendor will be invoiced for the full cost of professional junk removal, based on specific needs.
Any items remaining on-site after the close of the event will be deemed abandoned and may be removed and discarded without notice or liability. NHWCM is not obligated to return, store, or communicate regarding any unclaimed items.
18. Decorations
All vendors are expected to contribute to the festive and family-friendly atmosphere of the New Hampshire World Christmas Market through tasteful, safe, and holiday-themed decorations. NHWCM reserves the right, at its sole discretion, to determine whether any décor is inappropriate, offensive, unsafe, or inconsistent with the spirit of the event.
Vendors may be asked to remove such décor immediately upon request. Failure to comply may result in the Vendor’s removal from the event without refund and/or disqualification from future events hosted by NHWCM and Nourish New England.
19. Weather Preparedness
This is a winter outdoor event. Vendors should dress appropriately and prepare for cold temperatures, early sunset (around 4:00 PM), and potential snow. Lighting is required for evening operation.
