This Lead Generation Agreement ("Agreement") is made and entered into by and between Akilo Technology Company ("Company") and Lead Generator ,an independent contractor ("Lead Generator"), as of the date of signature.

WHEREAS, the Company is engaged in [briefly describe Company's business, e.g., providing technology solutions]; and

WHEREAS, the Lead Generator is an independent individual/entity with expertise in identifying potential clients and wishes to provide lead generation services to the Company;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. Purpose and Scope of Services

1.1 Services: The Lead Generator agrees to scout for and identify potential business leads ("Leads") for Akilo Technology Company. The Lead Generator's sole responsibility under this Agreement is to gather relevant contact and business information for potential clients and accurately input this information into the Company's designated website or Customer Relationship Management (CRM) system.

1.2 No Authority to Represent or Bind: The Lead Generator is strictly an independent contractor. The Lead Generator shall NOT act as an agent, employee, or representative of Akilo Technology Company for any purpose other than identifying and submitting Leads. The Lead Generator is expressly prohibited from:

Negotiating, quoting, or closing deals on behalf of the Company.
Making any commitments, warranties, or representations regarding the Company's products, services, or pricing.
Engaging in any activities that could be construed as employment or partnership with the Company.
1.3 Positive Representation: The Lead Generator agrees to represent Akilo Technology Company in a professional and positive manner at all times. The Lead Generator shall not engage in any conduct, communication, or action that could harm the Company's reputation, brand, or business interests.

2. Independent Contractor Status

2.1 Independent Relationship: The Lead Generator is an independent contractor and not an employee, partner, joint venture, or agent of Akilo Technology Company. This Agreement does not create an employer-employee relationship between the parties.

2.2 No Employee Benefits: The Lead Generator is solely responsible for all federal, state, and local taxes, including income tax, social security, and unemployment insurance, arising from compensation received under this Agreement. The Lead Generator is not entitled to any employee benefits provided by the Company, including but not limited to health insurance, paid time off, retirement plans, or worker's compensation.

2.3 Control of Work: The Lead Generator shall have sole control over the manner and means by which the services are performed, including the hours worked and the methods used to identify Leads, provided that the services are performed in accordance with the terms of this Agreement.

3. Compensation

3.1 Commission Structure: The Lead Generator shall be compensated solely on a commission basis. For each qualified Lead submitted by the Lead Generator that results in a closed deal for Akilo Technology Company, the Lead Generator shall receive a commission equal to three percent (3%) of the total confirmed deal value.

3.2 Payment Terms: Commissions will be paid to the Lead Generator within [Number] days after the Company has confirmed the deal closure and received the full payment from the client. The Company will provide a statement detailing the closed deals and corresponding commissions.

3.3 No Other Compensation: The Lead Generator acknowledges that no other compensation, salary, benefits, or reimbursement for expenses (including but not limited to transport, internet, or phone service) will be provided by the Company under this Agreement.

3.4 Qualified Lead: A "qualified Lead" is defined as a new potential client identified and submitted by the Lead Generator that was not previously known to the Company or actively pursued by the Company within the last [Number] months. The Company reserves the right to determine the qualification of a Lead.

4. Term and Termination

4.1 Term: This Agreement shall commence on the date of signature and shall continue until terminated by either party as provided herein.

4.2 Termination by Either Party: Either party may terminate this Agreement for any reason by providing [Number] days' written notice to the other party.

4.3 Termination for Cause by Company: The Company may terminate this Agreement immediately upon written notice if the Lead Generator:

Breaches any material term of this Agreement, including but not limited to Section 1.2 (No Authority to Represent or Bind) or Section 1.3 (Positive Representation).
Engages in any conduct that is harmful to the Company's reputation or business interests.
Fails to perform the services to a reasonable standard or consistently submits unqualified Leads.
4.4 Effect of Termination: Upon termination, the Lead Generator shall cease all lead generation activities for the Company. Commissions for deals closed and paid to the Company prior to the effective date of termination, resulting from Leads submitted by the Lead Generator, shall still be paid according to Section 3.1 and 3.2.

5. Intellectual Property and Data Ownership

5.1 Ownership of Lead Data: All Lead information, data, and contact details submitted by the Lead Generator into the Company's website or CRM system shall become the exclusive property of Akilo Technology Company upon submission. The Lead Generator shall have no claim to ownership or future use of such data.

5.2 Use of Data: The Company may use the submitted Lead data for its business operations, including sales, marketing, and internal analysis, at its sole discretion.

6. Confidentiality

6.1 Confidential Information: The Lead Generator acknowledges that during the course of this Agreement, they may gain access to confidential and proprietary information of Akilo Technology Company, including but not limited to business strategies, client lists, internal processes, and marketing plans ("Confidential Information").

6.2 Obligation: The Lead Generator agrees to keep all Confidential Information strictly confidential and shall not disclose, use, or exploit such information for any purpose other than performing services under this Agreement, either during the term or after its termination.

6.3 Exceptions: This obligation does not apply to information that is publicly known, becomes publicly known through no fault of the Lead Generator, or is required to be disclosed by law.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Ethiopia.
