    TERMS AND CONDITIONS Here are the terms that govern the way you interact with the Master Builders Association of South Australia (MBASA). By using the Products and Services or becoming a member, you acknowledge that you have read, understood and agree to be bound by these terms: 1. How do I become a member? 1.1 In order for you and/or your business to become a member with MBASA: (a) you agree you are the authorised representative of the applicant (you and/or your business) and have the authority to bind the applicant to these terms; (b) you and your business agree to be bound to any building and construction code of practice endorsed by MBASA, and the Membership Code of Conduct; (c) you agree to an initial membership term of 12 months (Initial Term); (d) you have completed the membership application form, with true and accurate information about the applicant; and (e) you have ensured the fee required to become a member (Membership Fee) is paid in accordance with clause 2. 1.2 Upon receipt of the application, MBASA Council’s will then consider your application for approval in accordance with MBASA’s Constitution and section 166 of the Fair Work (Registered Organisations) Act 2009. During this time, you will be provided access to some products and services available to existing members (Products and Services). 1.3 If your application is declined by the MBASA Council, you will be refunded for any payments of the Membership Fee you have made and access to Products and Services will be revoked. 2. Credit Checks 2.1 Consent to credit check By submitting a membership application, you consent to MBASA (or its authorised agent) conducting a credit check on you and/or your business as part of the membership assessment process. This may include obtaining a credit report from a registered credit reporting body under the Privacy Act 1988 (Cth). 2.2 Purpose of credit check Credit checks are conducted solely for the purpose of assessing membership applications and managing ongoing membership risk. MBASA will not use credit information for any other purpose without your prior consent. 2.3 Adverse credit result MBASA reserves the right to decline a membership application, or to suspend or terminate an existing membership, where a credit check reveals: (a) a default, judgement or court order that has not been satisfied; (b) insolvency proceedings, administration, or liquidation (current or prior within the last three years); (c) a pattern of late or non-payment that, in MBASA’s reasonable opinion, presents an unacceptable financial risk; or (d) information that is materially inconsistent with information provided in the membership application. Where a membership application is declined on the basis of a credit check, MBASA will notify the applicant and refund any Membership Fee paid. Where an existing membership is suspended or terminated on this basis, MBASA will provide written notice and the member may request a review within 14 days. 2.4 Ongoing credit monitoring MBASA may conduct periodic credit checks on existing members during the term of their membership, no more than once per membership year, as part of its ongoing member risk management. Members consent to this by renewing their membership. 3. Builder’s Licence Verification 3.1 Licence requirement for applicable categories Members holding a membership category that requires a current builder’s licence under the Building Work Contractors Act 1995 (SA) (including but not limited to categories H1, H2, H3, H4, H5 and their restricted or provisional variants) must, at all times during their membership: (a) hold a valid and current builder’s licence issued by Consumer and Business Services SA or such other regulatory body that governs builders’ licences; (b) ensure that the licence details provided to MBASA at the time of application are accurate and up to date; and (c) notify MBASA in writing within 14 days of any suspension, cancellation, downgrade or material change to their licence. 3.2 Failure to hold a valid licence Where MBASA believes on reasonable grounds that a member in a licence-required membership category no longer holds a current valid licence, MBASA may: (a) request written confirmation of current licence status within 7 days; (b) suspend access to Products and Services pending confirmation; and/or (c) reclassify or terminate the membership in accordance with MBASA’s Constitution, with any applicable fee adjustment determined at MBASA’s discretion. 3.3 Licence verification consent By applying for or renewing a membership in a licence-required category, you consent to MBASA verifying your licence status directly with CBS or through any publicly available register at any time during your membership. 4. How do I pay? 4.1 The Membership Fee must be paid annually, and through direct debit from your nominated account. 4.2 If you are an existing member and you select a new category of which provides access to training courses, discounts or MBASA’s discount with Toyota (or any other third-party benefit offered at MBASA’s discretion) (Products and Services Discounts), the member must pay the Membership Fee for the remaining term in a lump sum payment before accessing the Products and Services Discounts. 4.3 If you are paying by direct debit, the account holder agrees to have read, understood and accepted these terms. The account holder will be required to complete the direct debit form that will appear after you click submit. 4.4 Monthly payments are debited on the 20th of the month or the nearest business day. 4.5 Your membership will be automatically renewed every 12 months (Renewal Term), and the Membership Fee will continue to be deducted annually on the anniversary of the Initial Term. 5. Membership Changes 5.1 Change in circumstances If your circumstances change in a way that affects your eligibility for your current membership category — including but not limited to the lapse, suspension or cancellation of a builder’s licence, a change in business structure, or a change in the nature of your building and construction activities — you must notify MBASA in writing within 30 days of that change. 5.2 Reclassification Upon receiving such notification, or upon becoming aware of a relevant change, MBASA may reclassify your membership to the appropriate category. Any difference in Membership Fee will be: (a) invoiced to you and payable within 14 days, where the new category carries a higher fee; or (b) credited to your account for the remaining term, where the new category carries a lower fee. 5.3 No refund on voluntary downgrade A member who voluntarily requests reclassification to a lower membership category mid-term will not be entitled to a refund of the difference in Membership Fee already paid for the current term, unless MBASA determines otherwise at its absolute discretion. 6. What happens if I don’t pay? If your Membership Fee remains outstanding for a period of one month or more, we can: 6.1 suspend any services, benefits, promotions, discounts or courses associated with your membership; 6.2 deem you to be a ‘non-financial’ member in accordance with the constitution of MBASA; 6.3 suspend you as a member of MBASA and any rights attached to such membership pursuant to the constitution of MBASA; 6.4 charge interest on the default amount at a rate of 10% per annum; and/or 6.5 pursue the recovery of the debt by way of debt collection, court proceedings or otherwise. 7. I no longer want my membership. What do I do? Sometimes good things come to an end. 7.1 You are able to terminate your membership by giving us at least 4 weeks’ notice before the expiry of the Initial Term or Renewal Term (as applicable). 7.2 If you terminate during the Initial Term or Renewal Term, you will still be required to pay the balance of the Membership Fee for the remainder of the Initial Term or Renewal Term (as applicable). 7.3 MBASA reserves the right, in its sole discretion, to terminate use of some or all of Products and Services and Products and Services Discounts at any time without notice. 8. What you shouldn’t do To ensure that everyone enjoys using the MBASA services and website, we ask that you adhere to the following obligations. You agree that when using the Products and Services, or otherwise engaging with MBASA, you will not: 8.1 defame, harass, or otherwise violate the legal rights (such as rights of privacy and publicity) of others; 8.2 distribute or disseminate any inappropriate, defamatory, infringing, indecent or unlawful topic, name, material or information; 8.3 violate the MBASA Membership Code of Conduct, which may be applicable to the use of the Products and Services; 8.4 upload, transmit, post or share any virus or similar computer code or software that may cause damage to, or violate the privacy of the data, the integrity or the security of the website or Products and Services; 8.5 distribute or post spam, unsolicited or nuisance communications; 8.6 engage in behaviour with MBASA or its contractors, employees or agents in a manner that is, in the reasonable opinion of MBASA, offensive, abusive or discriminatory; 8.7 breach, disable, decompile, disassemble or otherwise reverse engineer any intellectual property comprised in the Products and Services; 8.8 use MBASA’s name, branding and other intellectual property without obtaining our permission; or 8.9 use the website or any Products or Services for any illegal, unlawful, improper or infringing purpose. 9. What is the Membership Code of Conduct? You agree to follow and abide by the principles and objectives of the Code: 9.1 fair and equitable dealings with clients and other industry participants at all times; 9.2 compliance, not only with the law, but with minimum industry standards; 9.3 promotion of an efficient, competitive and ethical building and construction industry; 9.4 to act at all times with honesty, integrity and responsibility and in the spirit of good faith and fair dealings; 9.5 to not engage in conduct which is unfair, harsh or unconscionable; and 9.6 to not engage in any practice which might tend to lower the standards applicable in the building and construction industry. 10. Privacy 10.1 Any information that we collect from you will be in accordance with our privacy policy on our website. You can find it by clicking here: https://mbasa.com.au/privacy. 10.2 We take measures to ensure information is secure in transit and is not permanently stored on our systems, however, the MBASA cannot ensure a digital footprint is not stored for areas outside of our control. 10.3 We use industry standard encryption to keep your personal information secure throughout the payment process. We do not permanently store your credit card details. We will not be liable for any damages or losses (whether direct or indirect) caused if your card is used fraudulently by someone else, except to the extent such loss or damage is caused by our negligence or wilful misconduct. 11. Warranties (what we do and do not guarantee) 11.1 Our Products and Services come with guarantees that cannot be excluded under Australian Consumer Law. 11.2 To the fullest extent permitted by law, you exclude all representations, warranties, or terms (whether express or implied) other than those expressly set out in these terms or by law. 11.3 Although we will do our best to ensure that you have uninterrupted access to our Products and Services, sometimes our website may be unavailable. We will do all we can to ensure that you are back online as soon as possible. 12. Limitation of Liability (what you can’t sue us for) 12.1 To the fullest extent permitted by law, MBASA and its employees, directors, agents and officers are not liable to you for any loss, including but not limited to any loss of profits or revenue, indirect, special or consequential loss or any punitive damages arising out of or in connection with the Products or Services or these terms. 12.2 In the event that you suffer loss, our liability for your loss is reduced proportionally to the extent such loss has been caused, directly or indirectly, by you or another third party. In any event, the maximum liability of MBASA for claims made by you shall be the amount of your annual Membership Fee. 13. Dispute Resolution 13.1 Good faith resolution If a dispute arises between you and MBASA in connection with these terms or your membership, both parties agree to attempt to resolve the dispute in good faith through direct negotiation before initiating any formal proceedings. The party raising the dispute must provide written notice to the other party setting out the nature of the dispute and the outcome sought. 13.2 Mediation If the dispute is not resolved within 21 days of the written notice (or such longer period as agreed in writing), either party may refer the dispute to mediation. The mediator will be: (a) agreed between the parties within 7 days of referral to mediation; or (b) if no agreement is reached, appointed by the President of the Law Society of South Australia on the request of either party. The costs of mediation will be shared equally between the parties unless the mediator determines otherwise. 13.3 Continuation of obligations The parties must continue to perform their obligations under these terms during the dispute resolution process, unless the nature of the dispute makes this impractical. 13.4 Governing law These terms are governed by the laws of South Australia. Each party submits to the non-exclusive jurisdiction of the courts of South Australia. 14. Indemnities 14.1 An indemnity is a promise to cover loss or damage that we suffer if it is caused by you. This means that if you cause MBASA to suffer loss, you agree to cover that loss. 14.2 You indemnify MBASA against all losses, liabilities, and costs (including all legal fees) suffered or incurred by MBASA arising out of or in connection with any breach of these terms by you. 14.3 You agree to assist and co-operate with MBASA in the defence of any legal dispute that has arisen as a result of your actions or omissions. 14.4 You release MBASA from any claims, demands, and damages arising out of disputes with other members or parties. 15. Outstanding Membership Fees and Debt Recovery If Membership Fees remain outstanding and you refuse to pay or are uncontactable, MBASA may engage debt collection services to recover outstanding amounts. You will be liable for any reasonable costs incurred in the recovery process. 16.
