This Non-Exclusive Remix License Agreement (the “Agreement”) is made between ra1 labs pty ltd (the “Licensor”), the rights holder of the original musical work, and the remixing party (the “Remixer”), for the creation of a derivative remix of the track titled “Lemon Tequila” (the “Original Track”) entered as at, the effective date.
“Lemon Tequila” is performed by Loop C, an artist alias and music persona developed, owned, and distributed by ra1 labs pty ltd as part of its creative IP portfolio.
1. License Grant
Licensor grants Remixer a non-exclusive, revocable license to use the provided audio stems and components of the Original Track solely for the purpose of creating a remix (the “Remix”).
2. Usage Terms
a) The Remix may not be sold, distributed, or commercially exploited without prior written approval from the Licensor.
b) The Remix may be shared privately or on non-commercial platforms (e.g., SoundCloud, Mixcloud, Dropbox) with proper credit:
“Remix of Lemon Tequila by Loop C – Used with Permission.”
"Remix of My Thursday by Loop C – Used with Permission."
c) The Remixer agrees not to claim ownership of the Original Track or any of its individual components.
3. Ownership
All rights, title, and interest in the Original Track and related materials remain the exclusive property of ra1 labs pty ltd. This Agreement does not assign or transfer any intellectual property rights to the Remixer.
4. Submission and Approval
If the Remixer wishes to release the Remix commercially, submit it for distribution, or monetize it on any platform, they must submit the final version to the Licensor for approval. Licensor reserves the right to approve or reject the Remix at its discretion.
5. Credits
All public or published versions of the Remix must include the following credit:
“Original song: Lemon Tequila by Loop C. Remix by [Remixer Name]. Used with Permission. “
e.g.Track title format:
Lemon Tequila (Your Name Remix) – Loop C
OR
Loop C- Lemon Tequila (Your Name Remix)

6. Expiration / Revocation
This license may be revoked at any time with 14 days’ written notice by the Licensor. Upon revocation, the Remixer must remove the Remix from all public platforms and cease distribution
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Victoria, Australia, and any disputes shall be subject to the exclusive jurisdiction of its courts.
8. Remixer Representations
The Remixer affirms that:
a) They are the rightful creator of the submitted Remix.
b) Any third-party content, samples, or materials included in the Remix are either original, licensed, or in the public domain.
c) The Remix does not infringe on the rights of any third party.
9. No Affiliation or Endorsement
The Remixer acknowledges that this Agreement does not create any partnership, agency, endorsement, or affiliation between the Remixer, the artist, artist persona, official releases of Loop C, or ra1 labs pty ltd. Use of the Remix and associated credits must not imply official association beyond this licensed use.
By signing below and accepting the above, you acknowledge and agree to the terms and conditions of this Non-Exclusive Remix License Agreement.
