  • This License Agreement ("Agreement") is made and entered into on the effective or signing date of this agreement,  by and between Ravenna Work Hub, located at 101 North Park Way, Ravenna OH 44266 ("Provider"), and the individual outlined in the signatory section of this document ("Licensee").

    1. LICENSED SPACE Provider hereby grants Licensee a non-transferable, revocable license to use the designated desk or office space:

    Undedicated desk, allocated at time of payment 


    2. TERM This Agreement shall commence on 8am on the date of this agreement and shall be usable for a period of, not-to-exceed, nine hours, terminating no later than 6PM on the same date of agreement execution. 

    3. HOURS OF OPERATION Licensee shall have access to the premises during their selected day/date for the following hours:

    • Monday through Friday: 8:00 AM – 6:00 PM
    • Saturday: 9:00 AM – 5:00 PM
    • Sunday: Closed (unless prior written consent is granted)


    4. USE OF COMMON AREAS AND AMENITIES Licensee may access and use the following shared spaces and amenities:

    • Conference rooms (by reservation only)
    • Kitchenette and lounge area
    • Restrooms
    • High-speed internet and Wi-Fi


    Licensee agrees to keep all common areas clean and to report any damage or misuse promptly.

    5. FEES AND PAYMENT TERMS Daily License Fee: $20.00, due upon completion of the this agreement..

    Payments shall be made via invoice emailed to the information provided at the end of this agreement. 

    Failure to pay timely may result in suspension or termination of access.

    6. LICENSEE OBLIGATIONS Licensee shall not:

    • Use the space for illegal, hazardous, or disruptive purposes.
    • Permit subleasing or transfer of license without written approval.
    • Bring animals (except certified service animals) onto the premises.
    • Interfere with the use and enjoyment of other licensees.


    7. TERMINATION Provider may terminate this Agreement with ten (10) days’ written notice for breach, including but not limited to:

    • Failure to pay fees
    • Misuse of facilities


    Disruption or damage caused by Licensee


    Upon termination or completion of hours allotment, Licensee shall vacate the premises, remove all personal items, and leave the space in clean condition.

    8. LIABILITY AND INSURANCE The Licensee acknowledges and agrees that any and all use of the premises, including daily use, designated desk or office space and any shared areas or amenities, is undertaken at the sole risk of the Licensee. Ravenna Work Hub (“Provider”) and the property owner shall not be liable for any injury, loss, damage, or claim (including, without limitation, bodily injury or death) incurred by the Licensee or any of the Licensee’s employees, agents, guests, or invitees, whether such damage or injury occurs on the licensed premises or in common areas.

    Licensee expressly waives any and all claims against the Provider and property owner arising from or related to the Licensee’s presence or use of the premises. The Licensee further acknowledges that Provider has made no representations or warranties regarding the safety, suitability, or condition of the premises.

    Licensee is strongly encouraged to maintain appropriate renter’s, liability, and/or health insurance to cover personal property, injury, and third-party claims.

    This waiver and limitation of liability shall apply from the effective date of this Agreement or from the date of selected day-use access as recorded and acknowledged by the Provider, whichever occurs first.

    9. INDEMNIFICATION  The Licensee agrees to indemnify, defend, and hold harmless the Provider, the property owner, and their respective officers, directors, employees, agents, affiliates, successors, and assigns, from and against any and all claims, demands, actions, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

    Licensee’s use of the premises;

    • Any act or omission of the Licensee or its employees, agents, invitees, or guests;
    • Any breach of this Agreement by the Licensee.


    This indemnification obligation shall survive the expiration or termination of this Agreement.


    10. MISCELLANEOUS

    This Agreement is not a lease and does not create a landlord-tenant relationship.


    This Agreement shall be governed by the laws of the State of Ohio.


    Amendments must be in writing and signed by both parties.

    11. Access Information

    Access information shall be provided within no more than 72 hours of the completion of this form. This will include the designation of specific entry codes matching your membership level. Access will be given to the shared conference room booking calendar at the same time.


    If any provision is deemed invalid, the remainder of the Agreement shall remain in effect.

Furthermore, I certify that my responses and entrance into this agreement are not made under duress or forceful efforts. Agreeing to all of the above, I sign the below:
