HOLY CITY BASEBALL ACADEMY LLC CLIENT LIABILITY WAIVER AND RELEASE AGREEMENT

1. Acknowledgment and Assumption of Risks I, the undersigned, hereby acknowledge and understand that participation in baseball training sessions, camps, events, or any other activities conducted by Holy City Baseball Academy LLC (the "Company") involves inherent risks, including but not limited to the risk of physical injury, property damage, or other harm. I voluntarily agree to assume all risks associated with participation in such activities, including but not limited to risks related to physical activity, weather conditions, equipment, and the actions of others.

2. Release and Waiver of Liability In consideration for being allowed to participate in activities at the Company's facilities, I, on behalf of myself, my heirs, executors, administrators, and assigns, hereby fully release, discharge, and hold harmless Holy City Baseball Academy LLC, its officers, employees, contractors, agents, affiliates, and representatives (collectively, "Released Parties") from any and all claims, demands, liabilities, suits, or causes of action, whether known or unknown, that I may have or may hereafter have, arising from or in any way related to my participation in any activity at the Company's facilities, including but not limited to claims for personal injury, property damage, or death, and regardless of whether such injury or damage is caused by the negligence of the Released Parties.

I agree to indemnify, defend, and hold harmless the Released Parties from any and all claims, actions, liabilities, costs, expenses, and damages, including reasonable attorneys' fees, arising out of or in any way related to my participation in activities at the Company's facilities. This indemnity obligation includes claims made by or on behalf of myself or any other individuals or entities that may result from my actions or the actions of others.

4. Medical Treatment Authorization

I hereby authorize the Company, its officers, agents, and employees to provide or seek emergency medical treatment or services for me in the event of an injury, accident, or other medical emergency, and I agree to be responsible for any and all costs associated with such medical treatment or services.

5. No Liability for Lost or Stolen Property I acknowledge and agree that Holy City Baseball Academy LLC is not responsible for any lost, stolen, or damaged personal property during my participation in activities at the Company's facilities, and I agree to hold the Company harmless for any such losses.

6. Governing Law and Jurisdiction This Waiver and Release Agreement shall be governed by and construed in accordance with the laws of the State of South Carolina. Any legal action arising out of or in connection with this agreement shall be brought exclusively in the courts located within Charleston County, South Carolina.

7. Acknowledgment of Understanding By signing below, I acknowledge that I have read, understood, and voluntarily agreed to the terms and conditions of this Liability Waiver and Release Agreement. I further acknowledge that I am signing this waiver on my own free will, and that no oral representations, statements, or inducements apart from this written agreement have been made.
