Media & Performance Release Agreement
Section One: “Non-Exclusive Copyright License and Use”
In consideration of my participation in Orvieto Musica Festival programs, rehearsals, concerts, classes, interviews, and related activities during the Festival season identified below (collectively, the “Festival”), I grant Orvieto Musica, Inc. (“OM”) and its authorized contractors, licensees, distributors, successors, and assigns the irrevocable, perpetual, worldwide, royalty-free right to photograph, video, and record me and to edit, reproduce, publish, display, distribute, transmit, license, and otherwise use my name, image, likeness, voice, approved biographical information, statements, and musical or other performances captured in connection with the Festival (collectively, the “Materials”).
OM may use the Materials, in whole or in part, for archival, educational, editorial, promotional, publicity, fundraising, and commercial purposes connected with OM and the Festival. Authorized uses include full-length concert videos published through OM’s official YouTube channel; photographs, graphics, excerpts, and short-form videos published on OM’s website, social media accounts, email communications, press materials, and promotional materials; and any distribution of videos, photographs or recordings provided or offered to participants generally in connection with their participation in the Festival. OM may add its name, logo, captions, credits, graphics, subtitles, and other identifying or editorial elements to the Materials.
OM may select, edit, mix, master, reproduce, manufacture, publish, distribute, advertise, sell, license, stream, transmit, and otherwise use recordings of my Festival performances, alone or together with performances by others, as part of one or more Festival highlights albums or other Festival recordings. Such recordings may be released in physical or digital formats, including CDs, downloads, and audio-streaming services, under OM’s name or through a record label, distributor, streaming platform, or other service provider authorized by OM.
For these purposes, I irrevocably grant OM and its authorized licensees, record labels, distributors, successors, and assigns a perpetual, worldwide, transferable, sublicensable, royalty-free right to record, reproduce, edit, mix, master, compile, distribute, sell, license, transmit, publicly perform, and otherwise use my recorded Festival performances. OM may use my name, approved biographical information, image, likeness, and performance credits in connection with such recordings and their promotion. OM may determine whether, when, where, and in what format any recording will be released and is not obligated to include my performance in any release.
I understand and agree that no additional approval, release, waiver, consultation, compensation, royalty, residual, reuse fee, or other payment to me will be required for any use authorized by this Agreement. Any compensation, stipend, scholarship, professional opportunity, or other benefit associated with my Festival participation, together with my opportunity to participate in and receive Materials from the Festival, constitutes sufficient consideration for this grant. This provision does not affect any compensation expressly promised to me in a separate written agreement signed by OM.
This Agreement grants OM all permissions that I may grant in my capacity as a performer and Festival participant. It does not grant rights in an underlying musical composition, arrangement, text, translation, edition, or other third-party material that I do not own or control. OM, its record label, or its distributor will be responsible for obtaining any composition, mechanical, reproduction, distribution, synchronization, or other third-party licenses required for the intended use or release. I agree to notify OM before the applicable performance if I intend to perform original, commissioned, recently arranged, or otherwise protected material whose use may require permission not already secured by OM.
I understand that OM is not required to use any Materials and may determine how, when, and whether authorized Materials are selected, edited, presented, published, distributed, or withdrawn. OM will not materially alter my recorded performance or use my identity in a manner that falsely suggests my endorsement of an unrelated product, service, political position, or organization. Subject to these limitations, I waive any right to inspect or approve the finished Materials or any accompanying text, credits, graphics, edits, or presentation.
To the fullest extent permitted by applicable law, I release and agree not to bring claims against OM and its directors, officers, employees, contractors, authorized licensees, distributors, successors, and assigns arising from the authorized creation or use of the Materials. This release includes claims based on rights of publicity, privacy, image, likeness, voice, performance, compensation, royalties, inspection, or approval. It does not cover uses outside the scope of this Agreement or conduct involving fraud, willful misconduct, or gross negligence.
To the extent that any performer’s rights, neighboring rights, moral rights, rights of attribution or integrity, or similar rights cannot legally be assigned or waived, I consent to the uses expressly authorized by this Agreement and agree not to assert or enforce those rights against OM or its authorized licensees, distributors, successors, or assigns, to the fullest extent permitted by applicable law.
I represent that I have the legal capacity and authority to enter into this Agreement and to grant the permissions stated in it with respect to my own performance, name, image, likeness, voice, approved biographical information, and statements. If I provide OM with biographical information, photographs, or other materials created by a third party, I represent that I have permission to provide them to OM for the uses contemplated by this Agreement.
I acknowledge that OM may own or control the photographs, audio recordings, video recordings, edits, graphics, and other production materials created for the Festival under separate agreements with its photographers, videographers, sound engineers, designers, and other contractors. Nothing in this Agreement restricts OM’s ownership or authorized use of those materials, subject to the rights and limitations expressly stated above.
This Agreement applies to the Festival season identified below and to all later uses of Materials recorded or created during that season. It contains the complete agreement between me and OM concerning the rights granted here and supersedes any prior oral or written understanding concerning those rights. Any amendment must be in writing and signed by both me and OM.
If any provision of this Agreement is found invalid or unenforceable, that provision will be enforced to the greatest extent permitted by law, and the remaining provisions will remain in effect. An electronic signature, including a signature collected through OM’s application or registration system, has the same force and effect as an original handwritten signature.
By signing below, I confirm that I have read and understood this Agreement and voluntarily accept its terms.
