In South Africa, a Pty company (Pty Ltd) and a non-profit company (NPC) are both distinct legal entities with different purposes, structures, and regulations. A Pty company is for-profit, while an NPC is for public benefit.
Key Facts for a Non-Profit Company (NPC)
Directors: You only need one director to register a private company.
Purpose: To serve a public purpose, not to make a profit for its founders, directors, or members. Any surplus income must be used to further the company's stated objectives.
Legal Status: A separate legal entity from its directors and members. Like a Pty Ltd, this provides limited liability to its directors and members, protecting their personal assets.
Ownership: An NPC does not have shareholders. It can be registered with or without members.
Directors: Must have a minimum of three directors.
Income & Assets: Its income and property cannot be distributed to its directors or members, except as reasonable compensation for services rendered (e.g., a salary).
Name: The company name must end with the suffix "(NPC)."
Cost: The total cost to reserve your company name and complete the registration is an all-inclusive fee of R995.
