Company / Close Corporation Deregistration
There are two main ways to deregister a company or close a corporation: voluntarily or due to non-compliance. Deregistration brings the entity's legal status to an end.
Voluntary Deregistration
If you wish to deregister your company, you'll need to transfer all assets and liabilities to a new business format before the final deregistration can be completed.
Compulsory Deregistration
A company or close corporation can also be deregistered by the Companies Commission due to non-compliance, such as failing to submit annual returns. The commission may also initiate deregistration if there is reason to believe the company:
- It is not trading.
- Has been inactive for seven years.
- Will not be trading in the near future.
