Acknowledgment of Receipt and Review

By signing below, I acknowledge that I have received a copy of the All Phase Pool Remodeling Employee Handbook (handbook) and that I have read it, understand it, and agree to comply with it. I understand that
the Company has the maximum discretion permitted by law to interpret, administer, change, modify, or delete the rules, regulations, procedures, and benefits contained in the handbook at any time with or without
notice. No statement or representation by a supervisor, manager, or any other employee, whether oral or written, can supplement or modify this handbook. Changes can only be made if approved in writing by upper
management within the company. I also understand that any delay or failure by the Company to enforce any rule, regulation, or procedure contained in the handbook does not constitute a waiver on behalf of the
Company or effect the right of the Company to enforce such rule, regulation, or procedure in the future. I understand that neither this handbook nor any other communication by a management representative or other, whether oral or written, is intended in any way to create a contract of employment. I further understand that, unless I have a written employment agreement signed by an authorized Company representative, I am employed "at-will" (to the extent permitted by law) and this handbook does not modify my "at-will" employment
status. This handbook is not intended to preclude or dissuade employees from engaging in legally protected activities under the National Labor Relations Act (NLRA).This handbook supersedes any previous handbook or policy statements, whether written or oral, issued by All Phase Pool Remodeling. ALL PHASE POOL REMODELING, INC., a Florida Profit Corporation, and/or CJY HOLDINGS, LLC d/b/a AQUA COAT POOL PLASTERING, a Florida Limited Liability Company, and/or JTY HOLDINGS, LLC, a Florida Limited Liability Company

(state issued D/L or ID is incorporated to this Agreement by reference thereto)

WHEREAS, the Company motor vehicle insurer / underwriting standards prohibit the Excluded Operator from operating a motor vehicle which is registered, and/or owned, and/or leased to the Company ("Company Motor Vehicle") on private or public properties and roadways,

WHEREAS, the Excluded Operator currently works for and/or desires to work for the Company,

WHEREAS, for and in consideration of the sum of ten dollars, the opportunity to work for the Company in any capacity, and other valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Excluded Operator agrees to the terms and conditions of this Agreement.

§ 1. Re citals: The Recitals are true, correct, and incorporated to this Agreement by reference thereto.

§ 2. Prohibition: THE EXCLUDED OPERATOR SHALL NOT, UNDER ANY CIRCUMSTANCES, OPERATE A COMPANY

MOTOR VEHICLE ON: private & public property, private & public roadways & highways, which includes (i) short 1 trips for materials or personal items, and (ii) the operation of said vehicles during working or afterhours .

Repercussions: An Excluded Operator found in violation of § (2) Prohibition above : (i) shall be subject to immediate suspension and/or termination from the Company, (ii) shall be subject to criminal charges for the theft of a Company Motor Vehicle, and, (iii) shall pay the Company a $10,000.00 Administrative fine within 20 days of the violation.

4. Indemnity Agreement: An Excluded Operator, while in violation of section (2) Prohibition above, who is involved in a vehicular incident of any nature or kind, while operating the Company Motor Vehicle (for purposes of example only (multiple vehicle collision, single vehicle collision, incident resulting in damage to property, incident resulting in injury or death to persons / collectively "Incident"), regardless of fault, shall defend, indemnify, and hold the Company harmless, from and against, any and all liabilities, claims, causes of action, judgements, fines, sanctions, investigations, expert witness costs, damages to persons or property, damages to the Company Motor Vehicle, damages to other vehicles, and the attorney's fees and costs to defend/prosecute the same, which arise out of or relate to the Incident.

As the amount of damages resulting from an Incident cannot be readily determined, the promises set forth above shall survive the Excluded Operator's employment/association with the Company.

(a) Severability: If any term or provision of this Agreement is illegal or invalid for any reason whatsoever, it shall be (a) revised by the Court to comply with applicable law (preferred), or (b) severed; whereas, such illegality or invalidity shall not affect the validity or the remainder of the Contract.

AS THE NAMED EXCLUDED OPERATOR IN THIS AGREEMENT, I understand, agree, and consent to the terms and

conditions set forth above on this

FOR AND IN CONSIDERATION of the right to operate a motor vehicle, which is owned and registered to [ X ] ALL PHASE POOL REMODELING, INC., and/or [ X ] CJY HOLDINGS, LLC d/b/a AQUA COAT POOL PLASTERING, and/or

(collectively referred to as "Company Vehicle"), on private and public properties & roadways, the undersigned motor vehicle operator ("Operator") agrees as follows:

• in the event Operator is held responsible for causing a motor vehicle collision *, which causes damage to:
• a Company Vehicle,
• an additional motor vehicle(s) owned by a third party, or
• public or personal property owned by a third party (collectively referred to as "Damages"),

• the Operator, as an individual:
• shall be liable for all costs to repair or replace (if totaled) the Damages ("Repair / Replacement Costs"), and
• shall pay the Repair / Replacement Costs to the respective motor vehicle owners / property owners immediately upon demand thereof.
