Terms & Conditions
Definition of Terms:
"Sponsor" -- The organization submitting this agreement (term refers to both employers that are exhibiting and to organizations that are sponsoring)
"Organizer" -- Quantum Economic Development Consortium (QED-C(r)), managed by SRI.
"Event" -- Quantum Career Pathways Forum & Fair
Term and Termination
This agreement is effective when submitted by Sponsor and will automatically terminate upon the conclusion of the Event. Either party may request termination of the agreement prior to the event in writing. If the event is cancelled or the agreement terminated by Organizer prior to the event, Sponsor will be entitled to a full refund. If terminated by the Sponsor prior to the event, the Organizer will be entitled to a percentage of the amount paid based upon the number of days remaining before the Event. No refunds will be given if cancellation is received less than 10 days prior to the Event.
Right to Refuse or Withdraw Sponsor Participation
The Organizer reserves the right to cancel, withdraw, or refuse any Sponsor at any time based upon reasonable and documented grounds and in good faith from participating in the Event. Grounds for cancellation and refusal may include, but are not limited to:
- Products, services, messaging, and activities contrary to Organizer's mission, vision, and values.
- Failure to comply with the terms outlined in this sponsorship agreement or the Organizer's code of conduct.
- Past behaviors by organization or representatives of the organization at Organizer or other professional events that were disruptive, harassing, or otherwise inappropriate.
Confidential Information
Any financial, registration, and technical data or information provided by the Organizer to the Sponsor regarding the Event will be treated as confidential for a period of 5 years after the event unless otherwise indicated by the Organizer as acceptable to share.
Limitation of Liability
Organizer’s liability to Sponsor is limited to and shall not exceed the Sponsorship Fee amount actually paid by Sponsor to Organizer. To the maximum extent permitted by applicable law, in no event will Organizer be liable to Sponsor for any indirect, special, punitive or consequential damages.
Use of Name and Logo
Sponsor grants Organizer non-transferable, non-exclusive, royalty-free license to use Sponsor name, logo, and any sponsorship materials provided for event and post-event promotion and on materials as indicated in the sponsorship level.
Force Majeure
Neither party will be held liable for delays or failures to execute the terms of this agreement due to forces beyond control (natural disasters, pandemic, etc.).
