Please read the following gallery agreement, then click to indicate your consent. Please note that the InterUrban ArtHouse takes a 30% commission of all gallery sales.
Agreement: 4/4/25 - 5/24/25
1. Agency; Purposes. The Artist appoints InterUrban ArtHouse as agent for the works of art ("the Artworks") consigned under this Agreement, for the purposes of exhibition, exhibition promotion, and sale. InterUrban ArtHouse shall not permit the Artworks to be used for any other purposes without the written consent of the Artist. This agreement applies only to works consigned under this Agreement and does not make InterUrban ArtHouse a general agent for any other works.
2. Social Media/Promotion. To ensure maximum exhibition attendance, the Artist agrees to promote the exhibition by sharing across email and social media platforms and Directly Inviting guests to attend. If the Artist does not have social media accounts, then the Artist is asked to invite guests through other available methods. The Artist also agrees to the use of submitted artwork images in promotion of the exhibition.
3. Exclusive Representation. The Artist hereby appoints InterUrban ArtHouse as their sole representation throughout "Specific area" to sell or otherwise make available for acquisition to the public, the Artist's Artworks.
4. Consignment. The Artist hereby consigns to InterUrban ArtHouse, and InterUrban ArtHouse accepts on consignment, those Artworks listed on the attached Inventory Sheet which is a part of this Agreement. Additional Inventory Sheets may be incorporated into this Agreement at such time as both parties agree to the consignment of other works of art. All Inventory Sheets shall be signed by Artist and Gallery.
5. Authority of Accepted Artist’s Works. Works of art may be accepted for consignment only by a Co-Director of IUAH.
6. Warranty. The Artist hereby warrants that he/she created and possesses unencumbered title to the Artworks, and that their descriptions are true and accurate.
7. Duration of Consignment. The Artist and InterUrban ArtHouse agree that the initial term of consignment for the Artworks is to be 10/3/25 - 1/19/26, and that the Artist does not intend to request their return before the end of this term.
8. Transportation Responsibilities. Packing and shipping charges, insurance costs, other handling expenses, and risk of loss or damage incurred in the delivery of Artworks from the Artist to InterUrban ArtHouse are the responsibility of the Artist. Artist agrees to pack, transport and provide for the return of his/her artwork at his/her own risk and expense. If Artist is not available on-site to display, re-pack or re-transport his/her work, he/she gives permission to the exhibit organizers to do so on his/her behalf at his/her own risk and expense. Works left over 30 days become the property of the InterUrban ArtHouse.
9. Responsibility for Loss or Damage, Insurance Coverage. InterUrban ArtHouse shall not be liable for any injury to Artist, their personnel, agents or employees or for any damage or loss of Artist’s work, equipment or other personal property arising out of the above Art Exhibitions, the mounting and/or any other activities involved in the preparation and/or presentation of the Art Exhibitions. Artist agrees to assume all risk of damage to or loss of his/her own art from whatever cause. Artist further agrees to release and to hold harmless InterUrban ArtHouse, its officers, directors, employees, volunteers and agents from any and all liabilities and damages to art work and/or persons as a result of any part of Artist’s participation in the Exhibit.
10. Fiduciary Responsibilities. Title to each of the Artworks remains in the Artist until the Artist has been paid the full amount owing him or her for the Artworks; title then passes directly to the purchaser.
11. Notice of Consignment. InterUrban ArtHouse shall give notice, by means of a clear and conspicuous sign in full public view that certain works of art are being sold subject to a contract of consignment.
12. Removal from Gallery. InterUrban ArtHouse shall not lend out, remove from the premises, or sell on approval any of the Artworks, without first obtaining written permission from the Artist.
13. Pricing; Gallery's Commission; Terms of Payment. InterUrban ArtHouse (IUAH) shall sell artwork only at the retail price specified by the Artist on the intake form. IUAH and the Artist agree that the IUAH's commission is to be 30 percent of the retail price of the artwork. Any changes in the provided retail price must be agreed to in advance of catalog and ecommerce publication by the Artist and IUAH.
14. Accounting. A statement of accounts for all sales of the Artworks shall be provided by InterUrban ArtHouse to the Artist at the end of the contract term. The Artist shall have the right to inventory his or her Artworks in InterUrban ArtHouse and to inspect any books and records pertaining to sales of the Artworks. Payment to the Artist shall be made by IUAH no later than the 15th of the month following the closing exhibition, and will include all commissions due for any/all artworks sold. A current W-9 form will need to be provided to IUAH prior to payment processing.
15. Termination of Agreement. Notwithstanding any other provision of this Agreement, this Agreement may be terminated at any time by either InterUrban ArtHouse or the Artist, by giving a sixty (60) day written notification of termination from either party to the other. In the event of the Artist's death, the estate of the Artist shall have the right to terminate the Agreement.
16. Procedures for Modification. Amendments to this Agreement must be signed by both Artist and IUAH and attached to this Agreement. Both parties must initial any deletions made on this form and any additional provisions written onto it.
17. Miscellany. This Agreement represents the entire agreement between the Artist and InterUrban ArtHouse. If any part of this Agreement is held to be illegal, void, or unenforceable for any reason, such holding shall not affect the validity and enforceability of any other part. A waiver of any breach of any of the provisions of this Agreement shall not be construed as a continuing waiver of other breaches of the same provision or other provisions hereof. This Agreement shall not be assigned, nor shall it inure to the benefit of the successors of InterUrban ArtHouse, whether by operation of law or otherwise, without the prior written consent of the Artist. In any proceeding to enforce any part of this contract, the aggrieved party shall be entitled to reasonable attorney's fees in addition to any available remedy.
18. Choice of Law. This Agreement shall be governed by the law of the State of Kansas.
