Pest Central Provider Terms & Conditions Agreement
1. Definitions
“Provider” means the pest control company or individual registered on the Pest Central platform.
“Platform” means Pest Central LLC and its website, applications, and services.
“Customer” means any user who requests pest control services through the Platform.
“Service Transaction” means a pest control service agreement entered into directly between a Provider and a Customer through the Platform.
2. Eligibility, Licensing, and Insurance
Provider represents and warrants that it holds and will maintain all licenses, certifications, registrations, and insurance required under applicable Texas law to legally perform pest control services. This includes, where applicable, active pest control licenses, continuing education units (CEUs), general liability insurance, and workers’ compensation coverage.
Provider agrees to promptly provide updated documentation upon request. Failure to maintain required credentials may result in immediate suspension or removal from the Platform.
3. Service Standards and Responsiveness
Provider agrees to perform all services in a professional manner and in compliance with all applicable laws, regulations, and industry standards.
Provider agrees to:
Honor all confirmed bookings and accepted quotes made through the Platform.
Respond to Customer inquiries and messages within 24 hours on business days using the Platform’s communication tools.
Failure to meet service or response standards may result in account restrictions, suspension, or termination.
4. Fees and Payment Terms
Provider acknowledges and agrees to the following fees:
25% commission on all Instant Bookings and recurring services booked and paid through the Platform.
$25 Referral Lead fee, charged immediately at the time the lead is delivered through the Platform, regardless of conversion.
Definitions:
Instant Booking: A service booked and paid for immediately by the Customer through the Platform without additional Provider approval.
Referral Lead: A Customer request for a custom quote where Provider receives Customer contact and service details and must submit an invoice through the Platform if the quote is accepted.
All Customer payments are charged immediately at the time of transaction. Pest Central will process payments via Stripe Connect, automatically deduct applicable fees, and remit the net amount to the Provider’s connected account according to the Platform’s payout schedule.
By participating in the Platform, Provider authorizes Pest Central to process and deduct all applicable fees automatically.
5. Non-Solicitation and Circumvention
Provider agrees not to solicit, perform services for, or accept payment from any Customer introduced through Pest Central outside of the Platform for a period of one (1) year from the Customer’s first transaction, unless the Customer independently initiates contact outside the Platform.
Any attempt to circumvent the Platform may result in immediate suspension or termination and may subject Provider to legal action or damages.
6. Communications and Professional Conduct
Provider shall conduct all interactions with Customers and Pest Central staff in a professional, respectful, and lawful manner. Harassment, discrimination, misrepresentation, or deceptive practices are strictly prohibited.
Repeated violations, failure to respond within required timeframes, or inactivity exceeding 30 days may result in account suspension or removal.
7. Invoicing and Payouts
Referral Lead fees are charged immediately upon lead delivery and are not contingent upon service completion.
Instant Booking and recurring service payments are processed at the time of booking, with funds distributed to Providers via Stripe Connect after applicable fees are deducted.
8. Compliance and Documentation
Provider must continuously maintain compliance with all regulatory and licensing requirements. Failure to provide requested documentation or remain in compliance may result in immediate suspension pending resolution.
9. Termination
This Agreement remains in effect until terminated by either party with 30 days’ written notice. Pest Central reserves the right to suspend or terminate Provider access immediately for violations of this Agreement, Platform policies, or applicable law.
10. Indemnification
Provider agrees to indemnify, defend, and hold harmless Pest Central, its affiliates, officers, and employees from any claims, damages, losses, or liabilities arising from Provider’s services, conduct, or failure to perform.
11. Amendments
Pest Central may update these Terms & Conditions from time to time. Continued use of the Platform following notice of changes constitutes acceptance of the updated terms.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.
