1. Purpose of Agreement
The purpose of this Agreement is to establish a formal relationship between ShipsharkJA and the Agent (you), whereby the Agent is authorized to serve as Registered Pickup Agent and operate a Community Pickup Location at their home, office, or designated premises.

2. Scope of Services
The Agent agrees to:
1. Accept goods and packages delivered to them on behalf of customers in their community.
2. Facilitate customer collections of said goods in a professional and secure manner.
3. Advance or settle clearance-related charges or associated delivery costs when required, with the understanding that such amounts will be reimbursed and profit earned when the customer collects the package.
4. Provide safe and secure temporary storage of packages until collection.

3. Profit Structure
For each package collected by a customer, the Agent shall be entitled to the following profit margins:

• 1 lb package: $50 JMD
• 2 – 10 lbs package: $200 JMD
• 11 – 20 lbs package: $300 JMD
• 21 – 30 lbs package: $400 JMD
• 31 – 49 lbs package: $550 JMD
• 50+ lbs package: $1,000 JMD

In addition:

• Credit Card Transactions: Where the Agent facilitates purchases using their credit card on behalf of a customer, the Agent may charge a transaction fee of $250 JMD.
• Handling Fee: A standard handling fee of $50 JMD shall be charged to each customer per package collected.

4. Monthly Licensing Fee
The Agent agrees to pay a monthly licensing fee of $1,000 JMD to ShipsharkJA for the
continued right to operate as a registered Pickup Agent under the Company’s brand name.

5. Uncollected Packages
1. If a package remains uncollected for more than five (5) working days, the Agent may charge the customer a storage fee of up to $50 JMD per day.
2. If a package remains uncollected for more than thirty (30) days, the Agent may, at their discretion:

1. Resell the item at a fair market price, remitting 20% of net proceeds to ShipsharkJA, or
2. Return the item to ShipsharkJA, in which case ShipsharkJA shall reimburse the
   Agent for clearance fees paid, plus an additional 20% compensation.

6. Agent Responsibilities

The Agent agrees to:

• Maintain professionalism and courtesy with all customers.
• Provide safe, secure, and sanitary storage for goods.
• Keep accurate records of all transactions, including packages received, collected, or uncollected.
• Remit any required fees to ShipsharkJA in a timely manner.
• Operate in accordance with the laws of Jamaica, including the Consumer Protection Act, the Companies Act, and any applicable customs regulations.

7. Company Responsibilities
ShipsharkJA agrees to:

• Deliver packages to the Agent in a timely manner.
• Provide branding materials or signage for community recognition.
• Offer reasonable support to the Agent in resolving customer disputes.
• Ensure compliance with relevant customs and shipping laws for imported packages.

8. Confidentiality
The Agent agrees to maintain the confidentiality of all customer information and shall not use such information for any purpose other than fulfilling obligations under this Agreement.

9. Term and Termination

• This Agreement shall commence today and shall remain in force until terminated by either Party with 30 days written notice.
• ShipsharkJA reserves the right to immediately terminate the Agreement in cases of fraud, misconduct, non-payment of fees, or breach of terms.

10. Limitation of Liability
The Agent shall not be held liable for damages or losses caused by shipping delays, customs seizures, or factors outside their control. However, the Agent shall be responsible for any loss or theft of packages due to negligence.
