Epique Leadership Conference 2025 Sponsorship Agreement
This Sponsorship Agreement ("Agreement") is entered into as of {date}, by and between Epique Realty ("Company") and {companyName} ("Sponsor").
1. Event Details
Epique Leadership Conference is an event organized by Epique Realty, scheduled to take place from November 5, 2025 - November 7, 2025 at Margaritaville Cottages in Kissimmee, FL (Orlando).
2. Sponsorship Package
In consideration of the sponsorship fee paid by Sponsor, Company agrees to provide Sponsor with the selected sponsorship package. Sponsor has read the details of included items from the sponsorship package provided of included benefits.
3. Liability Release
Sponsor hereby releases and agrees to indemnify and hold harmless Epique Realty, its affiliates, employees, agents, and representatives from any and all claims, demands, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or relating to Sponsor's participation in Epique Leadership Conference.
4. Non-Responsibility for Other Vendors
Company shall not be held responsible for any actions, omissions, or liabilities of other vendors or participants at Epique Leadership Conference.
5. Expenses
Sponsor acknowledges and agrees that it shall be solely responsible for any expenses incurred by Sponsor in connection with its participation in Epique Leadership Conference.
6. Non-Exclusivity
This Agreement does not grant Sponsor exclusive rights to its product, service, or industry category within Epique Leadership Conference.
7. No Promise of Return on Investment
Sponsor acknowledges and agrees that Epique Realty makes no guarantees or promises regarding the return on investment or success of Sponsor's participation in Epique Leadership Conference.
8. No Implied Partnership
This Agreement does not create or imply any partnership, joint venture, agency, or employment relationship between Epique Realty and Sponsor outside the scope of this Agreement.
9. Entire Agreement
This Agreement constitutes the entire agreement between Epique Realty and Sponsor regarding Sponsor's participation in Epique Leadership Conference, superseding any prior or contemporaneous agreements, written or oral.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
11. Intellectual Property Rights
Sponsor acknowledges that any intellectual property rights, including but not limited to trademarks, copyrights, and trade secrets, associated with Epique Leadership Conference and any materials provided by Epique Realty shall remain the sole property of Epique Realty. Sponsor agrees not to use Epique Realty's intellectual property without prior written consent.
12. Termination
Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement and fails to cure such breach within 90 days of receiving written notice thereof.
13. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, labor disputes, pandemics, or governmental regulations ("Force Majeure Event"). If a Force Majeure Event occurs, the affected party shall promptly notify the other party and make commercially reasonable efforts to mitigate the effects of the Force Majeure Event.
14. Confidentiality
Sponsor agrees to keep confidential any proprietary or confidential information disclosed by Epique Realty in connection with Epique Leadership Conference, including but not limited to attendee lists, financial information, and marketing strategies.
15. Dispute Resolution
Any dispute arising out of or relating to this Agreement shall be resolved through good faith negotiation between the parties. If the parties are unable to resolve the dispute through negotiation, the dispute shall be submitted to mediation, and if mediation is unsuccessful, the dispute shall be finally resolved by binding arbitration. The prevailing party shall be entitled to recover its reasonable attorney's fees and costs incurred in connection with any legal action arising out of or relating to this Agreement.
16. Amendment
This Agreement may only be amended or modified by a written instrument signed by both parties.

17. Use of Sponsor's Logos and Brand
(a) Epique Realty is granted a non-exclusive, non-transferable, royalty-free license to use Sponsor's logos, trademarks, and other branding materials ("Sponsor's Marks") solely for the purpose of promoting Epique Leadership Conference and acknowledging Sponsor's participation as a sponsor.
(b) Epique Realty shall submit any marketing materials containing Sponsor's Marks to Sponsor for review and approval prior to publication or distribution. Sponsor shall have the right to request modifications to such materials in its sole discretion.
(c) Epique Realty agrees to use Sponsor's Marks in accordance with Sponsor's branding guidelines, if provided, and to display any required trademark notices or attributions in connection with the use of Sponsor's Marks.
(d) Epique Realty acknowledges that Sponsor retains all rights, title, and interest in and to Sponsor's Marks, and nothing in this Agreement shall be construed to transfer any ownership rights in Sponsor's Marks to Epique Realty.
(e) Epique Realty shall cease all use of Sponsor's Marks upon termination of this Agreement and shall promptly return or destroy any materials containing Sponsor's Marks in its possession or control.
Including this clause ensures that both parties understand the parameters for using Sponsor's branding materials in promotional activities and helps mitigate any potential disputes regarding intellectual property rights.
18. Insurance
Sponsor agrees to maintain comprehensive general liability insurance coverage, including coverage for bodily injury and property damage, with limits of not less than $100,000 per occurrence and $1,000,000 in the aggregate, and to provide Epique Realty with a certificate of insurance evidencing such coverage upon request.
19. Indemnification
Each party ("Indemnifying Party") agrees to indemnify, defend, and hold harmless the other party, its affiliates, employees, agents, and representatives from and against any and all claims, demands, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or relating to any breach of this Agreement or any negligent or wrongful act or omission of the Indemnifying Party.
20. Compliance with Laws
Sponsor agrees to comply with all applicable laws, regulations, and ordinances in connection with its participation in Epique Leadership Conference, including but not limited to laws governing product safety, advertising, and promotions.
21. Assignment
Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement to a successor in connection with a merger, acquisition, or sale of all or substantially all of its assets.
22. Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired thereby, and the parties agree to negotiate in good faith to replace such provision with a valid, legal, and enforceable provision that most closely reflects the original intent of the parties.

23. Product or Service Representation
All vendors must represent the product they are promoting and may not recommend or promote any other product, company, organization, or entity at event. Vendor must accept full liability for all items given away, shared, or sold to event attendees.
24. Event Access and Credentials
Representatives of vendor will be given full access to event for all approved staff, including access to setup prior to event, and to break down after event. Special off-site events are not included unless vendor is a sponsor of said event.
25. Photography and Videography
Photography and Videography is permitted by sponsors and vendors in promotion of the product or service being offered by sponsor. Sponsor is not permitted to live stream, record, or repurpose any general session speeches, talks, panel discussions, or stage material not related directly to the sponsor’s product or service.
26. Data Collection and Privacy
All data collection by sponsor shall comply with state, federal, and local laws regarding data collection. Data collected may not be resold or shared to any third party. Followup protocols with any “leads” or data collected must also follow all rules and regulations regarding communications with potential customers, including the “Can Spam Act” and TCPA.
27. Post-Event Obligations
At the conclusion of the event, Sponsor shall remove all items of booth, other left over promotional materials, et al. Sponsor will follow venue rules about removal, including but not limited to, times in which to move, specific areas sponsor must use to transport items, and any other rules set forth by venue management.
28. Sponsorship Fee Payment Terms
Sponsorship fees to be paid within 10 days of sponsorship agreement execution.
