    • An agreement to the terms outlined below upon acceptance

    Submission of this form does not guarantee acceptance into the Retro Reup consignment program.

    Retro Reup reserves the right to approve or deny any applicant at its sole discretion.

    For purposes including but not limited to:

    Consignment approval
    Pricing discussions
    Authentication matters
    Refund or chargeback issues
    Item pickup notifications
    Termination notices
    Policy updates
    Retro Reup will use reasonable discretion when contacting Consignor and will not sell or distribute contact information.

    CONSIGNMENT AGREEMENT
    This Consignment Agreement (“Agreement”) is entered into between Retro Reup (“Consignee”) and the undersigned individual (“Consignor”).

    By delivering goods to Retro Reup for consignment, Consignor agrees to all terms below.


    1. Ownership & Assumption of Risk
    All items delivered to Retro Reup remain the property of the Consignor until sold and fully paid out.

    However:

    • All items are left at the Consignor’s sole risk.
    • Retro Reup assumes no liability under any circumstances for loss, theft, damage, destruction, misplacement, deterioration, or unexplained disappearance.

    This includes but is not limited to:

    Employee handling or accidental damage
    In-store theft or burglary
    Fire, flood, or natural disaster
    Carrier loss or damage
    Civil unrest
    System or platform errors
    Negligence (excluding proven intentional misconduct)
    Consignor expressly waives any claim for damages against Retro Reup.

    Maximum liability of Retro Reup shall be $0.00 under all circumstances.


    2. Shipping & Carrier Risk
    Shipping insurance and signature confirmation are determined solely at Retro Reup’s discretion.

    Typical practice may include signature confirmation for items valued over $250, but this is not guaranteed.

    If an item is lost or damaged in transit:

    • Retro Reup may file a claim at its sole discretion.
    • Claim approval is not guaranteed.
    • If a claim is denied, Consignor receives nothing.
    • If approved, Consignor receives the reimbursement amount received, less actual shipping and handling costs.
    • No consignment percentage is deducted from approved claim payouts.

    Shipping risk transfers to the carrier upon shipment.


    3. Authentication & Legitimacy
    Consignor warrants all items are:

    Authentic
    Lawfully owned
    Not stolen
    Free of liens
    Not counterfeit
    Retro Reup may:

    Require authentication at its discretion
    Reject any item
    Remove any item
    Report suspected stolen goods
    Report bulk or repeat counterfeit submissions
    Authentication Fee:

    Items over $50 may incur an authentication fee of up to $5 (average $2.50), deducted from proceeds.

    If an item is determined counterfeit or materially misrepresented:

    • It will be returned.
    • Consignor has 45 days from documented notice to retrieve it.
    • After 45 days, Retro Reup may destroy or retain the item without further notice.


    4. Pricing Authority & Inventory System
    Retro Reup retains sole authority over:

    Listing format
    Platform selection
    Photography
    Image editing
    Serial number documentation
    Invisible marking
    Opening sealed packages if necessary
    Identity verification (ID may be required)
    Consignors are provided access to a proprietary Google Sheets inventory template.

    All spreadsheet structure, formulas, design, and operational systems are intellectual property of Retro Reup.

    Unauthorized reuse, replication, distribution, or reverse engineering constitutes grounds for immediate termination and potential legal action.

    Minimum Selling Price (“MSP”):

    The MSP column reflects the minimum public selling price before:

    Shipping
    Platform fees
    Processing fees
    Authentication fees
    Retro Reup’s commission
    Any additional business expenses
    Retro Reup will not list below MSP except in cases of:

    5% promotional discount codes
    Store-wide promotions
    Buy-one-get-one offers
    Standard retail sales policies
    Consignors are responsible for pricing accordingly.

    Retro Reup is not liable for interpretation, editing, or formatting of listing details.


    5. Refunds, Returns & Chargebacks
    Payout eligibility begins only after funds are fully deposited into Retro Reup’s bank account.

    Retro Reup may hold payout at its sole discretion to evaluate risk exposure.

    If after payout:

    A refund occurs
    A return is processed
    A chargeback is filed
    A platform reverses funds
    Consignor must:

    • Immediately reimburse Retro Reup upon demand
    • OR Retro Reup may deduct from future proceeds
    • OR both, at Retro Reup’s discretion

    If buyer wins “item not as described,” Consignor absorbs the loss.

    All fees remain non-refundable.


    6. Platform Penalties
    If Retro Reup receives a platform penalty due to a consignor’s item:

    • Retro Reup will provide screenshot proof.
    • If penalty is not reasonably disputable, Consignor must reimburse.
    • If unpaid within 45 days of notice, Retro Reup may retain the item as property without further notice.


    7. Termination & Refusal of Service
    Retro Reup may:

    Refuse any item
    Remove any item
    Terminate any consignment relationship
    Decline future business
    Do so for any reason or no stated reason
    Termination does not eliminate:

    Active chargeback exposure
    Pending refund liability
    Reimbursement obligations

    8. Abandonment
    If an item is rejected, removed, or agreement terminated:

    Retro Reup will attempt contact via phone or email.

    If item is not retrieved or shipping label not provided within 45 days of documented notice:

    The item becomes property of Retro Reup without further notice.


    9. Inventory Commingling
    Consigned items may be stored or displayed alongside Retro Reup inventory.

    Internal labeling procedures will be used for operational tracking.


    10. Store Credit
    Retro Reup may offer in-store credit instead of cash payout at its discretion.

    Credit may equal or exceed standard payout amount.


    11. Non-Disparagement
    Consignor agrees not to publish false or defamatory statements regarding Retro Reup.

    Violation may result in termination and legal action if deemed necessary.


    12. Indemnification
    Consignor agrees to indemnify Retro Reup for:

    Counterfeit claims
    Intellectual property disputes
    Ownership disputes
    Fraud allegations
    Platform penalties
    Legal fees
    Both parties agree that the prevailing party in any legal dispute shall be entitled to recover reasonable attorney fees and costs.


    13. Governing Law
    This Agreement is governed by the laws of the Commonwealth of Massachusetts.

    Venue is exclusively Berkshire County, Massachusetts courts.


    14. Modification of Terms
    Retro Reup may modify this Agreement at any time.

    Continued consignment after modification constitutes acceptance of updated terms.


    15. Entire Agreement
    This Agreement represents the entire understanding between parties.

    No verbal modifications are binding.

    Electronic signatures are legally binding.


    ACKNOWLEDGMENT
    By signing below, Consignor acknowledges:

    All items are left entirely at their own risk.
    Retro Reup has zero liability under all circumstances.
    Authentication may be required.
    Fees will be deducted before payout.
    Payout may be held at Retro Reup’s discretion.
    Refunds and chargebacks may require reimbursement.
    Items unclaimed after 45 days become Retro Reup property.
    Platform penalties may require reimbursement.
    Spreadsheet systems are proprietary.
    Terms may be modified at any time.

  • Consignor understands:

    • This selection represents a preference only.
    • Final commission percentage may be renegotiated after item review.
    • Commission structure will be confirmed in writing before listing.
    • Retro Reup retains final discretion regarding commission acceptance.

    Commission percentage may vary depending on:

    Item category
    Risk exposure
    Platform fees
    Authentication requirements
    Market volatility
    Operational workload
    Submission of this form does not obligate Retro Reup to accept any specific commission structure.
