13. Limitation of Liability - GroundSky is not liable for injury, illness, stress, loss, or death of pets due to pre-existing conditions, improper documentation, natural causes, acts of God, delays, or events beyond Company control.
14. Indemnification - Client shall indemnify and hold harmless GroundSky, its officers, employees, and contractors from claims, damages, or liabilities arising from Client's non-compliance.
15. Release of Claims - Client releases GroundSky from legal claims or damages related to transport, except for proven gross negligence or intentional misconduct.
16. Independent Contractor Status - Drivers are independent contractors, not employees of the Company.
17. Non-Solicitation - Client agrees not to solicit or contract directly with GroundSky drivers/employees for 24 months after service completion.
18. Confidentiality - Client agrees to maintain confidentiality of GroundSky's business practices, routes, pricing, and policies. Disclosure to third parties without consent is prohibited.
19. Non-Defamation - Client shall not publish, post, or communicate false, disparaging, or defamatory statements about GroundSky, its employees, drivers, or affiliates. Breach may result in legal action.
20. Dispute Resolution - Disputes shall be resolved through binding arbitration in GroundSky's principal state/county of operation under AAA rules.
21. Governing Law - This Agreement shall be governed by the laws of the state where GroundSky maintains its principal office.
Binding Agreement Acknowledgment
By signing this Agreement, I acknowledge that I have read, understood, and voluntarily agree to all terms, conditions, responsibilities, and legal protections contained herein. I understand that this Agreement is a legally binding contract between myself and GroundSky Pet Transportation, LLC, and that failure to comply may result in cancellation of services, additional fees, or legal action as permitted by law.
