This Scrollathon Program Participation Agreement (the “Agreement”), dated as of October 24, 2025 (the “Effective Date”), is by and between Scrollathon, Inc., (“Scrollathon”), with a principal office located at 526 West 26th St #1004, New York, NY 10001 and the undersigned, each of which may sometimes be referred to in this Agreement as a “Party” or collectively as the “Parties.”
To allow participation in the Program (defined below), please review the terms set forth below.
The Program: The Program shall take place at LongHouse Reserve (“Program Host”) located at 133 Hands Creek Road East Hampton NY 11937 (the “Location”) and participants (“Participants”) shall take part in the following activities as part of the Program:
· Participants will create a work of art to keep (“Individual Artwork”) and contribute to a collaborative artwork (“Collaborative Masterwork”) and signature plate (“Signature Plate”), and together with the Individual Art, and Collaborative Masterwork, “Artwork”); and
· Participants and Artwork will be documented in photographs, video and audio (“Documentation”) captured by Scrollathon. Documentation will be used (i) to create a photographic portrait mural containing portraits of Participants (“Portrait Mural”), which may be reproduced in pamphlets, and catalogs relating to the Program and (ii) for social media, web content, documentary films, storytelling videos, testimonials and other periodicals and works ((i) and (ii), collectively, “Publications”).
These activities shall be collectively referred to herein as (the “Program”). The Program will take place over a period of time mutually agreed to by Scrollathon and the Program Host, generally ranging between one day to a week or more. Program Hosts may also elect to take audio, video and photographic images of Participants during the execution of the Program.
Ownership and Rights to the Artwork
· Participant/parent/guardian hereby agrees title and ownership to the Collaborative Masterwork and Signature Plate shall and hereby does pass from Participant to Scrollathon upon creation and agrees upon creation, Scrollathon has the right to own, transfer, license, sublicense, copy, use, reproduce, publicly perform, exhibit, and display the Signature Plate and Collaborative Masterwork and any part or component thereof created by Participant (collectively, the “Program Artwork”) as an exhibit at the Program Host Location or otherwise for any purpose, including at any other exhibition, in any media, manner or location now, hereafter known throughout the universe. For clarity Scrollathon may license or transfer any or all of such rights to a Program Host or other third party.
· Participant/parent/guardian hereby irrevocably grants to Scrollathon the perpetual, sublicensable, irrevocable, transferable, worldwide license and right upon creation, to own, use, reproduce, exhibit, display, distribute, perform publicly, edit, alter and/or create derivatives of, Publications, photographic images and/or video of the Artwork including components of the Artwork created by Participant, such as the Collaborative Masterwork, and any part thereof and all materials related thereto, in any manner for the purpose of promoting, advancing, discussing, and/or commenting upon Scrollathon, its programs, events and activities, including the Program, or any other purpose, in all markets regardless of method or medium of transmission, reproduction, publication, display, storage, and/or communication and, in any media, manner or location now, hereafter known throughout the universe. For clarity, such license and right includes Scrollathon’s right to commercialize and publish reproductions, copies and images of the Collaborative Masterwork in any media or manner. Participant/parent/guardian hereby waives the right to inspect or approve any such use of the Artwork (or Collaborative Masterwork) and expressly stipulates that Scrollathon may utilize the Artwork or not, in its sole discretion without affecting the validity of this release.
· Participant retains all copyrights in and to the Individual Artwork under the Copyright Act of 1976, 17 U.S.C. § 101 et seq., as the sole author of the Individual Artwork and as joint author/owner with respect to the Program Artwork, for the duration of the copyright.
· Scrollathon retains all rights and ownership under the Copyright Act of 1976, 17 U.S.C. § 101 et seq., as the sole author/owner of all Documentation and Publications including, without limitation, the Portrait Mural and retains its rights to create other works of art using the manner, medium, style of artistic expression and technique used by Scrollathon to create the Artwork, including the creation of other works of art that may be considered derivative works of the Artwork under applicable copyright law.
Name Likeness and Image
· Participant/parent/guardian understand that Participant may be photographed, audio taped, videotaped, and filmed by Scrollathon and Program Host while participating in the activities of the Program.
o Participant/parent/guardian hereby consents to and irrevocably grants to Scrollathon and each of Steven Ladd and William Ladd, the unrestricted, absolute, perpetual, royalty-free, transferable, worldwide license and right, with the right to grant sublicenses to use, post, copy, reproduce, publicly perform, display, edit, alter and/or create derivatives of the name, likeness, voice, photograph, biography recognizable and unrecognizable image of Participant (individually or within a group, including in the Publications), including without limitation, in testimonials, storytelling videos, catalogs and pamphlets in connection with the marketing, advancement and promotion of the Program, and/or the Program Artwork, and in connection with distributing or exhibiting reproductions of the Program Artwork or the Portrait Mural (including components created by Participant) in any manner, in whole or in part, in any media or manner now known or hereafter devised, including without limitation on social media, Scrollathon’s websites, bulletin boards, and promotional materials.
o Participant/parent/guardian also consent to and irrevocably grant to Program Host, the perpetual, royalty-free, worldwide license and right, with the right to grant sublicenses to use, post, copy, reproduce, publicly perform, display, edit, alter and/or create derivatives of the name, likeness, voice, photograph, and recognizable and unrecognizable image of Participant for promotional and marketing purposes relating to the Program and/or the Program Artwork.
o Participant/parent/guardian hereby waives the right to inspect or approve any such use of the Participant’s name, likeness and image by Scrollathon or the Program Host as provided herein and expressly stipulates that Scrollathon and Program Host may utilize the name, likeness and image of Participant or not, in its sole discretion without affecting the validity of this release.
Release: Participant/parent/guardian hereby irrevocably and unconditionally releases the Scrollathon from and waives any causes of action in law or equity that Participant may have or may hereafter acquire against the Scrollathon arising out of or relating to the Artwork, Documentation, Publications, participation in the Program or the Program. Scrollathon is not responsible for images or recordings, or use thereof, produced by any other party.
General: This Agreement is the entire agreement between the Parties with respect to the subject matter hereof, and supersedes any and all prior agreements, negotiations, representations and understandings between the Parties with respect to such subject matter. The failure of either Party to enforce its rights under this Agreement at any time for any period shall not be construed as a waiver of such rights. No changes or modifications or waivers to this Agreement will be effective unless in writing and signed by both Parties. In the event that any provision of this Agreement shall be determined to be illegal or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement, and any and all disputes arising directly or indirectly from this Agreement, shall be governed by and construed in accordance with the laws of the State of New York without regard to the conflicts of laws provisions thereof. Headings herein are for convenience of reference only and shall in no way affect interpretation of the Agreement.
