  • In exchange for above mentioned services, CLIENT agrees to pay PHOTOGRAPHER the following fees: $225 for 20 minutes of shooting. Shooting commences at the scheduled start time and ends at the scheduled end time. All additional time beyond the scheduled beginning/end time is NOT PERMITTED.

    This Contract is between the Client, whose name and information is listed above, and Regalado Graphux LLC RGFX Photography, also known as "Photographer". This agreement constitutes an order for portrait photography services. It is agreed to by both parties, Photographer and Client, as described above and below. Client agrees to pay Total Amount by the session date.

  • Photographer as follows: Payment schedule: $125 deposit due immediately and the remaining

  • deposit is a non-refundable retainer. At a minimum, Client agrees that the deposit fairly

    compensates Photographer for committing to provide the Services and turning down other potential projects/clients.

    Tardiness, Cancellation, Rescheduling, and No-Shows

    Your session is 20 MINUTES minutes long, being late to your session cuts into your time reserved.** For example, if you’re 5 minutes late, you only have 15 minutes left to shoot. Your session will not go into the next time slot if you’re late. If Client desires to cancel Services, they must notify the photographer as soon as possible. They forfeit their retainer paid. No refunds will be given if the client cannot make it. If Client desires to cancel Services, reschedule Services, or if it becomes impossible for Photographer to render Services due to the fault of the Client or parties related to Client, such as failure of the session to occur or failure of one or more essential parties to show up in a timely manner, or if the Client or someone in the Client's party falls ill, Client shall provide notice to Photographer as soon as possible. Photographer has no obligation to attempt to re-book further Services to fill the void created by Client’s cancellation, rescheduling, no-show or if it becomes impossible for Photographer to provide the Services due to the fault of Client (or parties related to Client), and Photographer will not be obligated to refund any monies Client has previously paid towards the Total Cost. There will be no re-schedules allowed.

    Delivery of Photos/Image Processing

    No part of any order, including previews, will be delivered until the balance is paid in full. Photographer is solely responsible for choosing the best images and editing them with his/her style at their discretion. No additional photoshop or editing of any kind will be made. Photos may contain a mixture of color and black and white. Color correction and/or retouching are included at Photographer's discretion. Photographer is not responsible for any prints and products that are not ordered directly from RGFX. **No RAW images will be given to the client.** Client understands photographer has a timeframe for delivery of pictures that is anywhere between 1-2 weeks. If the client needs photos sooner, that can be requested, but the photographer has the right to charge for speedy delivery requested by the client. Photographer will use reasonable efforts to ensure Client's desired Services are produced in a style and manner consistent with Photographer's current portfolio and Photographer will try to incorporate any reasonable suggestion made by Client. However, Client understands and agrees that: 1 Services are often a subjective art and Photographer has a unique vision, with an ever-evolving style and technique; 2 Photographer will use its artistic judgment when providing Services for Client, which may not include strict adherence to Client’s suggestions; 3 Although Photographer will use reasonable efforts to incorporate Client’s suggestions and desires when providing Client with the Services, Photographer shall have final say regarding the aesthetic judgment and artistic quality of the Services;

  • 4 Dissatisfaction with Photographer's aesthetic judgment or artistic ability are not valid reasons for termination of this Agreement or request of any monies returned Online Gallery. Upon receiving photos on an online gallery with every final digital image chosen by the photographer Client accepts all responsibility for archiving and protecting the photographs. Photographer is not responsible for permanently archiving image files after they are delivered. Photographer is not responsible for the lifespan of any digital media provided or for any future changes in digital technology or media readers that might result in an inability to read discs provided. It is Client's responsibility to make sure that digital files are downloaded to their devices. PHOTOGRAPHER WILL KEEP THE CLIENT'S GALLERY ONLINE FOR

    MINIMUM OF 6 MONTHS AFTER POSTED DATE. IT IS THE CLIENT'S RESPONSIBILITY TO MAKE SURE HE OR SHE HAS SAVED ALL IMAGES TO A DEVICE CAPABLE OF STORING THE IMAGES. THE PHOTOGRAPHER IS NOT RESPONSIBLE FOR CLIENT'S FAILURE TO

    SAVE IMAGES PROPERLY. If the client fails to properly store images, or needs their gallery re-uploaded, they will be charged $100 as a re-upload fee.

    Intellectual Property Copyright Ownership

    It is understood that any and all images, whether proofs, digital files, final prints or sample prints, and all rights to them remain the property of the Photographer. In the event that any copyrighted work(s) are created as a result of the Services provided by Photographer in accordance with this Agreement, Photographer owns all copyrights in any and all work(s) it creates or produces pursuant to federal copyright law (Title 17, Chapter 2, Section 201-02 of the United States Code), whether registered or unregistered. Any and all products, whether tangible or intangible, produced or created in connection with, or in the process of fulfilling this Agreement, are expressly and solely owned by Photographer and may be used in the reasonable course of Photographer's business.

    Photographic Materials. All photographic materials, including but not limited to negatives, transparencies, proofs, and previews, shall be the exclusive property of the Photographer. No products, including digital files, will be released until the agreed upon amount is paid in full per the payment schedule outlined in this Contract.

    Permitted Uses of Product(s Photographer grants to Client a non-exclusive license of product(s) produced with and for Client for personal use only so long as Client provides Photographer with attribution each time Client uses Photographer's property. Personal use includes, but is not limited to, use within the following contexts: 1 In photos on Client’s personal social media pages or profiles; or 2 In personal creations, such as a scrapbook or personal gift; or 3 In personal communications, such as a family newsletter or email or holiday card. Social Media. The Client may share web/blog post links and social media posts/albums through use of the share functions and dissemination of direct links. Client shall not add any additional editing/filters to images received from the Photographer.

  • The Client authorizes the Photographer to use and to create images for promotional materials, online usage, and other areas of marketability. The Client further authorizes the distribution of photographs to potential clients of the Photographer for portfolio purposes. The Client agrees and understands that the photos will be taken digitally. The Client further acknowledges that the Client will not be compensated, either now or at any time in the future, for any use of marketing and that the Photographer of such photos exclusively owns all rights. The Client hereby acknowledges and agrees that the Photographer may modify, change, or alter such images without restriction.

    Client hereby agrees to indemnify, release, discharge and hold harmless the Photographer, its heirs, legal representatives, assigns, employees or any persons or corporations acting under permission or authority of the Photographer from and against any liability or claims arising as a result of any work done related to this agreement. This includes, but is not limited to claims related to the use of the likenesses of anyone captured in the images or any distortion, blurring or alteration that may occur or be produced in the taking, processing or reproduction of the photographs.

    If Photographer is unable to perform any or all of the duties herein for any reason, including but not limited to, fire, acts of God, car accident, illness, or technical problems, and if they cannot provide another competent professional, all money received by Photographer will be returned to Client, and Photographer shall have no further liability with respect to this agreement. This limitation of liability also applies to any loss/damage of photographs or failure to deliver photographs for any reason as well as any damages that may occur during the photographers service. The sole remedy for any actions or claims shall be limited to a refund whose total amount cannot exceed the total monies paid by Client under this Agreement during the time preceding the date on which such liability arises. Client is not entitled to a refund of any kind due to dissatisfaction with images.

    In the event Provider cannot or will not perform its obligations in any or all parts of this Agreement, it (or a responsible party) will: Immediately give Notice to Client via the Notice provisions detailed in this Agreement; and Attempt to find another competent professional to take its place with the mutual agreement of Client(s); If another competent professional is not available or Client(s) do not agree to transfer of obligations to said alternate professional, Company will issue a refund or credit based on a reasonably accurate percentage of services rendered; and

  • Excuse Client(s) of any further performance and/or payment obligations in this Agreement.

    Client(s) further understand that the photographer complies with all health and safety laws, directives, and rules and regulations. Client(s) expressly agree(s) that during the [event/wedding/session] Client(s) and Client(s)’ agents shall not carry weapons or firearms, be exposed to severe illness, or request the photographer to do anything illegal or unsafe. Further, photographer will not provide services in any location or area deemed to be unsafe in its sole discretion, including, but not limited to, areas affected by communicable diseases, quarantined areas, or other similar occurrences. Under any of these circumstances, photographer reserves the right to end service coverage immediately and/or leave the session. Photographer shall be entitled to retain all monies paid and Client(s) agree to relieve and hold photographer harmless as a result of incomplete event coverage, or for a lapse in the quality of the photographer’s work.

    All permits and permissions required for the Photographer to photograph the project, whether for location, personal release or any other cause, are the responsibility of the Client to obtain.

    This is the entire agreement between Photographer and Client and supersedes all previous agreements. It cannot be altered without written consent of both Photographer and Client.

    Digitally signing this agreement has the same effect as manually signing a paper original.

    This agreement cannot be transferred or assigned to any third party by either the Photographer or Client without written consent of both Parties.
