  • The Cracking the SIBO Code Speaker Agreement

  • This Agreement (“Agreement”) is made between 28 Day Health Solutions Co, a Washington Corporation, dba SIBOGuru.com (hereafter “Host”), with its principal address at 9805 NE 116th Street, Suite 7427, Kirkland, WA 98034, and the undersigned speaker (“Speaker”).

    Event: Cracking the SIBO Code (the “Summit”)
    Summit Dates: February 4-10, 2026 (7 -day online event)

    Encore Week: February 14-15, 2026

    1. Speaker Commitment

    • Speaker agrees to present one interview session, as arranged with Host.
    • Speaker agrees to be available for recording prior to the Summit launch, at a mutually agreed upon time (November through early December, 2025).

    2. Promotion

    • Speaker agrees to promote the Summit to their email list and through their social media accounts during the two weeks prior (hereafter "Promotion Week") (January 19 - February 3, 2026) to the Summit launch and the days leading up to Encore Week (hereafter "Encore Promotion Week") (February 10-13th).
    • During the Promotion Week, Speaker agrees to send at minimum:
      • Two (2) solo emails to their list.
      • Two (2) posts on social media.
    • During the Encore Promotion Week, Speaker agrees to send at minimum: 
      • One (1) solo email to their list.
      • One (1) post on social media.
    • Host will provide promotional copy and graphics. Speaker may adapt these materials for tone and voice.

    3. Compensation

    • Speaker will not receive financial compensation for participation.
    • In recognition of their contribution, Speaker will receive:
      • Complimentary access to the Summit replays.
      • Affiliate opportunity with 50% commission on sales of the Summit All-Access Pass through their referral link.
      • Affiliate payouts will be made 60 days after the Summit launch, allowing for the refund period.

    4. Rights and Release

    • Speaker grants Host the right to interview, record, and photograph their participation in the Summit (the “Recording”), and to use, reproduce, and distribute the Recording and any transcriptions or excerpts (the “Work”) along with Speaker’s name, likeness, voice, professional and personal biographical information, and other personal characteristics (“Materials”).
    • Host and its affiliates, successors, licensees, and assigns (“Authorized Persons”) may digitize, modify, edit, adapt, create derivative works, exhibit, transmit, broadcast, reproduce, sell, license, or otherwise use the Recording, Work, and Materials, in whole or in part, on a perpetual worldwide basis in any medium, format, or platform now known or later developed (including streaming, downloading, websites, apps, television, radio, video-on-demand, print, and promotional content).
    • Speaker acknowledges they will receive no royalty, payment, or other compensation beyond that described in Section 3.

    5. Ownership

    • Host shall be the sole and exclusive owner of all rights, title, and interest in and to the Work, the Recording, and the Materials, including copyrights and all intellectual property rights, in perpetuity throughout the universe.
    • Speaker waives all “moral rights” and rights of inspection or approval of the Work, Recording, or Materials.
    • The Host has no obligation to create or use the Work, the Recording, or any Materials or to exercise any rights given by this Release.

    6. Representations and Warranties

    • Speaker represents that:
      • They are at least 18 years of age.
      • They have full authority to grant the rights herein.
      • The content they provide is original and does not infringe on the rights of others.
      • Their participation will not violate any third-party agreements or require third-party consent.
    • Speaker agrees to defend, indemnify, and hold harmless Host and Authorized Persons from any claims resulting from breach of these representations.

    7. Waiver and Release

    • To the fullest extent permitted by law, Speaker waives and releases Host and Authorized Persons from all claims arising out of use of the Work, Recording, or Materials, including but not limited to claims of infringement, defamation, invasion of privacy, or emotional distress.
    • Speaker waives any right to injunctive or equitable relief to prevent use of the Work, Recording, or Materials.

    8. Term

    • This Agreement is effective upon signature.
    • Speaker’s obligations to appear, record, and promote shall remain in effect through the completion of the Summit and related promotions.
    • Notwithstanding the foregoing, Host’s ownership and license rights to the Interview, Recording, Work, and Materials, shall remain in effect perpetually and shall survive termination of this Agreement.

    9. Miscellaneous

    • Governing Law: This Agreement will be governed by the laws of the State of Washington without regard to conflict of law provisions.
    • Venue: Any disputes shall be resolved in state or federal courts located in King County, Washington, and Speaker consents to such jurisdiction.
    • Assignment: Host may assign this Agreement; Speaker may not without Host’s written consent.
    • Severability: If any provision is deemed invalid, the remaining provisions shall remain in effect.
