  • This Service Agreement ("Agreement") is entered into by and between Tipski LLC, an Oregon limited liability company ("Tipski"), and the subscribing business entity ("Client" This Agreement outlines the terms and conditions under which Tipski will provide access to its digital tipping platform and related services.

     

    1. Purpose Tipski offers a digital tipping platform that enables guests to tip service staff (primarily housekeepers) through QR code technology and backend payout systems. The Client desires to use this platform in its lodging or hospitality operations.

    2. Services Provided by Tipski Tipski agrees to provide the following services:

    - Setup and hosting of a web-based tipping platform with a dashboard for Client managers and an employee dashboard for service staff.

    - Generation and delivery of QR code signage for guest rooms or designated areas.

    - Integration with Stripe Connect for payment processing and automated tip distribution.

    - Reporting tools and analytics for tip volume, employee performance, and platform usage.

    - Customer support for technical issues or onboarding questions.

    3. Client Responsibilities The Client agrees to:

    - Provide accurate contact information (names and emails) for all administrative users needed for initial onboarding. Tipski will handle initial setup.

    - Display Tipski-provided QR code signage in guest rooms or other guest-accessible areas.

    - Use the Tipski platform to invite service staff via provided invitation links. Employees are responsible for completing their own account setup and Stripe onboarding.

    - Create and maintain a connected Stripe account. This is mandatory in order to: - Receive any optional hotel revenue share (if applicable); and

    - Receive unclaimed tips - defined as tips submitted by guests that were either:

    - Not claimed within the active claim window, or

    - Linked to employees who failed to complete Stripe identity verification. Tipski will furnish the Client with reports of such unclaimed tips, including relevant metadata (e.g., room code, timestamp), and will transfer funds accordingly. The Client is responsible for determining the use or redistribution of these funds.

    4. Payment and Platform Fees - The Tipski platform takes a 15% platform fee from each tip transaction.

    - The remaining 85% is routed to the verified employee who last claimed the room via QR code.

    - If applicable, a Client revenue share of ___% will be deducted from the employee portion

    - Tipski uses Stripe Connect Standard to manage and disburse all funds. 

    - Stripe's standard processing fees also apply and are deducted from the employee's portion unless otherwise negotiated.

    5. Term and Termination

    - This Agreement begins on the Effective Date and remains in effect until terminated by either

    - Either party may terminate this Agreement with 30 days' written notice. 

    - Tipski may suspend or terminate service immediately in cases of: 

    - Fraudulent activity, 

    - Abuse or misuse of the platform, 

    - Breach of any term of this Agreement. 

    6. Ownership and Intellectual Property - Tipski retains all intellectual property rights to the software, branding, QR design, and backend

    - The Client shall not copy, reverse-engineer, or reuse any part of the Tipski system without written permission.

    7. Data Privacy and Compliance

    - Tipski agrees to manage all data in compliance with applicable data protection laws. 

    - Client agrees not to submit personal data to Tipski unless authorized to do so by the data subject (e.g., employees - Client is responsible for its own compliance with tipping and wage-related laws in its jurisdiction. 

    8. Limitation of Liability

    - To the fullest extent permitted by law: 

    - Tipski shall not be liable for lost profits, lost data, or indirect damages. 

    - Tipski's total liability under this Agreement shall not exceed the total platform fees earned from the Client in the three months prior to any claim.

    9. Indemnification

    - Each party shall indemnify and hold harmless the other party from any claims, losses, or damages caused by its own negligence, misconduct, or breach of this Agreement. 

    10. Dispute Resolution 

    - The parties agree to first attempt to resolve disputes through informal discussion. 

    - If unresolved, disputes shall be submitted to binding arbitration in Lincoln County, Oregon under the rules of the American Arbitration Association.

    11. Miscellaneous

    - Entire Agreement: This Agreement constitutes the full understanding between the parties. 

    - Amendments: Must be in writing and signed by both parties. 

    - Force Majeure: Neither party shall be liable for delays caused by acts of God, internet outages, or other events outside their control.

  • - Governing Law: This Agreement shall be governed by the laws of the State of Oregon, without regard to its conflict of law principles. IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date

  • Attachment A: Employee Setup Sheet The Client shall provide the following as part of onboarding: - Full names and email addresses of current employees to be invited. - The desired account type for each (e.g., Admin, Manager, Housekeeper This information will be submitted using the provided Tipski onboarding template. Employees must complete registration and Stripe onboarding individually to be eligible to receive tips.

    Attachment B: Room Setup List The Client shall provide a complete list of rooms or units that require QR code signage. This includes:

    - Room number or identifier for each unit

    - Mailing address where printed signage should be delivered Tipski will use this information to generate and deliver custom QR code signage.
