By signing above, you (the “Customer”) acknowledge that you have read, fully understand, and agree to all terms and conditions set forth herein. Your signature constitutes a legally binding agreement between you and Suspension Proz LLC (“the Company”).
1. Release of Liability
The Customer hereby authorizes Suspension Proz LLC to perform inspection, maintenance, service, and/or repair of shock absorbers and related components (collectively, “Service Work”).
The Customer expressly agrees and acknowledges the following:
All Service Work is performed at the Customer’s sole risk.
The Company, its owners, officers, employees, and agents shall not be held liable for any damages, losses, failures, or defects arising during or after Service Work, whether foreseeable or unforeseeable.
This includes, but is not limited to, damage to machines or property, bodily injury, incapacitation, or death, whether caused by negligence, misuse, improper installation, or any other cause.
The Customer releases, discharges, and holds harmless the Company from any and all claims, demands, liabilities, or causes of action, known or unknown, arising from or related to the Service Work.
The Customer agrees that all risk of use, installation, and operation of the shocks after they leave Suspension Proz LLC’s possession lies solely with the Customer.
2. Warranty
Suspension Proz LLC provides a limited warranty covering workmanship and any new parts installed by the Company for a period not to exceed six (6) months from the date of completion.
This warranty is non-negotiable, non-transferable, and subject to the following conditions:
The warranty covers only workmanship and components installed by Suspension Proz LLC.
Failures caused by any parts or seals not replaced by the Company are excluded from warranty coverage.
If the Company recommends certain part replacements and the Customer declines, all warranty coverage is void.
Warranty coverage does not extend to misuse, abuse, racing damage, improper installation, environmental exposure, or normal wear and tear.
Warranty claims must be made in writing within the warranty period, and any repair or replacement is at the sole discretion of Suspension Proz LLC.
No other warranties, expressed or implied, including merchantability or fitness for a particular purpose, are provided.
3. Payment Terms
The Customer will be notified within twenty-four (24) hours of completion of Service Work.
Payment in full is due within thirty (30) calendar days of completion.
Any unpaid balances after 30 days shall incur a $10 per calendar day finance and/or storage fee until payment is made in full.
If payment is not received within sixty (60) calendar days, the serviced shocks and/or components shall become the property of Suspension Proz LLC, and may be sold to recover costs without further notice to the Customer.
Under no circumstances will products be released or shipped until the full balance, including applicable fees, has been received and cleared.
4. Taxes and Duties
All applicable taxes, tariffs, customs duties, and related fees are the sole responsibility of the Customer.
Suspension Proz LLC will comply with all applicable tax and international trade laws.
Customers claiming exemption from sales tax must provide valid and current exemption documentation prior to payment; otherwise, all applicable taxes will be assessed and collected.
Suspension Proz LLC shall not be responsible for paying or refunding any taxes, duties, or import/export fees on behalf of the Customer.
5. Indemnification
The Customer agrees to indemnify, defend, and hold harmless Suspension Proz LLC, its officers, employees, and agents from any and all claims, damages, losses, liabilities, costs, or expenses (including attorney’s fees) arising out of or related to:
the Customer’s use, installation, or operation of any serviced products; or
any breach of these Terms and Conditions by the Customer.
6. Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of laws principles.
Any disputes arising under or in connection with this Agreement shall be resolved exclusively in the courts of Pierce County, Wisconsin, and the Customer consents to the jurisdiction of such courts.
7. Severability
If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall remain in full force and effect.
8. Entire Agreement
This Agreement constitutes the entire understanding between Suspension Proz LLC and the Customer regarding the Service Work and supersedes all prior or contemporaneous communications, whether written or oral.
