2025 Small Business Saturday Vendor Contract

    Saturday, November 29th | 10 AM - 3 PM | Community Center, Chariton
  • You/your business is hereafter referred to as “vendor”, hereby apply for space at the November 29, 2025 Small Business Saturday vendor fair in Chariton, Iowa and agree to all terms and conditions outlined in this contract. Nightshade Creative Co. is hereafter referred to as organizer.

    1. Cost: Vendor spaces are 10 x 10 in size with a cost of $20 per space. Funds will be used to cover the cost of the building and marketing materials. We are covering costs first and donating any proceeds to Almost Home Animal Rescue.
    2. Space Selection: Vendors will be allowed to select their space on a first come, first serve basis. Once a space has been reserved, vendors will not be allowed to request another vendor to move to suit their needs. 
    3. Vendor Spaces: Spaces will be marked in 10 ft x 10 ft squares with 1-2 ft between booths. Vendors will not be allowed to expand beyond their 10x10 area. Tables, chairs, etc. will not be provided. 
    4. Refunds: Vendors who fail to attend the vendor shall waive claim for refunds. Refunds will not be given due to inclement weather. Refunds will only be given if a situation arises that makes it impossible for the event to be held.
    5. Refusal: Nightshade Creative Co. has the right to select vendors to ensure a broad representation of products. No direct sales/MLM style businesses. 
    6. Injury/Loss: The organizers of this event shall not be held responsible for any injury or loss that may arise or come to the lessees, their employees, equipment, or customers from any cause whatsoever in connection with this contract. 
    7. Music: Vendors should not have loud music or anything that is distracting to other vendors. 
    8. Setup: Vendors will be allowed to set up as early as 8 AM. All vendors should be in place and ready for sales by 10 AM. Doors will open promptly at 10 AM for attendees to begin shopping. Vendors will be allowed to use the main entrance to unload all items. After unloading, vendors will be asked to move vehicles to parking lot directly west of the community center. All vendors will be allowed to pull up near the building again at the end of the day to pack up. 
    9. Cleanup: Vendors shall not tear down/clean up until 3 PM. No refunds will be issued to vendors who choose to tear down early. 
    10. Payment: Payment is required at the time of reservation. Payment can be sent via Venmo, PayPal, or check. Vendor spaces will be held for 1 week and then will be released if payment is not received.
    11. Vendor Responsibilities:
      1. Vendors are responsible for having enough product and all necessary items (petty cash, supplies, etc.) needed for the entirety of the event. 
      2. Vendors are responsible for clean-up and trash removal.
      3. Vendors agree to conduct business in accordance with all laws of the State of Iowa.
      4. Vendors are expected to maintain standards of cleanliness and professionalism.
      5. Each vendor is responsible for collecting and paying their own sales tax on items sold, if necessary. (Nightshade Creative Co will not provide any guidance on sales tax - please consult your tax professional.)
      6. Vendors will not sublet or rent out their space at any time.
      7. Vendors may not sell any direct sales/MLM style products. The organizer reserves the right to determine if products are or are not considered "MLM-style."  
      8. Booths must be staffed by vendors at all times. 
      9. Vendors agree that photographs of the booth and/or vendors may be taken during the event. These photographs will be used for advertisement or promotion purposes only.
    12. Organizer Responsibilities:
      1. The event organizer will provide the following marketing materials: social media images, flyers, newspaper, and press release. The organizer will submit information to advertising locations within Chariton and the surrounding community. Vendors are encouraged to share marketing materials with their customers/followers. 
      2. Nightshade Creative Co. will provide no insurance; any insurance must be placed and paid for by the exhibitor.
      3. Nightshade Creative Co. is not responsible for any accidents or injuries.
