Affiliate Program Agreement
This Affiliate Program Agreement (hereinafter referred to as the "Agreement") is made effective as of {effectivityDate} and will remain active and executable unless otherwise terminated, by and between the following parties:
8point8 Virtual Assistance Services, hereinafter referred to as "8point8", represented by Lisa F. Sabala:

WHEREAS:
8point8 operates an affiliate program to promote its virtual assistance and operations management services; and
The Affiliate wishes to participate in 8point8’s affiliate program under the terms outlined herein.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows:
I. Affiliate Program Terms & Scope
1. The Affiliate agrees to refer potential clients to 8point8 in exchange for performance-based commissions as outlined in this Agreement.
2. Referrals made by the Affiliate prior to the effective date of this Agreement are ineligible for commission payouts.
3. This Agreement does not create an employment, agency, or joint venture relationship between the Affiliate and 8point8. 8point8 has no obligation to pay retainer fees or fixed compensation.
4. Self-Referral Prohibition: Affiliates are strictly prohibited from using their own referral links to enroll businesses, subsidiaries, or projects that they own, operate, or represent. Self-referrals will be deemed void and ineligible for commissions or bonus hours.
II. Commission Structure & Payout Terms
1. Commission Rate: The Affiliate shall earn a 5% one-time commission based on the full, non-discounted price of the referred client’s first month payment upon signing up for an Auto Pay Service Plan:
Starter Plan ($440 USD): $22.00 USD Commission
Growth Plan ($800 USD): $40.00 USD Commission
Enterprise Plan ($1,600 USD): $80.00 USD Commission
2. Clearing Window & Payout Schedule: Commissions are subject to a 30-day clearing window from the date of the referred client’s initial payment to verify account active status and cleared funds. Once cleared, accrued commissions are distributed via PayPal using the payout email provided above on or before the 8th day of the following calendar month.
3. Minimum Payout Threshold: Payouts will only be issued once the Affiliate's cumulative cleared unpaid commission balance reaches or exceeds $100.00 USD. Balances below $100.00 USD will automatically roll over to subsequent months until the threshold is met.
4. Account Inactivity & Forfeiture: If an Affiliate account registers no new successful referrals for twelve (12) consecutive months, any accrued unpaid balance below the $100.00 USD payout threshold shall be forfeited.
5. Ironclad Clawback, Client Default & Refund Policy: Commissions are non-final and strictly contingent upon 8point8 retaining settled, non-refundable funds from the referred client. 8point8 enforces a mandatory 3-month initial commitment term across all client service agreements. If a referred client:
- Requests or demands a refund, credit, or fee reversal during their 30-day clearing window,
- Issues a credit card or PayPal chargeback/payment dispute, or
- Breaches their agreement, defaults on subsequent payments, or terminates prematurely prior to completing their mandatory 3-month initial commitment term,
8point8 reserves the absolute right to immediately withhold, cancel, deduct, or claw back the full commission amount from any current or future affiliate payouts. Unearned commissions paid out prior to a client dispute or default will be treated as a balance owed back to 8point8 by the Affiliate.
III. Referred Client Perks (Free Hours)
To incentivize conversions, prospective clients who are onboarded and expressly declared in their onboarding form that they were referred by the Affiliate will receive FREE virtual assistance service hours to be utilized exclusively during their first month of service:
Starter Plan ($440 USD): 2 Free Hours
Growth Plan ($800 USD): 4 Free Hours
Enterprise Plan ($1,600 USD): 10 Free Hours
The awarded free virtual assistance hours expire at the end of the referred client’s first billing cycle and cannot be rolled over to subsequent months. Bonus hours are non-transferable and carry zero cash redemption value.
IV. Referral Methods, Paid Advertising Restrictions & IP Protection
1. Allowed Channels: The Affiliate may promote 8point8 using organic social media posts, direct email communication, personal networking, word of mouth, coaching programs, client portals, recommended vendor lists, and educational content.
2. Prohibition of Paid Ads: Affiliates are strictly prohibited from running paid digital advertisements (e.g., Google Ads, Meta Ads) targeting 8point8, its brand name, or associated terms.
3. Brand & IP Protection: Affiliates may not register domains, create social media handles, or purchase search engine keywords containing "8point8" or variations thereof. Affiliates must not misrepresent themselves as official employees or representatives of 8point8. The Affiliate accepts sole liability for any unauthorized claims made about 8point8’s services.
V. Eligibility & Termination
Eligibility Scope: Participation in 8point8’s Affiliate Program is open to active clients, former clients, business coaches, consultants, strategic partners, and approved third-party advocates by invitation or application approval.
Termination: 8point8 reserves the right to suspend or terminate an Affiliate's participation at its sole discretion, with or without cause, upon written notice. Fraudulent activity or violations of advertising rules will result in immediate termination and forfeiture of pending commissions.
VI. General Provisions & Governing Law
Entire Agreement: This Agreement constitutes the complete understanding between the Parties and supersedes all prior communications, negotiations, or understandings.
Amendments: Modifications to this Agreement must be executed in writing and agreed to by both Parties.
Governing Law: This Agreement shall be governed by, interpreted, and enforced in accordance with the laws of the Republic of the Philippines.
