This agreement contains the entire understanding between the Service Provider and the Client. It supersedes all prior and simultaneous agreements between the parties. The only way to add or change this agreement is to do so in writing, please put a check mark by each term:

Agreement*

This serves as a binding contract between the Client and New You Wellness LLC. The client has hired New You Wellness LLC to deliver Chair Massage Services for their event in accordance with On-site Chair Massage Service Package. The event will commence at the event address noted above. Both parties agree to the following terms.

Reservations*

Client agrees to submit payment of the non-refundable Reservation Deposit at time of contract signing to secure booking. This applies even if the date is changed or event cancelled for any reason, including acts of God, fire, strike, and extreme weather. The Service Provider will reserve the event time and date agreed upon. The Reservation Deposit is applied towards the contracted Event Package. Client understands and agrees that the entire amount owed for the Event Package described above is due 24 hours prior to the scheduled event, or, on the Outstanding Balance Due date (if specified). Client agrees if the balance is not paid by this time, the Service Provider will not deliver chair massage services for the Event, and will incur a loss of the Reservation Deposit with no liability to the Service Provider.

Compensation*

The Parties agree to the payment terms as stated in the Payment Policy and the total cost of the service package which includes an 18% gratuity. Client will inform Service Provider if they would cover any parking fees from $15 per Massage Therapist up to the total cost for parking.

Term*

The term of this Contract is 30 days from the time the Client signs and accepts the Contract unless terminated prior to event start date due to other determined by the Client.

Event Participant Release*

The Client hereby grants to the Service Provider and its legal representatives and assigns, the irrevocable and unrestricted right to use and publish photographs of the Event, its guests, attendees, and officials for editorial, advertising, social posts, marketing and any other purpose and in any manner and medium; to alter the same without restriction; and to copyright the same. The Client hereby releases the Service Provider and his/her legal representatives and assigns from all claims and liability relating to said marketing promotions.

Termination*

If either Party decides to terminate this Contract before the Term date or scheduled event, either Party must provide a 3 day written notice or in accordance with any agreed upon communication to the other Party. If the Client terminates the Contract before the services have been rendered, the Client will be liable to the Service Provider for the total cost of the event as outlined in the Payment Policy. This Contract will automatically terminate when both Parties have performed all of their obligations under the Contract and all payments have been received.

Co-operation of Client Staff/Participants and Service Provider Staff*

The Client is responsible for the conduct of their team and/or participants.. The Client should share the Event schedule with their team and/or participants to make sure that there are no conflicts with times. The Service Provider will not tolerate verbally or physically abusive behavior. As well, the Service Provider is responsible for its staff providing professionalism, courtesy and a welcoming experience to the Client's staff and/or participants. Any unprofessional behavior or conduct exhibited by the Client's team/participants or the Service Provider's Therapists occurs, either Party has the right to terminate the event due to any lingering unprofessional behavior. In such a case, fault is found with the Client, then the Client will not receive a refund. If the fault is with the Provider, Client will be refunded everything excluding the non-refundable Reservation Deposit.

Relationship of Parties*

The Parties understand that this Contract is not an exclusive arrangement. The Parties agree that they are free to enter into other similar agreements with third parties. The Parties to this Contract are Independent Contractors. Neither Party is an agent representative, partner or employee of the other Party.

Waiver*

Neither Party can waive any provisions of this Contract or any rights or obligations under this Contract unless agreed to in writing by the Parties. If any provision, right or obligation is waved, it's only waived to the extent agreed to in writing.

Penalty Fees and Charges*

There is a $75 charge for payments returned by the bank for any reason. If Client cancels booking in less than 24 hours of the event, the Client will be charged $100 per Therapist fee.

Amendments*

This Service Contract may be modified as needed. To make a modification, the Parties have to agree to the modification in writing. The terms of this Contract will apply to any amendment the Parties make.

Limit of Liabitlity*

In the unlikely event of severe medical, natural, or other emergency it could be necessary to retain a different Service Provider. The Service Provider will make every effort to secure a skilled replacement to meet the Client's booking request. If the situation should occur and a suitable replacement is not found, responsibility and liability is limited to the return of all payments received for the On-site Chair Massage Package. The Service Provider will take the utmost care with respect to delivery of services, experience and Licensed Therapists and event experience. However, in the unlikely event the Service Provider is unable to deliver services as agreed upon with the Client for reasons within or beyond the Service Provider's control, the Service Provider's liability is limited to the return of all payments received for the event package.

Severability *

If any provision of this agreement is held to be invalid or unenforceable under the law, the validity of this agreement as a whole shall not be affected, and the other provisions of the agreement shall remain in full force and effect.

Governing Law and Jurisdiction*

The Parties agree that this Contract shall be governed by Illinois state law.
