RECITALS
WHEREAS, Organization operates the Ms. Senior World™ Pageant celebrating women aged 50–79; and
WHEREAS, Delegate desires to participate as a state/country representative in the 2026 Ms. Senior World™ Pageant; and
WHEREAS, Organization is willing to accept Delegate's participation subject to the terms and conditions herein;
NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
ARTICLE I: DELEGATE ELIGIBILITY REQUIREMENTS
1.1 Eligibility Criteria
The Ms. Senior World Pageants, LLC is a private, expressive, membership-based program established specifically to celebrate the lives, contributions, and experiences of biological females aged 50 and above. Participation in this program is limited to individuals who align with its founding mission and defined eligibility criteria.
By completing and submitting the application for the Ms. Senior World Pageant, Delegate affirms, represents, and warrants that she:
- Is biologically female, was assigned female at birth, and has lived her life as female
- Is medically and legally recognized as female on all current government-issued identification
- Is a citizen of the United States or citizen of the country/territory she represents
- Is in reasonably good health and of good moral character
- Meets the age requirements for her chosen category as of September 1, 2026 (age 50-79)
- Has not competed for the same state/country title for more than three (3) consecutive years
- Understands that this pageant is designed exclusively for biological women, consistent with its history, mission, values, and expressive purpose
1.2 Age Verification
Delegate agrees to provide a copy of her driver's license or state-issued ID to verify age and legal identity upon request.
1.3 Acceptance and Revocation of Eligibility
Delegate understands and agrees that:
- Acceptance as a delegate is at the sole and absolute discretion of the Organization
- The Organization may deny, suspend, or revoke Delegate's participation at any time, including before or during pageant week, if it determines in its sole judgment that:
- Delegate does not or no longer meets eligibility requirements
- Delegate has misrepresented any material fact
- Delegate's conduct, online or offline, conflicts with the mission, reputation, or safety of the Organization
Such denial or revocation does not entitle Delegate to any refund or damages
1.4 Acknowledgment
By completing this application and submitting it to the Organization, Delegate acknowledges that she has read, understands, and meets all eligibility requirements set forth in Article I and agrees to be bound by these eligibility determinations.
Any misrepresentation of eligibility constitutes immediate grounds for:
- Application denial
- Disqualification
- Revocation of title, crown, sash, and prizes
- Forfeiture of all fees
No refunds will be issued under any circumstances.
ARTICLE II: FINANCIAL OBLIGATIONS
2.1 Entry Fees
Total Entry Fee: $1,850.00
Payment Options: Full payment or $650 deposit (balance due by September 1, 2026)
Processing Fees: Additional fees as assessed by payment processor
2.2 Additional Required Expenses
Delegate is responsible for all costs associated with participation, including but not limited to:
- Hotel accommodations at the designated Host Hotel (NO EXCEPTIONS – all delegates must stay at the Host Hotel during Pageant Week)
- Travel to and from competition venue
- Competition wardrobe for all phases (active wear, evening gown, etc.)
- Personal styling, hair, makeup, and accessories
- One full-page advertisement equivalent for the program book (may be submitted as one full-page ad, two half-page ads, eight business card-sized ads, or one full signature page)
2.3 Payment Deadlines
- Deposit or Full Payment: Due upon application acceptance
- Final Balance: Due by September 1, 2026
- Program Book Advertisement: Due by deadline posted by Executive Director
- Failure to submit final payments by September 1, 2026 will result in immediate disqualification from competing in the Ms. Senior World Pageant without refund.
2.4 No Refund Policy
ALL FEES ARE NON-REFUNDABLE AND NON-TRANSFERABLE UNDER ANY CIRCUMSTANCES.
No portion of fees will be returned for any reason whatsoever, including but not limited to:
- Voluntary withdrawal
- Disqualification for rules violations
- Illness, injury, or medical emergency
- Family emergency or personal circumstances
- Inability to attend for any reason
- Cancellation by Delegate
- Force majeure events (as defined herein)
- Dissatisfaction with Organization or event
- Changes in format, schedule, venue, or judges
- Delegate acknowledges and agrees that she is fully aware THERE WILL BE NO REFUNDS for any reason.
ARTICLE III: COMPETITION RULES AND CONDUCT
3.1 Professional Standards
Delegate agrees to conduct herself at all times with dignity, grace, and good manners befitting a woman who exemplifies the integrity of the Ms. Senior World Pageant. Specifically, Delegate agrees to:
- Cover all tattoos during competitions, appearances, and official pageant events
- Never smoke or be intoxicated while wearing crown and banner
- Maintain punctuality for all scheduled events, rehearsals, and activities
- Participate fully in all phases of practice and competition
- Treat all staff, judges, sponsors, fellow delegates, and attendees with respect
- Refrain from engaging in conduct that will bring adverse criticism to the Organization
3.2 Competition Week Requirements
Delegate agrees to:
- Attend and be on time for all mandatory rehearsals, meetings, and events
- Stay at the designated Host Hotel during the entire competition week (NO EXCEPTIONS)
- Comply with all directions from pageant staff regarding scheduling, staging, and logistics
- Submit all required paperwork by posted deadlines through the official Pageant Portal
- Arrive prepared with all required wardrobe, materials, and personal items
- Participate in Opening Number, Closing Number, and all group presentations
3.3 Consequences for Tardiness or Absence
Delegates who are late or absent from required events may not be allowed to participate in that activity or competition phase, which would result in a score of zero for that portion unless there is a documented emergency or director-approved excuse. Repeated tardiness or failure to participate may result in disqualification.
3.4 Technology and Communication Requirements
Delegate must possess:
- General computer skills to access and submit paperwork
- Access to a laptop or desktop computer (not just a smartphone)
- Access to social media, specifically Facebook
- Ability to communicate via email in a timely manner with pageant staff
- All required paperwork must be submitted online through the Pageant Portal/JotForm. Submissions sent in any other form may not be accepted.
3.5 Consecutive Year Limitation
A delegate may represent the same state or country title in the Ms. Senior World Pageant for a maximum of three (3) consecutive years. After the third year, the delegate will no longer be eligible to compete for the same state or country title and must either select a different available title or wait one (1) full year before competing again for the previously held title.
ARTICLE IV: CODE OF CONDUCT
4.1 General Conduct Standards
Delegate agrees to always conduct herself with dignity, grace, and good manners whenever representing her state/country or the Ms. Senior World Pageant, whether wearing her crown and banner or not.
4.2 Morals and Reputation Clause
Delegate understands that she is a visible representative of the Organization throughout the competition year. Delegate agrees that she shall not, during the term of this Agreement:
- Engage in criminal, violent, sexually explicit, hateful, fraudulent, or otherwise scandalous conduct, whether in person or online
- Engage in conduct that reasonably could be expected to shock, offend, or alienate the
- Organization's audience, sponsors, or community
- Publicly associate the Ms. Senior World Pageant name, logo, or brand with any activity inconsistent with its mission of celebrating women of elegance, service, and leadership
- The Organization may, in its sole discretion, determine whether conduct violates this clause.
4.3 Social Media and Non-Disparagement
Delegate agrees that she shall not:
- Make disparaging, defamatory, or negative statements about the Organization, its staff, judges, sponsors, volunteers, other delegates, or the results of the competition
- Post negative or critical content about the pageant, competition results, or any pageant-related matters on social media or public platforms
- Engage in cyberbullying, online harassment, or smear campaigns related to the Organization
This non-disparagement obligation applies:
- During the application process
- During pageant week
- During any reign as titleholder
- After the competition has concluded
4.4 Family and Friends Conduct
Delegate is responsible for ensuring that her family members, friends, and representatives also conduct themselves appropriately and refrain from any behavior that could bring adverse criticism to the Organization. Delegate may be held accountable for the actions of her guests and supporters.
Any violation of these conduct standards may result in immediate disqualification, removal of titles, or legal action.
ARTICLE V: MEDIA, PRESS, AND JUDGE RESTRICTIONS
5.1 Media and Press Restrictions During Competition Week
Delegate agrees that she will NOT:
- Participate in any interview, photo session, or press contact during pageant week unless a member of the pageant staff is present
- Engage in publicity of any kind during competition week without prior written approval from Ms. Senior World staff
- Participate in any social media livestreams, interviews, or promotional activities during competition week without staff approval
- Attend any function or make any public appearances other than regularly scheduled pageant events during competition week
"Free time" during competition week is defined as time on Delegate's own schedule, but does NOT permit media interviews, press contacts, photo sessions, or publicity without staff presence and approval.
5.2 Judge Contact Prohibition
Delegate agrees that she, together with her family, friends, and/or representatives, will NOT:
- Be in the company of or approach any Pageant Judge before, during, or after the competition
- Question judges regarding their opinions, scores, or comments
- Attempt to influence judges in any manner
- Make contact with judges through social media or any other means during competition week
5.3 Backstage and Stage Restrictions
Delegate agrees that:
- No parent, friend, family member, or representative is allowed backstage except as advised by the Executive Director or Pageant Staff
- Delegate will not invite anyone backstage or on stage following the pageant unless announced by staff
- Family and friends must remain off the stage immediately following crowning to allow the pageant photographer and videographer to take official pictures of winners and their courts
- Delegate will advise family, friends, and representatives of these restrictions
ARTICLE VI: INTELLECTUAL PROPERTY AND MEDIA RIGHTS
6.1 Unlimited Media Rights Grant
Delegate hereby grants to the Ms. Senior World Pageant perpetual, irrevocable, worldwide, royalty-free rights to use her name, image, likeness, voice, biographical information, and performance in any manner deemed necessary for the promotion of the Ms. Senior World Pageant(s) and related activities, without limitation and without payment.
This grant includes but is not limited to use in:
- Promotional materials, advertisements, and marketing campaigns
- Social media content across all platforms
- Website content and online materials
- Video recordings, livestreams, and broadcasts
- Program books, publications, and printed materials
- Press releases and media outreach
- Sponsor materials and presentations
6.2 Waiver of Approval Rights
Delegate hereby waives any right to approve the finished photograph(s), video(s), or any copy that might be used in conjunction with the finished photograph/product.
6.3 Photography and Videography
Delegate understands that the Ms. Senior World Pageant, the trademark holder, the Executive Director, their staff, successors, and assigns are not responsible for the quality of photography and/or videography of the pageant and its events. Any issues regarding these products must be taken up directly with the vendor(s).
6.4 Release from Claims
Delegate hereby forever releases and discharges the Ms. Senior World Pageant, the trademark holder, the Executive Director, their staff, successors, and assigns from any claims, actions, and/or damages whatsoever by reason of any such media use.
6.5 Logo and Trademark Protection
The Ms. Senior World Pageant strictly prohibits the use of its logo, name, or likeness without the express written consent of the Executive Director. This policy applies to all forms of usage, including but not limited to:
- Advertising and marketing materials
- Apparel, merchandise, and promotional items
- Digital and social media content
- Any other form of public or private representation
Unauthorized use of the Ms. Senior World Pageant's intellectual property is a violation of this Agreement and may result in legal action and immediate disqualification.
6.6 Required Content Submissions
Delegate agrees to submit the following by the specified deadlines:
- Clear headshot photograph for the Delegate page in the program book (due September 1, 2026 – NO EXCEPTIONS)
- Advertisement materials for the program book by the deadline set forth by the Executive Director
- Any other materials as requested by Organization staff
Failure to meet submission deadlines will result in the omission of advertisements or content from official pageant materials, with no refund.
6.7 Release for Errors and Omissions
Delegate hereby releases the Ms. Senior World Pageant, staff, successors, and assigns from any liability for any omission, typographic error, reproduction quality issue, or printing error that may occur in relation to her advertisement, photo, or listing in official pageant materials.
ARTICLE VII: COMMERCIAL ACTIVITIES AND REVENUE SHARING
7.1 Prohibition on Monetizing Pageant Audience
Delegate may NOT sell, market, promote, or monetize any products or services to other Ms. Senior World delegates, contestants, pageant audience members, or pageant followers without executing Organization's separate Vendor Revenue Sharing Agreement.
7.2 Required Vendor Agreement for Commercial Activities
Any commercial activities targeting the Ms. Senior World network, audience, or delegate community must:
- Be conducted through Organization's approved vendor program
- Include payment of required administrative fees
- Comply with revenue sharing requirements (30% to Organization)
- Receive prior written approval from the Executive Director
7.3 Confidentiality of Delegate Information
Delegate acknowledges that she may have access to contact information and personal details of other delegates. Delegate agrees:
- NOT to share, sell, or distribute delegate contact information to third parties
- NOT to use delegate information for personal commercial gain
- NOT to recruit delegates for competing pageant organizations
- To maintain confidentiality of all proprietary pageant information
7.4 Consequences of Violations
Unauthorized commercial activities or misuse of delegate information will result in immediate disqualification and may result in legal action for damages.
ARTICLE VIII: HEALTH, SAFETY, AND PHYSICAL REQUIREMENTS
8.1 Health and Physical Ability Requirements
Delegate certifies that she:
- Is in reasonably good health and of good moral character
- Can meet the physical requirements to participate as a delegate
- Is able to stand for 30 minutes or more during pageant practice and performances
- Is able to walk unassisted
- Is able to model and walk on stage
- Is able to ascend and descend stairs or steps as needed to access staging areas or as part of pageant activities
8.2 Medical Disclosure Requirement
A candidate who has suffered a medical condition that may limit her physical or mental strength should discuss this with pageant staff PRIOR to application so it can be determined whether she can meet the physical requirements for practice and competition during pageant week.
8.3 Communicable Disease Waiver (Including COVID-19)
ASSUMPTION OF RISK / WAIVER OF LIABILITY / INDEMNIFICATION AGREEMENT
In consideration of being allowed to participate in Ms. Senior World Pageant and related events and activities, Delegate acknowledges, appreciates, and agrees that:
Participation includes possible exposure to infectious diseases including but not limited to MRSA, influenza, and COVID-19. While particular rules and personal discipline may reduce this risk, the risk of serious illness and death does exist.
Delegate KNOWINGLY AND FREELY ASSUMES ALL SUCH RISKS, both known and unknown, EVEN IF ARISING FROM THE NEGLIGENCE OF THE ORGANIZATION or others, and assumes full responsibility for her participation.
Delegate willingly agrees to comply with stated and customary terms and conditions for participation as regards protection against infectious diseases. If Delegate observes any unusual or significant hazard during her presence or participation, she will remove herself from participation and bring such to the attention of the nearest official immediately.
Delegate, for herself and on behalf of her heirs, assigns, personal representatives, and next of kin, HEREBY RELEASES AND HOLDS HARMLESS MS Senior World Pageant, their officers, officials, agents, staff, volunteers, employees, other participants, sponsoring agencies, sponsors, advertisers, and if applicable, owners and lessors of premises used to conduct the event ("RELEASEES"), WITH RESPECT TO ANY AND ALL ILLNESS, DISABILITY, DEATH, or loss or damage to person or property, WHETHER ARISING FROM THE NEGLIGENCE OF RELEASEES OR OTHERWISE, to the fullest extent permitted by law.
ARTICLE IX: LIABILITY RELEASE AND INDEMNIFICATION
9.1 Complete Release of Liability
Delegate does hereby waive, release, and forever discharge Ms. Senior World Pageant, the trademark holder, the Executive Director, their employees, representatives, executors, successors, and assigns from any and all responsibilities, liability for injury, damages, or accidents resulting from Delegate's participation in any pageant activities.
Delegate also hereby releases all those mentioned, and any others acting on their behalf, from any responsibility or liability for any accident, injury, or damage to herself, including those caused by the negligent act or omission of any of those mentioned or others acting on their behalf, or in any way arising out of or connected with Delegate's participation in any activity related to the Ms. Senior World Pageant.
9.2 Assumption of All Risks
Delegate assumes all risks associated with:
- Travel to, from, and during the pageant
- Accommodations and lodging
- Pageant activities, rehearsals, and performances
- Personal property brought to the pageant or pageant-related events
- All other aspects of participation
9.3 Indemnification of Organization
Delegate agrees to indemnify, defend, and hold harmless the Organization against all claims, damages, losses, and expenses (including attorney's fees) arising from:
- Delegate's participation in the pageant
- Actions or conduct of Delegate's family, friends, or representatives
- Any breach of this Agreement by Delegate
- Any misrepresentation made by Delegate
9.4 Personal Financial Responsibility
Delegate agrees to take full responsibility for any losses, damages, claims, or debts incurred or made by herself or any member(s) of her party in connection with her participation in the Ms. Senior World Pageant, including but not limited to:
- Travel and transportation costs
- Pageant ensembles and wardrobe
- Meals and dining expenses
- Personal expenses and out-of-pocket costs
- All personal property
9.5 Hotel and Accommodation Responsibility
Delegate must contact the Host Hotel directly for reservations and check-in requirements. Failure to settle all debts at checkout will be handled between the hotel and the Delegate. Organization is not responsible for hotel charges, disputes, or accommodations issues.
9.6 Personal Property
Organization is not responsible for lost, stolen, damaged, or misplaced personal property belonging to Delegate or her guests at any time during pageant week or related events.
ARTICLE X: DISQUALIFICATION AND VIOLATIONS
10.1 Immediate Disqualification Events
Delegate will be immediately disqualified without refund for any of the following:
- Criminal charges or conviction during the competition year
- Failure to pass required background check (if requested)
- Breach of confidentiality obligations
- Unauthorized commercial activities or monetization
- Involvement with or promotion of competing pageant organizations
- Refusal to allow social media monitoring or violations of social media policies
- Misconduct bringing adverse criticism to the Organization
- Failure to pay required fees by posted deadlines
- Misrepresentation of any eligibility requirement or material fact
- Violation of judge contact prohibition
- Violation of media/press restrictions
- Physical altercation or threatening behavior
- Intoxication or substance abuse during pageant events
- Theft or destruction of property
- Any behavior deemed by the Executive Director to be detrimental to the pageant
10.2 Progressive Discipline for Minor Violations
For minor violations not warranting immediate disqualification, Organization may implement progressive discipline:
- First violation: Warning and corrective action plan
- Second violation: Removal from specific competition activities or loss of privileges
- Third violation: Disqualification without refund
10.3 Sole Discretion of Organization
The determination of whether conduct constitutes a violation and the appropriate consequence is at the sole discretion of the Executive Director and pageant staff. All decisions are final.
10.4 No Refunds Upon Disqualification
Delegate who is disqualified for any reason will forfeit all fees paid and will not be entitled to any refund whatsoever.
ARTICLE XI: WINNER AND RUNNER-UP OBLIGATIONS
11.1 Additional Winner Requirements
Should Delegate win the Ms. Senior World title for her division, she agrees to:
- Sign a separate Winner's Contract with additional specific obligations
- NOT compete in any other pageant competition (local, preliminary, state, national, or international) during her reign
- Embrace and proudly promote the title, crown, and banner until the title is passed to her successor
Make a minimum of twelve (12) documented not-for-profit appearances during her reign (one per calendar month)
- Receive prior approval from the Executive Director before scheduling all appearances
- Return the following year to crown her successor
- Promote Ms. Senior World Pageants to her fullest abilities
- Submit appearance documentation including photos, location, names, and titles within two weeks of each event
11.2 Title Forfeiture
Should Delegate win the Ms. Senior World Title and cannot meet the required obligations, she will immediately forfeit her title, crown, sash, and all prizes to the 1st Runner-Up as selected by the judges.
11.3 Runner-Up Succession
If Delegate places as a Runner-Up and the Ms. Senior World Title for her division defaults to her, she must:
- Meet all eligibility requirements at the time of the default
- Be bound by all provisions of the Winner's Contract
- Accept the title within 48 hours of notification
If she does not meet eligibility requirements at the time of default or declines the title, it will be offered to the next delegate as indicated by official pageant scores.
11.4 Crown, Sash, and Prize Ownership
No title, crown, or sash will be awarded until the entry fee is paid in full. All awards, prizes, and recognition remain the property of the Organization until all financial obligations are satisfied.
11.5 Award Pickup Requirement
All awards, trophies, crowns, and prizes must be picked up immediately after the Finals Competition. If Delegate cannot take awards with her, she must make arrangements for shipping at her own expense immediately after Finals Night.
ARTICLE XII: CONFIDENTIALITY AND NON-DISCLOSURE
12.1 Confidential Information Defined
Delegate acknowledges that she will have access to confidential and proprietary information including:
- Contact information and personal details of other delegates
- Judging criteria, scoring methods, and competition procedures
- Sponsor relationships and business strategies
- Organization trade secrets and operational procedures
- Financial information
- Strategic planning and future initiatives
12.2 Non-Disclosure Obligations
Delegate agrees to:
- Maintain strict confidentiality of all proprietary information during and after her participation
- NOT disclose delegate contact information to any third parties
- NOT share judging criteria or scoring information publicly
- NOT recruit delegates for competing pageant organizations
- NOT use confidential information for personal gain
- NOT disparage or make negative statements about confidential pageant operations
12.3 Survival of Confidentiality
Confidentiality obligations survive the termination of this Agreement indefinitely and remain in effect regardless of whether Delegate completes her participation or is disqualified.
12.4 Remedies for Breach
Breach of confidentiality obligations may result in:
- Immediate disqualification
- Legal action for damages
- Injunctive relief
- Forfeiture of title (if applicable)
- Payment of Organization's attorney's fees and costs
ARTICLE XIII: JUDGING AND COMPETITION INTEGRITY
13.1 Finality of Judges' Decisions
Delegate understands and agrees that the decision of the judges is final and without question. Scores, placements, and awards are determined solely by the judges based on the established criteria.
13.2 No Score Disputes
Delegate agrees that she will NOT:
- Challenge or dispute judges' scores or decisions
- Request score recounts or re-evaluations
- Publicly question judging outcomes
- Make accusations of bias or unfair judging
13.3 Competition Format
Delegate understands that:
- Each delegate competes against herself, not other contestants
- Scoring is based on Best Evaluation Rating (BER)
- More than one contestant can receive the same score
- Judges evaluate based on established criteria for each phase of competition
ARTICLE XIV: DELEGATE ELIGIBILITY POLICY AND COMPLIANCE
14.1 Strict Adherence to Rules
All delegates must strictly adhere to all Ms. Senior World rules, regulations, policies, and procedures as outlined in:
- This Delegate Participation Agreement
- The Official Delegate Handbook
- Communications from pageant staff
- Posted deadlines and requirements on the official website
14.2 Paperwork and Deadline Compliance
All required paperwork must be submitted by the deadlines posted on the official Ms. Senior World website and communicated by staff. Submissions must be made through the designated Pageant Portal/JotForm. Late or improperly submitted paperwork may result in:
- Non-acceptance of materials
- Omission from program book or official materials
- Inability to participate in specific competition phases
- Disqualification in extreme cases
14.3 Verified Complaints and Conduct Review
Verified complaints or documented actions that conflict with the mission and values of Ms. Senior World may result in:
- Investigation by pageant staff
- Meeting with Executive Director
- Corrective action requirements
- Disqualification without refund (in serious cases)
14.4 Proactive Communication Requirement
Delegates are expected and encouraged to proactively communicate with the pageant staff regarding any questions, concerns, or issues related to deadlines, expectations, requirements, or participation.
14.5 Purpose of Eligibility Policy
This policy ensures:
- Fairness and equality for all participants
- Professionalism and a positive experience for everyone
- Protection of the integrity of Ms. Senior World and its mission
- Consistency with the organization's values of celebrating women of elegance, service, and leadership
ARTICLE XV: LEGAL PROVISIONS
15.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Mississippi, without regard to its conflict of law provisions.
15.2 Dispute Resolution and Arbitration
Any disagreement, dispute, or controversy arising out of or relating to this Agreement, including but not limited to disputes regarding:
- Contract interpretation,
- Eligibility determinations,
- Disqualification decisions,
- Fee disputes,
- Conduct violations,
shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Mississippi, and the decision of the arbitrator shall be final and binding on both parties.
15.3 Arbitration Costs
Delegate agrees to be responsible for all arbitration costs and expenses, including but not limited to:
- Filing fees
- Arbitrator fees
- Administrative costs
- Her own attorney's fees
If Organization prevails in arbitration, Delegate agrees to reimburse Organization for its reasonable attorney's fees and costs.
15.4 Waiver of Jury Trial
Delegate hereby waives any right to a jury trial for any dispute arising under or related to this Agreement.
15.5 Severability
If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be severed from the Agreement, and the remainder of the Agreement shall remain in full force and effect.
15.6 Entire Agreement
This Agreement, together with the Official Delegate Handbook and any Winner's Contract (if applicable), constitutes the entire agreement between the parties and supersedes all prior understandings, agreements, representations, and warranties, both written and oral.
If there is any conflict between this Agreement and the Delegate Handbook, this Agreement shall control.
15.7 Modifications
This Agreement may only be modified by a written document signed by both the Delegate and an authorized representative of Ms. Senior World Pageants, LLC. No oral modifications are valid.
15.8 No Waiver
The failure of Organization to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of the Organization.
15.9 Counterparts and Electronic Signatures
This Agreement may be executed in counterparts, each of which shall be deemed an original. Electronic signatures shall have the same force and effect as original signatures.
ARTICLE XVI: RELATIONSHIP OF PARTIES & FORCE MAJEURE
16.1 Independent Status
Delegate acknowledges that:
- She is not an employee, agent, partner, or joint venturer of the Organization
- Nothing in this Agreement shall be construed to create an employment relationship
Delegate shall not represent that she has authority to bind the Organization in any contract or commitment
16.2 Force Majeure
Organization shall not be liable for any delay, modification, or cancellation of the pageant or related events due to circumstances beyond its reasonable control, including but not limited to:
- Acts of God
- Natural disasters
- War, terrorism, or civil unrest
- Strikes or labor disputes
- Government orders, regulations, or restrictions
- Public health emergencies or pandemics
- Venue unavailability or damage
In the event of such circumstances, the Organization may, in its sole discretion:
- Reschedule, relocate, shorten, or modify the pageant or its format; and/or
- Convert the event to a virtual or hybrid format
Delegate understands and agrees that:
- No refunds will be issued due to force majeure events; and
- Any rescheduling or modification shall not be deemed a breach of this Agreement
16.3 Survival
All provisions that by their nature should survive termination of this Agreement (including but not limited to liability waivers, indemnity, confidentiality, non-disparagement, and IP grants) shall survive.
ARTICLE XVII: ACKNOWLEDGMENTS AND AGREEMENT
17.1 Voluntary Participation
Delegate acknowledges that her participation in the Ms. Senior World Pageant is completely voluntary and that she has not been coerced, pressured, or misled into entering this Agreement.
17.2 Opportunity to Review
Delegate acknowledges that she has been given adequate time and opportunity to:
- Read this entire Agreement carefully
- Ask questions about any provisions she does not understand
- Consult with an attorney or advisor of her choosing
- Consider the terms and obligations before signing
17.3 Understanding of Terms
Delegate represents that she has read and fully understands all terms, conditions, obligations, and consequences set forth in this Agreement and voluntarily agrees to be bound by them.
17.4 Accuracy of Information
Delegate represents and warrants that all information provided in her application and throughout her participation is true, accurate, and complete to the best of her knowledge. Any misrepresentation is grounds for immediate disqualification.
17.5 Binding Effect
Delegate understands that this Agreement is legally binding and will be enforced to the fullest extent permitted by law.
