It is the responsibility of the client to obtain and maintain proper permissions and licenses for using any materials (including, but not limited to, digital, intellectual, and/or physical materials, commissioned works, and works created in whole or in part by artificial intelligence) provided to Kellum Creek Business Solutions (KCBS) for promotional or other business purposes. The client represents and warrants to KCBS that the client holds all necessary rights to permit the use of the listing, advertisement, content, collateral, and images by KCBS under this agreement and grants permission for the reproduction, distribution, and transmission of all such information, including all associated digital assets.
For any works commissioned by the client with KCBS as the provider of such works, it is the sole responsibility of the client to ensure that these works are valid for use, do not infringe upon any trademarks, copyrights, or other intellectual property rights, and comply with all applicable laws and regulations before their use or publication.
No content provided to KCBS or created by KCBS at the client’s direction shall be objectionable, unlawful, or lead to any circumstances that might cause civil liability or criminal offense. The client agrees to indemnify, defend, and hold KCBS, its owners, and its associates harmless from and against all liability, loss, damages, claims, and/or causes of action, including all reasonable legal fees and other costs, related to misconduct or breach of such representations and warranties.
KCBS is not responsible for content posted by users outside the organization, even if such content is authorized by the client. The client accepts full responsibility for ensuring that all such external content complies with all applicable laws and regulations and holds KCBS harmless from any related claims or liabilities.
KCBS reserves the right to exclude any content at its discretion for any reason.
