TERMS AND CONDITIONS

This Visionary Investment Partnership Contract (this “Contract”) is made by Apartment Association of Metro Denver (“AAMD”) and the above identified VIP Company (“VIP”) relative to the 2028 Tributes Event (the “Event”).

Payment Amount: VIP shall pay AAMD the above VIP Sponsorship Amount in exchange for the benefits, recognition, advertising, speaking opportunities, tickets and licenses associated with the above VIP Level (“Benefits”), as described in the 2028 VIP Tributes Sponsorship Guide
Payment Dates: VIP shall pay the Sponsorship Amounts in either 6 equal payments beginning in January 2027 or 10 equal payments beginning in March 2026.
Exclusivity: Sponsorship Levels are not exclusive and there may be multiple VIP's at all sponsorship levels, except as limited in the Tributes Guide.
Non Cancelability: Because many AAMD costs and Sponsor Benefits will immediately be incurred and provided and because AAMD will be obligated to incur significant and non-terminable obligations to various outside vendors in reliance on this Contract, this Contract is not cancelable by VIP. The payment dates above are for the convenience of the VIP and are an extension of credit by AAMD. Those dates do not represent an estimate by the parties of the dates which the Benefits are received by the VIP.
Default: Payments under this Contract shall be made timely. In the event of a payment delinquency, AAMD shall have the right to fully accelerate the remaining payments due under this Contract, cancel all and to the extent possible remove all previously printed or published recognition. All amounts paid or due will remain due to AAMD as liquidated damages, as the parties agree that calculating the actual damages suffered by AAMD will be difficult or impossible to quantify. Unpaid balances will bear interest at 1.5% per month from the due date. VIP agrees to pay all court costs and reasonable attorney fees for collection of all past due amounts. In the event of any claimed default, other than timely payment, AAMD and VIP shall provide the other with written notice of the default with a 30-day right to cure.
Membership: VIP shall remain in good standing and current on membership dues with AAMD throughout the term of this Contract.
Event Delay and Cancellation: AAMD shall use reasonable efforts to cause the Event to take place at the date and venue listed in the Tributes Guide. VIP acknowledges and agrees to any change in the Event location or date, provided the Event occurs within 12 months of the originally scheduled date. If the Event cannot be rescheduled within 12 months, AAMD will refund the Sponsorship Amount, less any amount reasonably attributed to Benefits already received by the VIP. AAMD shall have no liability or obligation to VIP beyond such refund.
Signature Authorization: VIP warrants that the individual signing below has full authorization and authority to bind the VIP to this Contract.
