Terms and Conditions for Advertising Services

Please read these Terms and Conditions ("Terms") carefully before submitting your advertising request form to Paradise City Arts LLC ("we," "us," "our").
By checking the "I agree to the Terms and Conditions" box and submitting this form, you ("Advertiser," "you," "your") agree to be legally bound by these Terms. This document constitutes a binding agreement between you and Paradise City Arts LLC.
1. The Service
You are submitting a request to purchase advertising space in our publication(s) or on our platform(s) (the "Service"). Submission of this form constitutes an offer by you to purchase the Service. This offer is not binding on us until we have formally accepted your advertisement for publication in writing (e.g., via an email confirmation).
We reserve the right to approve or reject any advertising submission at our sole discretion for any reason, including but not limited to content that is illegal, defamatory, obscene, violates our content guidelines, or is otherwise deemed inappropriate for our audience.
2. Billing and Payment
No Upfront Payment: No payment is due at the time of this form submission.
Invoicing: We will issue an invoice for the full amount due for advertising services. The invoice will be sent to the billing email address you provide in this form.
Billing Cycle: The invoice will be generated and sent approximately one (1) week prior to the ad copy and creative due date.
Payment Due Date: Payment is due in full within thirty (30) days of the invoice date ("Net 30").
Late Payments: Invoices not paid by the due date will be considered delinquent. We reserve the right to charge a late fee of 5% per month on the outstanding balance, or the maximum amount permitted by law, whichever is lower. You will also be responsible for any costs we incur in collecting a delinquent payment, including reasonable attorneys' fees.
Payment Disputes: Any disputes regarding an invoice must be submitted to us in writing at billing@paradisecityarts.com within ten (10) business days of receiving the invoice.
3. Advertiser Responsibilities and Content
Accuracy of Information: You represent and warrant that all information provided in this form is complete, accurate, and current.
Ad Content: You are solely responsible for the content of your advertisement ("Ad Creative"). You must provide the Ad Creative to us by the specified deadline and in the required format.
Content Rights: You represent and warrant that you own or have obtained all necessary rights, licenses, consents, and permissions to use all content in your Ad Creative, including but not limited to text, images, logos, trademarks, and any other intellectual property.
Prohibited Content: Your Ad Creative must not contain any material that is fraudulent, misleading, illegal, defamatory, obscene, harassing, or that infringes upon the rights of any third party, including copyright, trademark, privacy, or publicity rights.
4. Intellectual Property
You retain all ownership rights to your Ad Creative. By submitting this form, you grant [Your Company Name] a non-exclusive, worldwide, royalty-free license to publish, display, reproduce, and distribute your Ad Creative in connection with the agreed-upon Service.
5. Cancellation
You may request to cancel your advertisement by providing written notice to ads@paradisecityarts.com. Cancellations will only be honored if received prior to our final printing or publication deadline for the relevant issue/placement. If a cancellation request is received after this deadline, you will be responsible for the full payment of the invoice.
6. Limitation of Liability & Disclaimer
Disclaimer: We make no guarantees about the results or performance of your advertisement, including the level of views, clicks, or business it will generate. The Service is provided "AS IS" and "AS AVAILABLE." We are not responsible for minor errors in the final printed product, such as slight color variations or typographical errors that do not materially affect the substance of the advertisement.
Limitation of Liability: To the fullest extent permitted by law, the total liability of Paradise City Arts LLC for any claim arising out of or relating to this agreement or the Service shall not exceed the total amount you paid us for the specific advertisement in question.
7. Indemnification
You agree to indemnify, defend, and hold harmless Paradise City Arts LLC, its employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your Ad Creative; (b) your breach of these Terms; or (c) your violation of any law or the rights of a third party.
8. Governing Law
This agreement shall be governed by and construed in accordance with the laws of the State of Massachusetts, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of this agreement shall be instituted in the federal or state courts located in Hampshire County, Massachusetts.
9. Changes to Terms
We reserve the right to modify these Terms at any time. Any changes will be posted on our website. Your continued use of our Service after such changes constitutes your acceptance of the new Terms.
