Legal Disclaimer

Contract Duration: Jan 10th 2026 - February 15th 2026&#13;&#10;&#13;&#10;The following commission/payment terms will apply to each consigned artwork sold by Overspray Art&#13;&#10;Supply & Gallery: 50% gross (commission to Overspray Art Supply & Gallery which will be donated to URLA), 50% gross (payment to&#13;&#10;Artist*). By signing this document, both parties agree to each stipulation listed in this Agreement:&#13;&#10;1. Artist* retains ownership of all work consigned to or represented by Overspray Art Supply & Gallery.&#13;&#10;Artist* retains copyright to all consigned artwork in perpetuity, as governed by law.&#13;&#10;2. Retail sales price for each consigned artwork will be established by Overspray Art Supply & Gallery&#13;&#10;in consultation with Artist*. Factors influencing retail sales price include history of prior sales by Artist*,&#13;&#10;market demand, and Overspray Art Supply & Gallery knowledge of its inventory, buyers and&#13;&#10;price-points. Artist* agrees to abide by Overspray Art Supply & Gallery decision regarding price setting.&#13;&#10;3. Overspray Art Supply & Gallery will exert all reasonable efforts to close sales of consigned or&#13;&#10;represented artwork. Artist* agrees to provide Overspray Art Supply & Gallery, in a timely fashion and&#13;&#10;upon request, with any necessary documents or information in support of sales.&#13;&#10;4. Payment to Artist* will be provided within 30 days after receipt of payment from Buyer to Overspray&#13;&#10;Art Supply & Gallery. Artwork will not be released by Overspray Art Supply & Gallery to Buyer until full&#13;&#10;payment is received. Upon request, Overspray&#13;&#10;Art Supply & Gallery will provide Artist* with account statements of sales activity for all inventoried work.&#13;&#10;5. Overspray Art Supply & Gallery will maintain insurance for fire/ theft/ vandalism, and declares that all&#13;&#10;consigned artwork will be covered by said insurance while in Overspray Art Supply & Gallery&#13;&#10;possession. Reasonable efforts will be made to protect consigned artwork from accidental damage or&#13;&#10;breakage. Insurance liability for accidental damage or breakage is provided by Hartford Insurance,&#13;&#10;policy #76 SBW BE3RY6.&#13;&#10;6. Following standard gallery procedure, Artist* agrees that their artwork (duplicates) will not be&#13;&#10;displayed or shown in other galleries in Los Angeles or San Bernardino County while artwork is&#13;&#10;displayed in Overspray Art Supply & Gallery during stated CONTRACT TERM. Work accepted into the&#13;&#10;gallery will remain for entire duration of CONTRACT TERM. Exceptions to this stipulation may be&#13;&#10;negotiated between Artist* and Overspray Art Supply & Gallery on a case-by-case basis. Overspray Art&#13;&#10;Supply & Gallery will extend efforts to accommodate unique and special opportunities that arise,&#13;&#10;including participation in limited-duration festivals and weekend events.&#13;&#10;7. Overspray Art Supply & Gallery agrees to hold on premises and display as appropriate all artwork&#13;&#10;described on attached inventory, which is an addendum to this CONTRACT. Terms may be renewable&#13;&#10;upon agreement by both parties. This agreement may be voided upon thirty (30) days notice by either&#13;&#10;party.&#13;&#10;8. It is understood by both parties that the consigned artwork will remain housed at Overspray Art&#13;&#10;Supply & Gallery until and unless it is released to a Buyer after payment of full purchase price.&#13;&#10;Overspray Art Supply & Gallery assumes all risk if artwork is loaned on approval to Buyer for potential&#13;&#10;sale.&#13;&#10;9. Artworks must arrive at the premises a MINIMUM of two weeks prior to showing (12/28/25), and unsold works&#13;&#10;must be retrieved by the artist at a MAXIMUM of two weeks after the showing (2/28/26). Any artworks not&#13;&#10;claimed by the artist after two weeks without prior notice WILL BE DISPOSED of or presumed&#13;&#10;UNWANTED and will be forfeited to the Gallery. Reasonable exceptions will be made for unforeseeable&#13;&#10;emergency situations.&#13;&#10;10. Participating Artist agrees that all artwork will be safely packaged for transportation upon arrival and&#13;&#10;will include any special equipment for display as well as a typed list of all artworks including title,&#13;&#10;medium, description(optional), size and price. Artist agrees that if pieces are not hang ready or does&#13;&#10;not have proper hanging equipment included at drop off/ delivery, Overspray Art Supply & Gallery will&#13;&#10;add a MINIMUM of 5% to their commission pay depending on the need for additional equipment. Upon&#13;&#10;drop-off or delivery of said works the Gallery will take inventory of any damages to works upon arrival.&#13;&#10;The Artist agrees that the Gallery will not be responsible for any damage made before the arrival due to&#13;&#10;improper travel precautions or parcel mishandling.&#13;&#10;11. In the event that Artwork needs to be shipped to the Gallery, the Artist is responsible for arrival and returning&#13;&#10;shipping costs including packaging and shipper’s insurance. Unless the packing used when received is excessively&#13;&#10;damaged, the same packaging will be used.&#13;&#10;12. Artist agrees that all submitted pieces will be for sale starting the day of opening reception and will&#13;&#10;NOT be labeled NFS. Overspray Art Supply & Gallery reserve the right to reject NFS pieces from being&#13;&#10;displayed unless otherwise discussed between Artist* and Overspray Art Supply & Gallery&#13;&#10;&#13;&#10;For the purposes of this Fundraiser any additional merchandise the Artist* agrees to be sold alongside their works will be held to the same agreement above. &#13;&#10;
