1. Contract Acceptance
You are required to read and confirm acceptance of this order within two (2) days of the date reflected above. Wine-of-the-Month Club (WOMC) will not accept delivery of any wine until this order has been confirmed.
Should there be any discrepancies with the above details, please amend and return the document for re-evaluation or re-negotiation, or contact Natalie on 021 492 4107.
2. Quantity Variance
In the event of fluctuations in a promotion or campaign to which your wine may be allocated, WOMC reserves the right not to take the final 20% of the quantity stipulated above. Every reasonable effort will, however, be made to avoid this outcome.
3. Pricing
Prices negotiated above shall remain fixed for the full quantity and will apply through any annual price increase period. The above WOTMC price is inclusive of delivery.
4. Deliveries
Delivery dates will be communicated via a Call-In Delivery Instruction. No deliveries will be accepted without this instruction.
- No deliveries will be accepted after 15:00
- Deliveries exceeding 50 cases must be palletised for forklift off-loading

5. Late Delivery (Important)
Your wine forms part of a larger customer order. Failure to adhere to delivery dates may:
- Disrupt production schedules
- Delay customer deliveries
- Result in time and financial losses
WOMC reserves the right, in exceptional circumstances, to impose a late-delivery penalty of up to 25% of the delivery value to recover such losses.
6. Invoicing & VAT Compliance
Only invoices relating to stock actually received will be accepted and paid in accordance with the agreed payment terms.
All invoices must reflect:
- Wine-of-the-Month Club’s VAT Registration Number, and
- Your company’s VAT Registration Number
This is required in terms of current VAT legislation.
7. Marketing Contributions
Any marketing contribution(s) associated with this purchase must be settled within 30 days of publication.
Should payment not be received within 30 days, WOMC reserves the right to deduct the amount from your Wine-of-the-Month Club invoice.

- Thereafter, cancellations are not permitted and a 50% cancellation fee will apply
8. Social Media Commitment
With each new order, you agree to post a minimum of four (4) social media posts across your platforms within two (2) months, tagging Wine-of-the-Month Club and the relevant product(s).

10. Product Information & Images
For every new order (including changes in vintage), a high-resolution product photograph and full tasting description must be submitted.
11. Force Majeure
Should WOMC be unable to dispatch goods due to circumstances beyond its control — including, but not limited to, acts of God, war, fire, flood, drought, disease, pandemic or epidemic, civil unrest, strike, lock-out, or changes in law or government regulation — all stock held by WOMC shall be deemed consignment stock until such time as dispatch becomes possible.
WOMC reserves the right to return any affected stock at its discretion.
12. Over/Under Orders
WOMC reserves the right to:
- Order up to 10% additional stock in the event of a sales over-run (on the same terms), and
- Return up to 10% of the order in the event of excess unsold stock.
Acceptance
I, {supplierContact}, with the email address {supplierEmail}, hereby acknowledge that I have read and agree to the above Terms and Conditions and confirm that I am duly authorised to enter into negotiations and sign sales agreements on behalf of the account.
I formally and legally accept this contract in accordance with the Electronic Communications and Transactions Act, 25 of 2002.
