  • SARAH LILLY MEDIA CLIENT AGREEMENT

    This Agreement (the "Agreement") is made and entered into on the date of signature by and between you (the "Client") and Sarah Lilly from Sarah Lilly Media ("Sarah Lilly Media").

    Sarah Lilly Media agrees to provide a Brand Audit Service as outlined in your proposal or email correspondence. By signing this agreement, the Client agrees to the following terms and conditions.


    1. Payment
    The Client agrees to make payment in full prior to the commencement of the Brand Audit.

    Due to the time, research, analysis and preparation involved in this service, all payments are non-refundable.

    Work will not begin until payment has been received.


    2. Scope of the Brand Audit
    The Brand Audit includes:

    • A comprehensive audit of up to two social media accounts
    • A full review of the Client’s branding and visual identity
    • Identification of social media optimisations
    • Recommendations and refinements relating to brand appearance, content, messaging and visuals
    • A detailed PDF report outlining findings, recommendations and next steps
    • A 45-minute meeting to review the audit and clarify action steps
    • Three (3) business days of messaging support or one 30-minute follow-up call (as selected by the Client)

    The audit is strategic in nature and does not include implementation unless otherwise agreed in writing.

    Any additional services outside the agreed scope may incur additional fees.


    3. Client Responsibilities
    To ensure the audit is thorough and accurate, the Client agrees to:

    • Provide timely access to relevant social media accounts and platforms
    • Supply necessary brand assets, logins (where required), and relevant business information
    • Complete any requested questionnaires or provide requested background information
    • Attend the scheduled 45-minute review meeting
    • If the Client needs to reschedule the review meeting, at least 24 hours' notice is required. Failure to provide notice may result in forfeiture of the meeting (emergency situations may be considered at discretion).


    4. Communication & Support
    Communication will primarily take place via email unless otherwise agreed.

    Messaging will be available during business hours (Monday–Thursday, 9am–2pm NZT). Responses will be provided in a timely manner during these hours.

    Messaging support is intended for clarification around recommendations and guidance on next steps, not for ongoing consulting beyond the audit scope.


    5. Social Media & Testimonials
    The Client grants Sarah Lilly Media permission to share anonymised insights, general results, or non-confidential examples of work for portfolio or marketing purposes.

    Sarah Lilly Media may request a testimonial following completion of the audit. The Client may choose whether or not to provide one. Any identifying testimonial content will only be shared with permission.


    6. Results & Liability
    The Client understands that this Brand Audit provides professional insight, strategic recommendations and guidance. However, specific outcomes (including engagement growth, revenue increases, follower growth or conversions) cannot be guaranteed.

    The Client remains responsible for the implementation of recommendations and for all business decisions made following the audit.

    Sarah Lilly Media is not liable for any direct or indirect loss resulting from actions taken (or not taken) based on the audit findings.

    Platform algorithm changes, account restrictions, or third-party platform issues are outside of Sarah Lilly Media’s control.


    7. Intellectual Property
    All materials, frameworks, methods, templates, documents and recommendations provided as part of this Brand Audit remain the intellectual property of Sarah Lilly Media.

    The Client is granted permission to use the audit and recommendations for their own business only.

    The Client agrees not to reproduce, distribute, modify, share or resell any part of the audit, frameworks or proprietary methods without prior written consent.
