1. Eligibility & Representation
Membership is restricted to individuals 18 years of age or older. By completing this registration, you agree to be categorized within the Agency’s specialized talent tiers (e.g., Hospitality Host, Brand Ambassador, or VIP Companion) for the duration of the operational engagement.
2. Voluntary Participation & Consent
You acknowledge that your registration with SBN Agency is strictly voluntary and free from any form of coercion or exploitation. You grant the Agency a non-exclusive license to reproduce, edit, and distribute your professional portfolio and personal data to verified third-party clients for procurement purposes.
3. Confidentiality & Non-Disclosure
You commit to maintaining absolute confidentiality regarding the identity, location, and nature of all third-party clients. You further agree not to use the SBN Agency name or intellectual property to solicit, spam, or conduct unauthorized business activities with third parties.
4. Non-Circumvention (Direct Communication)
To maintain professional standards, you are prohibited from communicating directly with clients without the Agency’s explicit authorization. Any attempt to bypass the Agency’s booking system will result in the immediate termination of your membership.
5. Independent Contractor Status
This registration establishes a Platform-for-User relationship; no employer-employee relationship is created. You are an independent contractor and have no authority to make legal representations or financial commitments on behalf of SBN Agency.
6. Commission Structure
The Agency provides the infrastructure, lead generation, and security for your engagements. In exchange, the Agency retains a 30% management fee from all gross earnings generated through Agency-sourced appointments.
7. Binding Arbitration & Dispute Resolution
You agree that any dispute arising from your relationship with SBN Agency shall be resolved exclusively through Binding Arbitration, bypassing traditional national or local courts.
Arbitration Framework: Disputes will be overseen by an independent, freelance legal practitioner acting as a neutral arbitrator.
Finality: The arbitrator’s decision is final and legally binding. By agreeing to these terms, you and the Agency expressly waive the right to bring claims before the High Court of Eswatini or any other regional court within the SADC territory, consistent with regional commercial arbitration principles.
