    Notice of Service Providers - Subculture to provide travel services, not adventure activity services.

    I am engaging Subculture LLC, an Oregon limited liability company (“SUBCULTURE”), to provide travel arrangement services including, but not limited to, handling accommodations, non-adventure activities, travel, and related services (“TRAVEL SERVICES”). I understand that SUBCULTURE itself will not be responsible for providing any other services to me, including adventure activity services like guiding and providing equipment for water sports (including snorkeling and scuba diving) and adventure trekking (such adventure activities, the “ADVENTURE ACTIVITIES”). All ADVENTURE ACTIVITIES I arrange through SUBCULTURE will be provided by PT Phinisi Diving Tourism (Pindito) or PT Phinisi Diving Tourism (Pindito)’s subcontractors or affiliates (together, the “ACTIVITY PROVIDER”) and that SUBCULTURE not related to ACTIVITY PROVIDER and is merely acting as an agent of ACTIVITY PROVIDER in booking the ADVENTURE ACTIVITIES for me. I also understand that SUBCULTURE is not responsible for (i) servicing, inspecting, or otherwise maintaining the equipment I will use in providing the ADVENTURE ACTIVITIES or (ii) guiding, supervising, or otherwise managing the ADVENTURE ACTIVITIES. I acknowledge that I will be required to sign a separate agreement or agreements with ACTIVITY PROVIDER to engage in the ADVENTURE ACTIVITIES.

All ADVENTURE ACTIVITIES I arrange through SUBCULTURE will be provided by Samambaia Liveaboard or Samambaia Liveaboard’s subcontractors or affiliates (together, the “ACTIVITY PROVIDER”) and that SUBCULTURE not related to ACTIVITY PROVIDER and is merely acting as an agent of ACTIVITY PROVIDER in booking the ADVENTURE ACTIVITIES for me. I also understand that SUBCULTURE is not responsible for (i) servicing, inspecting, or otherwise maintaining the equipment I will use in providing the ADVENTURE ACTIVITIES or (ii) guiding, supervising, or otherwise managing the ADVENTURE ACTIVITIES. I acknowledge that I will be required to sign a separate agreement or agreements with ACTIVITY PROVIDER to engage in the ADVENTURE ACTIVITIES.

All ADVENTURE ACTIVITIES I arrange through SUBCULTURE will be provided by Alam Batu Beach Bungalow Resort or Alam Batu Beach Bungalow Resort’s subcontractors or affiliates (together, the “ACTIVITY PROVIDER”) and that SUBCULTURE not related to ACTIVITY PROVIDER and is merely acting as an agent of ACTIVITY PROVIDER in booking the ADVENTURE ACTIVITIES for me. I also understand that SUBCULTURE is not responsible for (i) servicing, inspecting, or otherwise maintaining the equipment I will use in providing the ADVENTURE ACTIVITIES or (ii) guiding, supervising, or otherwise managing the ADVENTURE ACTIVITIES. I acknowledge that I will be required to sign a separate agreement or agreements with ACTIVITY PROVIDER to engage in the ADVENTURE ACTIVITIES.

All ADVENTURE ACTIVITIES I arrange through SUBCULTURE will be provided by SILADEN RESORT & SPA or SILADEN RESORT AND SPA’s subcontractors or affiliates (together, the “ACTIVITY PROVIDER”) and that SUBCULTURE is not related to the ACTIVITY PROVIDER and is merely acting as an agent of the ACTIVITY PROVIDER in booking the ADVENTURE ACTIVITIES for me. I also understand that SUBCULTURE is not responsible for (i) servicing, inspecting, or otherwise maintaining the equipment I will use in providing the ADVENTURE ACTIVITIES or (ii) guiding, supervising, or otherwise managing the ADVENTURE ACTIVITIES. I acknowledge that I will be required to sign a separate agreement or agreements with ACTIVITY PROVIDER to engage in the ADVENTURE ACTIVITIES.

All ADVENTURE ACTIVITIES I arrange through SUBCULTURE will be provided by CORAL EYE MARINE OUTPOST or CORAL EYE MARINE OUTPOST’s subcontractors or affiliates (together, the “ACTIVITY PROVIDER”) and that SUBCULTURE is not related to the ACTIVITY PROVIDER and is merely acting as an agent of the ACTIVITY PROVIDER in booking the ADVENTURE ACTIVITIES for me. I also understand that SUBCULTURE is not responsible for (i) servicing, inspecting, or otherwise maintaining the equipment I will use in providing the ADVENTURE ACTIVITIES or (ii) guiding, supervising, or otherwise managing the ADVENTURE ACTIVITIES. I acknowledge that I will be required to sign a separate agreement or agreements with ACTIVITY PROVIDER to engage in the ADVENTURE ACTIVITIES.

    I am engaging Subculture LLC, an Oregon limited liability company (“SUBCULTURE”), to provide travel arrangement services including, but not limited to, handling accommodations, non-adventure activities, travel, and related services (“TRAVEL SERVICES”). I understand that SUBCULTURE itself will not be responsible for providing any other services to me, including adventure activity services like guiding and providing equipment for water sports (including snorkeling and scuba diving) and adventure trekking (such adventure activities, the “ADVENTURE ACTIVITIES”). All ADVENTURE ACTIVITIES I arrange through SUBCULTURE will be provided by CORAL EYE MARINE OUTPOST and SILADEN RESORT AND SPA or CORAL EYE MARINE OUTPOST and SILADEN RESORT AND SPA’s subcontractors or affiliates (together, the “ACTIVITY PROVIDER”) and that SUBCULTURE is not related to the ACTIVITY PROVIDER and is merely acting as an agent of the ACTIVITY PROVIDER in booking the ADVENTURE ACTIVITIES for me. I also understand that SUBCULTURE is not responsible for (i) servicing, inspecting, or otherwise maintaining the equipment I will use in providing the ADVENTURE ACTIVITIES or (ii) guiding, supervising, or otherwise managing the ADVENTURE ACTIVITIES. I acknowledge that I will be required to sign a separate agreement or agreements with ACTIVITY PROVIDER to engage in the ADVENTURE ACTIVITIES.

  • Release of Liability, Indemnification, and Assumption of Risk – Travel Services.


    In consideration of SUBCULTURE’s provision of the TRAVEL SERVICES I hereby agree, certify, and acknowledge as follows, on behalf of myself, children, parents, spouse or partner, heirs, assigns, personal representative and estate.

    A.  Travelling to and in foreign countries and international bodies of water can be dangerous and entail significant risks, both known and unknown, which could result in significant physical or emotional injury, death, or other damage to myself, to property, or to third parties. Such risks include, but are not limited to, injury in remote areas, corrupt foreign officials, unsafe food and water, inclement weather, mechanical failure of a vessel, political unrest, loss of luggage, the intentional misconduct of others, and the negligence of SUBCULTURE and others. I expressly agree and promise to accept and assume all risks inherent in utilizing the TRAVEL SERVICES, both known and unknown. My utilization of the TRAVEL SERVICES is purely voluntary, and I elect to utilize the TRAVEL SERVICES in spite of the risks.

    B.  I will follow all typical safe practices when utilizing the TRAVEL SERVICES. Further, I am in good physical and mental condition and I have no medical, mental, or physical conditions which could limit or interfere with my utilization of the TRAVEL SERVICES or cause my utilization of the TRAVEL SERVICES to be negligent.

    C.  I hereby voluntarily release, forever discharge, and agree to indemnify and hold harmless SUBCULTURE, its officers, directors, agents and employees (together, the “SUBCULTURE RELEASED PARTIES”) from any and all claims, demands, or causes of action related to the TRAVEL SERVICES which are caused by (i) my actions or inactions, (ii) the actions or inactions of ACTIVITY PROVIDER, or (iii) the actions or inactions of anyone else other than the SUBCULTURE RELEASED PARTIES.

    D.  I certify that I have adequate insurance (specifically including the travel insurance for which I have or will provided a policy number to SUBCULTURE) to cover any injury or damage I may cause or suffer while utilizing the TRAVEL SERVICES, and agree to bear the costs of such injury or damage myself if the injury is not covered by my insurance. I further certify that I have no medical or physical conditions which could limit or interfere with my utilization of the TRAVEL SERVICES, or else I am willing to assume and bear the costs of all consequences and risks that may be created, directly or indirectly, by any such condition.

    E.  I hereby voluntarily release, forever discharge, and agree to indemnify and hold harmless the SUBCULTURE RELEASED PARTIES from any and all claims, demands, or causes of action related to the TRAVEL SERVICES which are caused by the ordinary negligence of any of the SUBCULTURE RELEASED PARTIES. I agree, to the maximum extent permitted by law, not to make any claim against or sue any of the SUBCULTURE RELEASED PARTIES (whether in court or in arbitration) for a cause of action related to the TRAVEL SERVICES which is caused by any of the SUBCULTURE RELEASED PARTIES’ ordinary negligence.



    Release of Liability, Indemnification, and Assumption of Risk – Adventure Activities


    In consideration of SUBCULTURE’s provision of the TRAVEL SERVICES and in recognition of the fact that SUBCULTURE is not responsible for the ADVENTURE ACTIVITIES, I hereby agree, certify, and acknowledge as follows, on behalf of myself, children, parents, spouse or partner, heirs, assigns, personal representative and estate:

    1.  The ADVENTURE ACTIVITIES (specifically including snorkeling, scuba diving, and adventure trekking) can be extremely dangerous and entail significant risks, both known and unknown, which could result in significant physical or emotional injury, ear and pulmonary barotrauma, decompression sickness (AKA “the bends”), marine envenomation, death, or other damage to myself, to property, or to third parties. Such risks include, but are not limited to, equipment failure, nitrogen narcosis, natural environmental hazards, and the negligence of ACTIVITY PROVIDER and others. I expressly agree and promise to accept and assume all risks inherent in participating in the ADVENTURE ACTIVITIES, both known and unknown. My participation in the ADVENTURE ACTIVITIES is purely voluntary, and I elect to participate in spite of the risks.

    2.  I am sufficiently trained for the ADVENTURE ACTIVITIES, I am familiar with the equipment I will be using during the ADVENTURE ACTIVITIES, and I know how to use that equipment safely. Further, I will follow all typical safe practices when engaging in the ADVENTURE ACTIVITIES.

    3.  I am in good physical and mental condition and I have no medical, mental, or physical conditions which could limit or interfere with my participation in the ADVENTURE ACTIVITIES or cause my participation in the ADVENTURE ACTIVITIES to be negligent.

    4.  I hereby voluntarily release, forever discharge, and agree to indemnify and hold harmless the SUBCULTURE RELEASED PARTIES from any and all claims, demands, or causes of action related to the ADVENTURE ACTIVITIES which are caused by (i) my actions or inactions, (ii) the actions or inactions of ACTIVITY PROVIDER, or (iii) the actions or inactions of anyone else other than the SUBCULTURE RELEASED PARTIES.

    5.  I certify that I have adequate insurance (specifically including the dive insurance for which I have or will provided a policy number to SUBCULTURE) to cover any injury or damage I may cause or suffer while participating in the ADVENTURE ACTIVITIES, and agree to bear the costs of such injury or damage myself if the injury is not covered by my insurance. I further certify that I have no medical or physical conditions which could limit or interfere with my participation in the ADVENTURE ACTIVITIES, or else I am willing to assume and bear the costs of all consequences and risks that may be created, directly or indirectly, by any such condition.

    6.  I hereby voluntarily release, forever discharge, and agree to indemnify and hold harmless the SUBCULTURE RELEASED PARTIES from any and all claims, demands, or causes of action related to the ADVENTURE ACTIVITIES which are caused by the ordinary negligence of any of the SUBCULTURE RELEASED PARTIES. I further agree, to the maximum extent permitted by law, not to make any claim against or sue any of the SUBCULTURE RELEASED PARTIES (whether in court or in arbitration) for a cause of action related to the ADVENTURE ACTIVITIES which is caused by any of the SUBCULTURE RELEASED PARTIES’ ordinary negligence.  


    Cancellation of Services and Activities


    I.  I understand that the remoteness of the area I have elected to travel to, the local customs of that area, the prevailing weather conditions, natural disasters, and other circumstances may cause substitution of facilities and/or equipment, inconvenience, or modification to the TRAVEL SERVICES or the ADVENTURE ACTIVITIES. I further understand that (i) SUBCULTURE reserves the right to modify and/or cancel some or all of the TRAVEL SERVICES due to unfavorable weather conditions, natural disasters, other circumstances beyond SUBCULTURE’S control, or for any other reason and (ii) ACTIVITY PROVIDER may modify and/or cancel some or all of the ADVENTURE ACTIVITIES (including substituting comparable facilities, equipment or services, including escorts, captains and shipboard personnel) due to unfavorable weather conditions, natural disasters, equipment failures, inappropriate behavior exhibited by me or those with me, and other circumstances.

    II.  I understand and agree that SUBCULTURE reserves the right to cancel any scheduled trip or any other part of the TRAVEL SERVICES at any time. I further understand that SUBCULTURE will owe me no refunds or replacements for canceled TRAVEL SERVICES or ADVENTURE ACTIVITIES due to (i) adverse weather/natural disaster/epidemics; (ii) substitution of facilities, personnel, or equipment; (iii) ACTIVITY PROVIDER’s actions; (iv) or inconvenience; (v) force majeure.

    III.  I understand and agree that SUBCULTURE and ACTIVITY PROVIDER may deny my application to engage in the TRAVEL SERVICES and the ADVENTURE ACTIVITIES for any reason.



    I certify, agree, and represent that the statements made in this document and all other agreements between SUBCULTURE and me are true and correct and I understand that the SUBCULTURE RELEASED PARTIES will rely on my statements and that they will be the basis of SUBCULTURE’s decision to provide TRAVEL SERVICES to me.

    Should any of the SUBCULTURE RELEASED PARTIES incur attorney's fees and costs to enforce this document, I agree to indemnify and hold them harmless for all such fees and costs.

    I agree that the validity and enforceability of this agreement will be governed by Oregon law without regard to its conflict of law rules.

    If a provision of this document is determined to be unenforceable in any respect, the enforceability of the provision in any other respect and of the remaining provisions of this Agreement will not be impaired.

    By checking the box below, I acknowledge that I have read this entire document, that I have had the opportunity to ask SUBCULTURE questions about it, and that I understand the document and agree to be bound by its terms.

    Additionally, by checking the box below this agreement, I acknowledge that if anyone is hurt or property is damaged during the TRAVEL SERVICES or the ADVENTURE ACTIVITIES, I may be found by a court of law to have waived my right to maintain a claim or lawsuit against the SUBCULTURE RELEASED PARTIES for the claims from which I have released SUBCULTURE RELEASED PARTIES in this document.
